Boeing completed its $10.55 billion sale of Jeppesen, ForeFlight, AerData, and OzRunways assets to Thoma Bravo on October 31, 2025. The acquired aviation software business now operates as Jeppesen ForeFlight, a standalone company led by CEO Brad Surak. Boeing did not sell all of its digital aviation capabilities: it retained digital services for fleet maintenance, diagnostics, and repair.
What happened in the Boeing sale?
Boeing announced the all-cash agreement on April 22, 2025, valuing the transaction at $10.55 billion. At the time, the company said closing was expected by the end of the year, subject to regulatory approval and customary conditions. Boeing’s 2025 Form 10-K later recorded the completed transaction on October 31, 2025.
The agreement value and closing proceeds were both reported as $10.55 billion. Boeing separately reported a $9.566 billion gain on disposition in its Form 10-K; that accounting gain is not the sale price.
What did Boeing sell to Thoma Bravo?
The assets and liabilities included in the sale were Jeppesen, ForeFlight, AerData, and OzRunways. The transaction covered portions of Boeing’s Digital Aviation Solutions business, rather than the entire division or every digital aviation service Boeing offers.

Boeing said the broader Digital Aviation Solutions organization had approximately 3,900 employees. That figure includes people and activities associated with both the sold and retained parts of the business; it is not a count of employees transferred to Jeppesen ForeFlight.
Who owns Jeppesen ForeFlight now?
Thoma Bravo acquired the specified aviation software and data assets from Boeing. They were combined under the standalone company name Jeppesen ForeFlight. The company’s release says the separation from Boeing and sale to Thoma Bravo were completed; it names Brad Surak, formerly the leader of Boeing Digital Aviation Solutions, as CEO.

The legal closing date was October 31, 2025. Jeppesen ForeFlight’s release was published on January 21, 2026, but its body dates the launch announcement to November 3, 2025. The closing and public launch announcement are therefore distinct dates.
What does the new company say it provides?
Jeppesen ForeFlight describes itself as an aviation software provider serving commercial, business, military, and general aviation. It says its integrated suite spans flight planning and dispatch through crew tracking. The company presents the combination as Jeppesen’s aeronautical-data heritage paired with ForeFlight’s digital-first aviation technology.

The company characterizes Jeppesen’s history as 90 years. Surak has also described AI as the “north-star” for a multi-year roadmap of integrated solutions. That is a statement about the company’s intended direction, not confirmation that particular AI capabilities are already deployed.

Boeing said it retained core digital capabilities that use aircraft- and fleet-specific data to support commercial and defense customers with fleet maintenance, diagnostics, and repair. The retained services include predictive and prognostic maintenance insights. The sale should not be described as Boeing exiting digital aviation or selling all fleet-services technology.

Boeing said the proceeds would strengthen its capital structure and allow it to focus on its core business, including the retained Digital Services portfolio. That is Boeing’s stated rationale for the transaction.
