23andMe’s Bankruptcy: What Happened to the Company and Customer Data

23andMe’s Chapter 11 filing led to a $305 million asset sale to TTAM Research Institute. Here’s what the sale means for customer data, breach litigation and the company’s status.

23andMe Holding Co. filed for Chapter 11 bankruptcy protection on March 23, 2025. Its assets were later sold to TTAM Research Institute in a transaction that closed on July 14, 2025, for a reported total purchase price of $305 million. The sale included consumer data, according to Maryland’s attorney general, so the transaction did not by itself erase customers’ privacy concerns or data.

What happened to 23andMe?

23andMe Holding Co. and certain subsidiaries filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the Eastern District of Missouri on March 23, 2025, according to the company’s U.S. Securities and Exchange Commission filings. Chapter 11 is a court-supervised process in which a business can seek to reorganize or sell assets while addressing its financial obligations.

The process resulted in a sale to TTAM Research Institute. The SEC reported that the transaction closed on July 14, 2025. The company’s earlier proposal involving Regeneron was superseded by the completed TTAM transaction.

What was sold, and what does the $305 million figure mean?

In its Form 10-Q for the period ended June 30, 2025, 23andMe reported a total purchase price of $305 million in cash for the transaction. It said $302.5 million was received at closing, with the remaining $2.5 million related to the Lemonaid Health telehealth business transaction.

The SEC filing distinguishes the debtor company from the consumer business acquired by TTAM. After closing, 23andMe’s direct-to-consumer Personal Genome Service and research-services business were no longer included in the debtor’s operations. The filing said the debtor planned to sell Lemonaid Health and wind down its remaining operations; that was the company’s reported plan at the time, not confirmation of what has happened since.

What happened to customer genetic data?

Maryland’s attorney general said consumer data was among the assets transferred to TTAM, which the state account refers to as 23andMe Research Institute. That means customers should not assume that the bankruptcy filing or sale automatically deleted their genetic or account information.

The multistate settlement terms described by Maryland’s attorney general included enhanced security requirements, risk analysis, an advisory board, commitments related to comprehensive privacy laws, and consumer deletion rights. These are reported commitments, not a guarantee that data handling is risk-free. The sources cited here do not spell out every customer’s present account options; customers should consult current official account controls and notices for instructions applicable to their accounts.

What did investigators say about the 2023 data breach?

Maryland’s attorney general reported that the multistate investigation found unreasonable security practices in connection with the October 2023 breach. The state’s account cited inadequate safeguards against credential-stuffing attacks, insufficient rate limiting and intrusion prevention, inadequate logging and monitoring, and failures to address unusual login activity.

The Maryland account says 6.9 million consumers were affected and that some subsets of information were later published for sale on the dark web. This figure is the state’s reported impact figure, published in 2026.

Is the breach settlement part of the bankruptcy?

No. The bankruptcy proceedings and the consumer data-breach class-action settlement are separate matters. The settlement administrator’s FAQ reports that the class-action settlement received final approval on January 30, 2026, and that the final settlement amount was determined to be $46.75 million on July 7, 2026. Those dates and figures concern the breach litigation, not the disposition of the Chapter 11 cases.

Is 23andMe still operating, and is testing available?

Do not treat the debtor’s wind-down plan as proof that every post-sale activity stopped, or treat the research institute’s existence as proof that consumer testing is available. The 23andMe Research Institute media center had public research announcements through September 2026, but that does not establish current availability of consumer DNA testing in every market.

The SEC’s July 2025 filing said the Chapter 11 cases remained pending at that time. The sources cited here do not establish the final disposition of all bankruptcy proceedings, creditor distributions, or current consumer-service availability in every market. Those details can change; check current court records and official customer notices for the latest status.
