Who Owns Amazon? Jeff Bezos’s Stake, Major Shareholders, and Who Controls It in 2026

Amazon is a publicly traded company owned collectively by its shareholders. Jeff Bezos remains its largest identifiable individual shareholder, but he owns roughly 8% to 9%, not the whole company. Here’s how Bezos, Vanguard, BlackRock, employees, customers, and Amazon’s management fit into the ownership picture.

Amazon is owned collectively by its shareholders—not by Jeff Bezos, Vanguard, BlackRock, or any other single person or company. Amazon.com, Inc. is a publicly traded Delaware corporation whose common stock trades on Nasdaq under AMZN. Based on filings available through August 9, 2026, Jeff Bezos remains Amazon’s largest identifiable individual shareholder, but he owns well below a majority of the company. Andy Jassy is Amazon’s president and CEO, while Bezos is its founder and executive chair.

The exact percentages require dates and caveats because Bezos has been selling shares under a trading plan, institutional holdings are disclosed periodically, and related investment entities may report separately.

Who legally owns Amazon?

The legal company behind Amazon’s publicly traded business is Amazon.com, Inc., a corporation incorporated in Delaware. Its common stock trades on Nasdaq with the ticker symbol AMZN.

Amazon.com, Inc. owns or controls the corporate group’s operating businesses and subsidiaries, including operations associated with online retail, Amazon Web Services, advertising, Prime, logistics, and entertainment. Individual shareholders do not directly own Amazon’s warehouses, websites, data centers, or subsidiaries in their own names. Instead, they own shares of the parent corporation. The corporation itself owns the business assets.

Amazon has one class of common stock, with generally equal voting rights: one share equals one vote. Amazon’s 2026 proxy reported 10,754,251,799 shares outstanding and entitled to vote at the annual meeting as of the March 26, 2026 record date. Amazon’s 2026 proxy statement provides the company’s ownership and voting-structure details.

Is Amazon owned by Jeff Bezos?

No. Jeff Bezos does not own Amazon outright. He founded the company and still owns a very large block of Amazon shares, but his stake is far below 50%. That makes him highly influential, but not a majority or formally controlling shareholder.

It is more accurate to describe Bezos as:

  • Amazon’s founder;
  • its largest identifiable individual shareholder;
  • the company’s executive chair; and
  • a significant but non-majority shareholder.

It is inaccurate to say without qualification that “Jeff Bezos owns Amazon.” He owns Amazon stock. The rest of the company is owned by other shareholders, including investment funds, institutions, employees, executives, and individual investors.

Amazon’s largest disclosed shareholders

The latest full company-wide ownership table available in the research cutoff is Amazon’s 2026 proxy, which reported beneficial ownership as of February 24, 2026. The figures below should not be treated as a single real-time ranking, because the institutional figures were based on disclosure dates that were not all the same and some have since been updated or affected by reporting changes.

Important: These numbers should not be mechanically added together. A proxy, Schedule 13G, and other SEC filings can cover different dates, reporting entities, and definitions of beneficial ownership. Vanguard also underwent an internal reporting realignment in 2026, making a simple comparison between its older parent-company figure and later subsidiary filings especially misleading.

How much of Amazon does Jeff Bezos own now?

Amazon’s latest full ownership table reported Bezos at 8.8% as of February 24, 2026. A later Form 4 shows that he sold shares on August 3, 2026, so that proxy percentage is no longer a complete current snapshot.

The August 3, 2026 completed sale

According to a Form 4 filed with the SEC on August 5, 2026, Bezos sold 1,209,649 Amazon shares on August 3 under a Rule 10b5-1 trading plan. The weighted average sale price reported was $286.4083 per share.

After that transaction, the Form 4 listed:

  • 879,739,004 direct shares held by Bezos; and
  • 5,087,266 indirect shares held through trusts and a wholly owned LLC, for which the filing said Bezos disclaimed beneficial ownership.

Using the approximate 10,786,313,572 shares outstanding shown in a related Form 144, Bezos’s direct holdings after the sale equal approximately 8.16% of Amazon’s shares. That is an analytical calculation, not a newly reported company-wide beneficial-ownership percentage.

Amazon’s February proxy also identified 68,232,131 shares over which Bezos had sole voting power but no investment power. If those voting-only shares are included in an analytical estimate, his voting position would be approximately 8.79% using the Form 144’s approximate shares-outstanding figure. Because Amazon has not issued a new full beneficial-ownership table after the August transaction, it is better to describe Bezos’s current stake as roughly 8% to 9%, rather than claim a falsely precise live percentage.

The August 3 Form 144 is not proof of another completed sale

Bezos also filed a Form 144 notice on August 3, 2026 for a proposed sale of up to 15 million Amazon shares under the same trading plan. A Form 144 is a notice of a proposed sale under Rule 144. It does not prove that all 15 million shares were sold.

The underlying plan, disclosed in Amazon’s 2025 Form 10-K, was adopted on November 14, 2025 and allowed for sales of up to 15 million shares by February 26, 2027, subject to the plan’s conditions. Only later transaction filings, such as Forms 4, can confirm completed insider sales.

Does Jeff Bezos control Amazon?

Bezos has meaningful influence, but he does not have unilateral control based on his disclosed ownership. With roughly 8% to 9% of the shares, he cannot ordinarily pass shareholder resolutions or elect the entire board by himself.

His influence comes from several factors:

  • He founded Amazon and remains one of its most prominent long-term shareholders.
  • He owns a large individual block of shares.
  • He serves as executive chair.
  • He has extensive knowledge of Amazon’s strategy and history.
  • Other shareholders may consider his views when voting.

That is different from formal voting control. Amazon does not disclose a dual-class structure in its 2026 proxy that would give Bezos super-voting shares. The company has one class of common stock with one vote per share. Shareholders elect the board, and the board oversees the company and its senior leadership.

Amazon’s 2026 annual meeting re-elected Bezos, Jassy, and the other director nominees. The results are reported in Amazon’s 2026 Form 8-K. Bezos’s position is therefore best described as influential but non-controlling.

Who runs Amazon day to day?

Andy Jassy runs Amazon’s day-to-day operations as president and CEO. Jeff Bezos is not Amazon’s CEO; he left that role in July 2021.

Does Vanguard own Amazon?

Vanguard-related entities are major holders of Amazon shares, but “Vanguard owns Amazon” is an oversimplification. Vanguard funds and managed accounts can hold Amazon stock on behalf of investors and clients.

For example, a mutual fund investor typically owns an interest in the fund, while the fund owns portfolio securities such as Amazon shares. The fund adviser may have authority to make investment decisions or vote proxies under the applicable fund arrangements and policies. The individual fund investor does not usually own Amazon shares directly merely because the fund holds them.

Investor.gov explains that mutual funds pool investors’ money to buy portfolios of securities. Vanguard also describes how its funds vote proxies.

Vanguard’s 2026 filings require additional care. Amazon’s proxy listed The Vanguard Group with 771,052,550 shares, or 7.2%, but a later Vanguard parent-company filing dated March 26, 2026 reported zero for that parent after an internal realignment. The filing explained that certain Vanguard subsidiaries and business divisions would report separately. Vanguard Capital Management subsequently reported 727,679,638 Amazon shares, or 6.77%, as of March 31, 2026.

Those filings do not necessarily mean that Vanguard suddenly disposed of its entire Amazon position. They reflect changes in which legal reporting entity disclosed the holdings.

Does BlackRock own Amazon?

BlackRock-related funds and accounts are also major reported Amazon shareholders. Amazon’s 2026 proxy listed BlackRock, Inc. with 630,188,686 shares, or 5.9%, based on an underlying disclosure dated December 31, 2023.

That figure should not be described as a live August 2026 percentage without a newer company-wide disclosure. BlackRock may report shares held for funds, pension plans, institutional clients, and other accounts. Depending on the arrangement, BlackRock or an affiliated entity may have investment discretion, voting authority, or both, while clients or fund investors bear the economic exposure.

BlackRock’s proxy-voting FAQ explains that it holds shares on behalf of clients and may vote proxies for clients that authorize it to do so. Therefore, BlackRock’s reported Amazon shares should not automatically be described as shares personally owned by BlackRock executives or by BlackRock’s corporate shareholders.

Do Amazon customers or Prime members own Amazon?

No. Buying a product from Amazon, subscribing to Prime, using Alexa, watching Prime Video, or selling goods through Amazon Marketplace does not give a customer an ownership interest in Amazon.com, Inc.

A customer generally owns the product purchased under the transaction’s terms. A shareholder owns Amazon stock. Those are separate legal and economic relationships.

Do Amazon employees own Amazon?

Some Amazon employees and executives may own Amazon shares or equity awards, but employees as a group do not own or control Amazon. Compensation can include restricted stock units, vested shares, or other forms of equity. Employees may also hold Amazon stock through brokerage accounts or retirement plans.

These categories are not identical:

  • Vested shares: shares that have become owned under the relevant award terms.
  • Unvested restricted stock units: future equity awards subject to vesting conditions; they are not the same as unrestricted shares that can immediately be sold.
  • Retirement-plan holdings: exposure to Amazon stock may occur through a fund or plan rather than direct registration.
  • Insider holdings: directors and executives must report certain transactions and beneficial ownership under SEC rules.

Amazon’s proxy reports the holdings of directors, named executive officers, and the director-and-executive group, but it does not publish a complete list of every employee who owns Amazon stock.

Why Bezos’s Amazon ownership changes

Bezos’s stake can change through:

  • open-market sales;
  • sales under Rule 10b5-1 trading plans;
  • charitable transfers and gifts;
  • transfers to trusts or other entities;
  • changes in voting or investment arrangements;
  • stock splits or other corporate actions; and
  • changes in Amazon’s total number of shares outstanding.

This is why a percentage from a proxy statement is a dated snapshot rather than a permanent ownership fact. The percentage can fall when Bezos sells shares, but it can also change simply because Amazon’s shares outstanding change.

Beneficial ownership: what the SEC number really means

SEC ownership tables often use the term beneficial ownership. That term can cover more than shares held personally in someone’s brokerage account. Depending on the filing and circumstances, it may include shares a person:

  • owns directly;
  • controls indirectly through a trust, company, or other arrangement;
  • has voting power over;
  • has investment or dispositive power over;
  • has the right to acquire within a specified period; or
  • can direct another person or entity to vote or dispose of.

Voting power and investment power can be different. Bezos’s 2026 proxy entry is a practical example: it included 68,232,131 shares over which he had sole voting power but no investment power. That means the number in the ownership table should not automatically be interpreted as shares Bezos personally owned and could sell for his own economic benefit.

Similarly, an investment adviser’s reported beneficial ownership may reflect voting or investment authority over shares held by funds and clients, rather than personal economic ownership by the adviser’s executives.

What the main SEC filings tell you

Always distinguish the filing date from the ownership date. A document filed in 2026 may describe holdings as of an earlier date.

How to verify who owns Amazon

For a current research question, check filings in this order:

  1. Read Amazon’s latest DEF 14A proxy. Start with the beneficial-ownership table, the footnotes, the record date, and the voting structure.
  2. Check Amazon’s latest 10-K and 10-Q. These filings can disclose major ownership arrangements, trading plans, share counts, and corporate developments.
  3. Search insider Forms 4. These are the most useful filings for confirming recent transactions by Bezos, directors, and executives.
  4. Review Schedule 13D and 13G filings. These can provide more recent information about large institutional or activist positions, but examine which legal entity filed and whether related entities report separately.
  5. Use Form 13F filings cautiously. They can help identify institutional holdings, but they are quarterly reports and do not establish a complete or real-time ownership ranking.

For Amazon specifically, a careful answer should separate the latest company-wide snapshot—the February 24, 2026 proxy—from the latest subsequent insider update—Bezos’s August 3, 2026 sale reported on Form 4.

What “who owns Amazon” does—and does not—mean

  • Who owns the operating company? Amazon.com, Inc. is the legal parent that owns or controls the Amazon corporate group.
  • Who has voting authority? Shareholders and, in some arrangements, institutions or advisers exercising delegated proxy authority.
  • Who makes business decisions? Amazon’s management, led by CEO Andy Jassy, under the board’s oversight.
  • Who has the most individual influence? Bezos, because of his founder status, large shareholding, and executive-chair role—but influence is not the same as majority control.

Do not infer that Bezos can unilaterally appoint directors, that Vanguard or BlackRock executives personally own all the shares reported by their firms, that Prime members receive ownership rights, or that a proposed 15-million-share sale was completed without later transaction filings.

Is Jeff Bezos still Amazon’s biggest shareholder?

Based on Amazon’s latest full company-level ownership table, Bezos is the largest identifiable individual shareholder. The 2026 proxy reported 950,434,581 shares, or 8.8%, as of February 24, 2026. The firms may have investment discretion or voting authority in some arrangements, while the underlying investors bear the economic exposure. Their reported shares should not automatically be treated as personal ownership by the firms’ executives.

Do Amazon customers or Prime members own part of Amazon?

No. Customers and Prime members do not receive an ownership interest merely by buying products, paying for Prime, using Amazon services, or selling through the marketplace. An ownership interest comes from holding Amazon stock or an investment fund that holds it.

What is the difference between a Form 4 and a Form 144?

A Form 4 reports a completed or otherwise reportable change in an insider’s beneficial ownership. A Form 144 is generally a notice of a proposed sale under Rule 144. A Form 144 alone does not prove that the proposed number of shares was sold.

The Bottom Line

Bottom line: Amazon is owned by the holders of AMZN shares. Jeff Bezos remains Amazon’s largest identifiable individual shareholder and an influential executive chair, but he does not own or control the company outright. Vanguard- and BlackRock-related entities are major institutional holders, generally representing funds and clients. Andy Jassy runs Amazon as CEO, while the board oversees the company on behalf of all shareholders. Because ownership disclosures arrive on different dates and use different definitions, every percentage should be read with its filing date and ownership definition attached.
