All seven of 23andMe’s independent directors resigned on September 17, 2024—not every board member except the CEO. In their resignation letter, they said CEO Anne Wojcicki had not presented a fully financed, fully diligenced, actionable plan to take the company private that they believed served unaffiliated shareholders. They also cited a strategic disagreement and Wojcicki’s concentrated voting power. The directors did not say they were resigning “in disgust.”
What the directors said prompted their resignations
The seven independent directors said they had spent months working with Wojcicki on her effort to take 23andMe private. They wrote that she had not provided “a fully financed, fully diligenced, actionable proposal” that they considered to be in the best interests of unaffiliated shareholders. They also said there had been no notable progress over the preceding five months and that the Special Committee would not consider further extensions. The directors’ September 17, 2024 letter sets out their account of the dispute.
The directors described a broader difference over the company’s strategic direction and pointed to Wojcicki’s concentrated voting power. They wrote: “Because of that difference and because of your concentrated voting power, we believe that it is in the best interests of the Company’s shareholders that we resign from the Board rather than have a protracted and distracting difference of view with you as to the direction of the Company.” That is the directors’ explanation, not an independent finding about their private motives.
They said they preferred to resign rather than prolong a distracting disagreement, while continuing to support 23andMe’s mission and personalized-health offering. The letter stated: “We, the independent directors of the 23andMe Board, hereby tender our resignations, effective immediately.” It was signed by Roelof Botha, Patrick Chung, Sandra Hernández, M.D., Neal Mohan, Valerie Montgomery Rice, M.D., Richard Scheller, Ph.D., and Peter J. Taylor.

Which directors left—and which did not
The company identified the departing group as its seven independent directors. The precise description is therefore that all seven independent directors resigned, effective immediately, while Wojcicki remained on the board at that time—not that every director except the CEO left. 23andMe’s announcement lists the departing directors and the date of their resignations.
How the dispute developed after 2024
The disagreement formed part of Wojcicki’s effort to acquire the company and take it private. In March 2025, 23andMe said its Special Committee had rejected her acquisition proposal. On March 23, the company announced a voluntary Chapter 11 process. In the same announcement, it said Wojcicki was resigning as CEO by mutual agreement with the Special Committee but would remain on the board. The Chapter 11 announcement describes that later change in leadership and the bankruptcy filing.

What happened to 23andMe’s services
After the Chapter 11 process began, TTAM Research Institute acquired 23andMe’s Personal Genome Service and Research Services business lines. TTAM announced on July 14, 2025, that the acquisition was complete and that the services continued operating under TTAM. The completion announcement confirms the transaction’s completion; a planned sale price reported earlier should not be treated as the final transaction value on the basis of that announcement alone.
The 23andMe Research Institute is a separate, later governance context. On October 24, 2025, it announced that Brad Margus and Stephen Quake had joined its board. That institute board is not the same board as 23andMe’s seven independent directors who resigned in 2024. The Institute’s announcement describes those appointments.
