Has the EA deal closed?
Yes. EA agreed to the merger in September 2025, its stockholders approved it on December 22, 2025, and EA reported that all required regulatory approvals had been obtained as of July 30, 2026. EA’s June 2026 filing anticipated a closing around August 4, subject to remaining customary conditions. The Associated Press reported on August 5, 2026, that the transaction had closed. EA’s June 2026 Form 10-Q records the earlier status and expected timetable; the subsequent Associated Press report confirms completion.
Who bought Electronic Arts?
The buyer consortium included the Public Investment Fund (PIF), private investment funds affiliated with Silver Lake, and private investment funds affiliated with Affinity Partners. Under the merger structure, EA survived as a wholly owned subsidiary of the acquisition parent. PIF’s existing 9.9% stake in EA was to roll over into the transaction rather than being treated as a new cash purchase of those shares.
What does “$55 billion” mean?
EA described the transaction as worth approximately $55 billion in enterprise value. That is a measure of the overall business transaction, not a per-share payment or a sum distributed directly to shareholders. The stated cash consideration for each eligible share was $210, without interest, under the merger agreement. EA’s September 29, 2025 announcement said the $210 offer represented a 25% premium over the unaffected closing price of $168.32 on September 25, 2025. The premium compares the offer with that specific pre-announcement price; it is not a separate payment.

How was the acquisition financed?
EA’s announcement described approximately $36 billion in equity financing, including PIF’s rollover stake, and $20 billion in committed debt financing. JPMorgan Chase Bank, N.A. committed to the debt financing; $18 billion of it was expected to be funded at closing. In its June 2026 filing, EA said notes had been issued and the debt facilities syndicated, and stated that the merger was not subject to a financing condition. The announced debt commitment is financing for the transaction, not a bill owed personally by former EA shareholders.
What changes for EA under private ownership?
EA said at announcement that it would remain headquartered in Redwood City, California, and that Andrew Wilson would continue as CEO after completion. Wilson said the company would “continue to push the boundaries of entertainment, sports, and technology, unlocking new opportunities.” That was his statement when the deal was announced in September 2025, not confirmation of a later operating policy or outcome.

Private ownership could give EA greater freedom to make long-term development decisions, while the debt burden could create pressure to reduce costs, the Associated Press reported as competing possibilities. Neither possibility establishes what EA will do. The cited reporting does not establish future staffing levels, creative-control arrangements, release plans, or AI-use decisions.

- September 28–29, 2025: EA entered into the merger agreement on September 28 and announced it publicly on September 29. The announcement set out the consortium, enterprise value, per-share cash consideration, and financing.
- December 22, 2025: EA stockholders approved the merger, according to the company’s subsequent filing.
- July 30, 2026: EA reported that all required regulatory approvals had been obtained. Its June 30 filing still described customary closing conditions as outstanding and anticipated a closing around August 4; that forecast alone did not establish completion.
- By August 5, 2026: The Associated Press reported the acquisition had closed, making EA privately owned.
The merger agreement sets out the transaction structure, eligible-share consideration, and closing conditions in the SEC-filed agreement.
