Decentralized Autonomous Organizations (DAOs): New Models for Community Investment

DAOs can coordinate community decisions and shared resources, but token voting does not guarantee broad control. Understand treasury authority, legal questions and investment risks before participating.

A decentralized autonomous organization (DAO) can let a group coordinate decisions and shared resources through digital proposals, voting and rules expressed in code. That can create a new way to organize community investment, but the label does not tell you who legally owns the assets, who can move them, how voting power is distributed or what protections investors have. Those details—not the word “decentralized”—determine how much influence and risk participants actually have.

What is a DAO?

The Law Commission of England and Wales describes DAOs as internet-based collaborative organizations that coordinate people and resources using rules expressed in computer code. In practice, “DAO” covers varied arrangements; some projects using the term differ substantially from the original idea of a fully decentralized organization.

A DAO often uses online proposals and collective voting to make decisions. Voting power may be linked to governance tokens, so a holder of more tokens may have more influence than a holder of fewer. That is not the same as one-person-one-vote, and the presence of a vote does not establish that members broadly participate or control execution.

How could a DAO organize community investment?

At a high level, a group could use a DAO-style process to propose how shared funds should be used, vote on a proposal and arrange for an approved decision to be carried out. Code can help coordinate parts of this process, but it does not by itself establish who legally owns a treasury, who has authority to transfer assets, or who is accountable if something goes wrong. Those arrangements depend on the specific organization and its legal structure.

  1. Set the decision rules. Determine who may submit proposals, who may vote, how voting power is counted and whether votes can be delegated.
  2. Establish treasury authority. Identify who holds or controls the assets, who can execute approved decisions, and what procedures apply during an emergency.
  3. Make and assess proposals. Participants review a proposed use of funds and decide whether to approve it under the DAO’s rules.
  4. Carry out and account for the decision. The group needs a way to establish whether the decision was executed and who is responsible for reporting on it.

This is a way to think about the process, not a universal DAO workflow. A project may use different voting, asset-control and execution arrangements. Governance participation also does not establish that a project will earn a return; the sources discussed here do not establish a general DAO investment return, success rate or loss rate.

Does token voting make a DAO community-controlled?

Not necessarily. Token-weighted voting can give greater influence to people or entities holding more governance tokens. To assess a claim of community control, look at who can propose decisions, how voting power is distributed, who actually votes, whether delegation is available and who executes decisions. A large number of token holders alone does not show that participation is broad or that influence is evenly shared.

A 2024 preprint by Tanusree Sharma and co-authors analyzed on-chain voting records and off-chain information for a sample of 100 DAOs. In that sample, the authors found an association between greater grassroots participation and higher measured decentralization, and between lower variance in voting power and higher measured decentralization. These are sample-specific correlations, not proof that participation causes decentralization or a rule that applies to every DAO.

The same study reported higher voting-power Gini values—interpreted by the authors as lower decentralization—among infrastructure, funding, product and investment-oriented DAO categories than among research, data-analysis, social or greater-good, and sports-oriented categories. That comparison describes the study’s categories and sample; it cannot establish the governance quality of an individual project.

How large is the DAO ecosystem?

Sharma et al.’s 2024 preprint cited DeepDAO estimates of $24.5 billion in DAO treasury, 11.1 million governance-token holders and more than 13,000 DAOs as of 2024. These are ecosystem estimates reported by the paper, not a live measure of available funds or an independently verified balance. They say nothing by themselves about how much capital is investable, how many holders actively vote or whether a particular DAO is financially sound.

Who controls a DAO treasury?

The answer must be established for each DAO. A proposal may receive approval through a vote while a separate person, group, service provider or technical mechanism controls execution. A reader should distinguish the right to vote from the practical ability to move funds, pause activity or respond to an incident.

  • Who can submit proposals, and what makes one eligible for a vote?
  • How is voting power allocated, and how concentrated is it among the largest holders?
  • Who can execute an approved proposal or access treasury assets?
  • Are emergency changes possible, and who can authorize them?
  • What individuals or legal entities are responsible for operations, reporting and recourse?

If those answers are unclear, the community may have less practical control than the governance interface suggests. The CFTC Technology Advisory Committee’s DeFi report, summarized by Commissioner Christy Goldsmith Romero in January 2024, identifies unclear responsibility and accountability as a concern because it can complicate victim recourse, responses to illicit exploitation and action during crises.

Are DAO tokens securities?

United States

A DAO label or token does not settle whether a particular offering falls under U.S. securities laws. In its 2017 statement about The DAO, the SEC said the tokens in that specific offering were securities based on the facts and circumstances. It explained that an offering’s economic realities matter, and that using a distributed ledger or blockchain does not remove an activity from federal securities-law requirements. The statement also discusses possible registration or exemption requirements and other securities-law questions, including exchange, investment-company and investment-adviser issues.

The SEC’s statement concerns The DAO’s offering; it is not a categorical determination about every DAO token. Whether securities laws apply depends on the actual offering and relevant facts. The SEC urged market participants using new technologies to form investment vehicles or distribute investment opportunities to consult securities counsel.

England and Wales

The Law Commission published a DAO scoping paper on 11 July 2024. It said there was no current need to develop a DAO-specific legal entity for England and Wales and identified areas that could merit further consideration, including company and limited-liability partnership law, a flexible limited-liability not-for-profit association, trust law and anti-money-laundering regulation. The work was a scoping exercise, not a formal recommendation to create a new DAO entity or a statement that any proposed option had become law.

These materials address different jurisdictions and questions. They do not determine the legal treatment of a DAO operating elsewhere. Anyone considering pooled funds should identify the actual legal vehicle and seek advice appropriate to the jurisdiction and activity.

What risks should a community investor examine?

DAO-related and decentralized-finance arrangements can combine governance, technology and financial risks. The CFTC commissioner’s January 2024 summary stresses that benefits and risks depend on the design and features of the specific system, and that many DeFi systems sit somewhere on a spectrum rather than being completely centralized or decentralized.

  • Governance and information: conflicts of interest, unequal access to information, concentrated voting power or limited participation.
  • Operations and technology: security or operational vulnerabilities, algorithmic failures, oracle or consensus weaknesses, and reliance on key service providers.
  • Financial conditions: liquidity or maturity mismatches, over-leverage and difficulty exiting a position.
  • Market integrity and illicit finance: possible manipulation, including wash trading or front-running, and illicit-finance risks.
  • Accountability and recovery: uncertainty about who can respond to a crisis, who may be responsible for losses and what recourse participants have.

This is a screening list, not a claim that every DAO has every risk. Evidence about the specific project is needed to assess its safeguards, controls and limits on loss recovery.

The OECD’s 2024 report, The Limits of DeFi for Financial Inclusion: Lessons from ASEAN, concerns DeFi markets in ASEAN, not DAOs generally. It reports that participation in the markets it studied was substantially driven by speculation and fear of missing out rather than practical financial-inclusion use cases. The report also warns that complexity and limited traditional safeguards can expose retail participants to losses without recourse. That regional DeFi evidence is a reason to question broad claims that decentralized finance automatically makes investment inclusive; it is not a global finding about DAO participants.

How to evaluate a DAO before participating

Review the organization’s actual rules and arrangements rather than relying on its name or claims of decentralization. Focus on whether the governance process, asset controls, legal structure and risks are understandable enough for you to judge.

  • Decision rights: Read how proposals are submitted, votes are weighted and decisions are delegated or executed.
  • Real participation: Check who votes and contributes, and whether the people affected by a decision have meaningful influence.
  • Treasury access: Establish who controls the assets and what can happen if approved decisions are delayed, disputed or need intervention.
  • Legal and geographic context: Identify the legal vehicle, relevant jurisdiction and any obligations that may apply to the activity.
  • Risk and recourse: Look for evidence about security and operational controls, liquidity, concentration, accountability and how participants can seek help or recover losses.

If the project does not make these points clear, do not treat token ownership, a public vote or “community” branding as a substitute for understanding the arrangement. No general performance or loss statistic in the sources establishes that DAO participation is a suitable investment or produces returns.
