OpenAI later announced that it closed the round with $122 billion in committed capital at an $852 billion post-money valuation. Amazon, NVIDIA and SoftBank anchored the financing, while Microsoft continued as a long-term partner.
How the $100 billion target became a $122 billion round
The original headline captured a real financing effort, but its wording is now out of date. In January 2026, reporting described SoftBank discussions for up to $30 billion and a possible OpenAI round of up to $100 billion at roughly $830 billion. On February 19, Bloomberg reported that the round was on track to exceed $100 billion and that its valuation could rise above $850 billion. These were reports about a developing transaction, not a completed financing. The January report and Bloomberg’s February report describe those earlier stages.
On February 27, OpenAI announced $110 billion in new investment at a $730 billion pre-money valuation. It said additional financial investors were expected to join. In its later announcement, OpenAI said the round had closed at $122 billion in committed capital and an $852 billion post-money valuation. The final announcement is the current status as of August 18, 2026. OpenAI’s February announcement and its later closing announcement document the progression.
| Stage | Amount or valuation | What it means |
|---|---|---|
| Early reported framework | Up to $100 billion; about $830 billion valuation | Reported target and expected valuation, not a closed deal. |
| February 27 announcement | $110 billion; $730 billion pre-money valuation | OpenAI’s announced initial financing, with further investors expected. |
| Later closing announcement | $122 billion committed capital; $852 billion post-money valuation | OpenAI’s final announced round size and post-money valuation. |
What the valuation figures mean
Pre-money valuation is the company’s stated value before new financing is added; post-money valuation includes the financing. They are not interchangeable. OpenAI’s February announcement put the pre-money figure at $730 billion. A simple addition of the announced $110 billion would produce $840 billion post-money, but the later round changed as more investors joined. OpenAI ultimately announced an $852 billion post-money valuation alongside $122 billion in committed capital.

The earlier $830 billion figure was a reported expectation, not the final valuation OpenAI announced. Valuation in a private financing is also not the same as a publicly observable share price: it reflects the terms and structure of a transaction and does not guarantee that all shares could be sold at that implied value.
| Illustrative calculation | Implied share of post-money value |
|---|---|
| $100 billion at an $830 billion post-money valuation | About 12.0% |
| $110 billion at a $730 billion pre-money valuation, before later changes | About 13.1% of the implied $840 billion post-money value |
| $122 billion at an $852 billion post-money valuation | About 14.3% |
These are simplified ratios, not a reconstruction of OpenAI’s ownership. Preferred-stock rights, options, warrants, employee equity pools, conversion terms and other securities can affect actual ownership and dilution.

Who invested, and what is known about their commitments?
OpenAI identified Amazon, NVIDIA and SoftBank as the round’s anchors and said Microsoft continued as a long-term partner. The February announcement and contemporary reporting attributed $50 billion to Amazon, $30 billion to NVIDIA and $30 billion to SoftBank. Treat those amounts as announced or reported commitments, not proof that all the money was transferred at once. OpenAI did not identify Microsoft as one of the three principal new investors in the February announcement, and the disclosed information does not establish a specific Microsoft contribution to this round. TechCrunch’s financing breakdown reports the investor amounts; OpenAI’s closing announcement describes the anchors and Microsoft’s continuing partnership.
Amazon
Amazon’s reported $50 billion commitment accompanies a strategic relationship tied to cloud computing and infrastructure. For Amazon, a fast-growing AI customer can mean demand for AWS capacity and a stronger role in a market where cloud providers compete to host AI workloads. The financing may also deepen the commercial relationship, but the public announcements do not provide a dollar-by-dollar map of investment proceeds to AWS spending.

NVIDIA
NVIDIA’s reported $30 billion commitment puts a major AI-chip supplier among the financiers of a large AI-compute buyer. That alignment may provide NVIDIA with demand visibility and reinforce its hardware and software ecosystem. It also creates a legitimate question about circularity: some capital invested in an AI developer could ultimately support purchases from suppliers such as NVIDIA. That is an analytical risk to examine, not evidence of wrongdoing or a disclosed allocation of funds. Contemporary reporting described NVIDIA’s $30 billion investment.
SoftBank
SoftBank announced a $30 billion follow-on investment through Vision Fund 2. Its disclosures show why a commitment should not automatically be read as cash delivered on day one: SoftBank reported executing a first $10 billion tranche on April 1 and a second $10 billion tranche on July 1. These releases establish staged execution of those tranches; they do not, on their own, provide a complete account of every funding condition or the timing of the balance. See SoftBank’s investment agreement, its first-tranche announcement and its second-tranche disclosure.

Microsoft
Microsoft remains a long-term OpenAI partner, according to OpenAI’s announcements. That relationship is distinct from the named anchors of the new financing: the available announcement does not confirm a specific Microsoft investment amount in this round. Buying Microsoft shares would provide exposure to Microsoft’s overall business, not direct ownership of OpenAI.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Why OpenAI is raising capital at this scale
OpenAI frames the financing as support for the next phase of AI development and infrastructure. The business requires capital for more than model research: training and serving advanced models depend on computing capacity, chips, data centers and energy. Serving ChatGPT users and enterprise customers at global scale can also require substantial ongoing inference capacity, product development and customer support. Earlier financing coverage tied the raise to OpenAI’s large infrastructure ambitions, but neither the company’s announcements cited here nor the reporting provides a complete allocation schedule.

- Compute and infrastructure: Capacity is needed to train models and answer user and business requests at scale.
- Products and distribution: Consumer and enterprise services need ongoing development, reliability and routes to customers.
- Research and resilience: Further model work and safety efforts are potential uses, but OpenAI has not published a complete dollar-by-dollar budget for the round.
- Strategic access: Backing from cloud, chip and investment partners may help secure resources and commercial relationships, while also increasing the importance of those relationships.
OpenAI said its enterprise revenue represented more than 40% of revenue and was on track to reach parity with consumer revenue by the end of 2026. Those are company claims and a forecast, not independently verified results. They matter because usage growth alone does not show whether revenue will cover the cost of inference, infrastructure and continued development. OpenAI’s closing announcement states the revenue mix and outlook.
What the financing could mean for OpenAI—and what it does not prove
The financing gives OpenAI access to substantial committed capital and backing from firms with interests in AI infrastructure and distribution. That can support longer-term planning for compute and product expansion. It also raises the bar: an $852 billion post-money valuation embeds strong expectations for future growth, revenue and competitive position. The financing itself does not prove that OpenAI can meet those expectations or that today’s AI demand will translate into durable margins.
- Revenue versus cost: Enterprise contracts and consumer products must generate enough value to support expensive model training and inference.
- Infrastructure dependence: Reliance on strategic cloud and chip partners may make capacity more available, but can also constrain flexibility or create competing commercial interests.
- Competition and commoditization: OpenAI competes with major model developers, including Anthropic, Google, Meta and xAI. If capable models become easier to substitute, pricing power and returns on infrastructure spending could weaken.
- Execution and cash burn: Data-center, energy and computing commitments can create large fixed costs. A slowdown in demand or a shift in technology could make those investments harder to justify.
- Dilution and investor terms: New financing can reduce existing holders’ percentage ownership, while preferred rights and other terms can make the economic impact more complex than a simple percentage calculation.
OpenAI also said the financing increased the value of the OpenAI Foundation’s stake to more than $180 billion. That is the company’s stated valuation of the stake, not an independently quoted public-market price. OpenAI’s February announcement gives that figure.
Can ordinary investors buy into OpenAI?
The financing does not create an OpenAI stock ticker or a standard public-market investment route. OpenAI is a private company, and the announced round was a private financing involving institutional and strategic investors. Buying shares in Amazon, NVIDIA, Microsoft or SoftBank is not the same as buying OpenAI equity; each is a separate company with its own assets, risks and business results.
Some private-market platforms may offer secondary shares in private companies, but availability and eligibility vary. Such transactions can involve accreditation requirements, limited information, high fees, transfer restrictions, difficulty reselling and substantial fraud risk. A platform listing is not proof that a transaction is authorized or that the stated valuation is attainable. Readers should verify legal eligibility, ownership rights and fees and should not treat indirect exposure through a partner’s public stock as direct OpenAI ownership.
