On February 11, 2003, it agreed to buy Asyst’s silicon wafer and reticle carrier product lines, related assets and specified intellectual property for $38.75 million. The transaction was an asset purchase, not a corporate takeover, as Entegris later detailed in its Form 10-Q filed April 15, 2003.

The agreement date also appeared in the contemporary EE Times report published February 11, 2003. Entegris filed an associated Form 8-K on February 26 and later described the transaction in detail in its quarterly filing.
What wafer and reticle carriers do
A wafer carrier protects and transports semiconductor wafers as they move through manufacturing. A reticle carrier protects photomasks, also called reticles, that contain circuit patterns used in lithography. Both are part of the factory’s materials-handling and contamination-control infrastructure: the products help move sensitive materials between process steps rather than perform the chipmaking process themselves.
Entegris’ 2003 filing calls the acquired business the wafer and reticle carrier, or WRC, product lines. Later Entegris materials use terms such as FOUPs—Front-Opening Unified Pods—for wafer carriers, but that modern terminology should not be treated as a complete description of the products in the 2003 deal. The later terminology appears in an Entegris release about a separate, later development.

What the asset purchase included
Entegris bought the WRC product lines and associated tangible assets, not Asyst’s entire company. Its SEC filing says Entegris hired key Asyst employees involved with the lines. The filing does not specify how many employees joined.
The transaction also covered intellectual-property arrangements. Entegris disclosed a patent assignment and cross-license, a trademark license, and licenses to additional patents, trademarks and other intellectual property related to the WRC business. It also agreed to pay Asyst royalties based on net revenue from certain semiconductor wafer-handling products for five years. The filing does not say that every acquired product was subject to royalties.

The related Asset Purchase Agreement likewise identifies the transaction as a purchase of Asyst’s wafer-and-reticle-carrier business.
Why the companies made the deal
Entegris: broaden its semiconductor-products portfolio
Entegris said the deal would let it provide stronger support to the semiconductor industry. In its filing, the company placed the WRC line within its microenvironments business. Adding the lines and related expertise fit a portfolio centered on products used to handle and protect materials in semiconductor manufacturing.

Asyst: focus resources on automation
Asyst described the sale as part of a strategy to sharpen its focus on automation technologies and markets where it believed it had stronger competitive advantages. It also said transferring the carrier business to a company with manufacturing and product-design expertise would support customers. These were the companies’ stated rationales; the available transaction records do not quantify market-share gains, customer gains or later revenue attributable to the deal.
How Entegris planned to integrate production
Entegris expected production of the WRC line to move to its facilities in Chaska, Minnesota, during the third quarter of fiscal 2003. That was a plan disclosed at the time, not proof by itself that the move was completed on schedule.

The filing also records execution costs and risks: Entegris anticipated additional engineering, research and development expense from employees hired through the transaction, as well as a temporary reduction in shipping volume while the manufacturing line was integrated. The disclosed transition makes clear that the purchase involved more than acquiring product designs or inventory; production, staff and intellectual-property rights also had to be brought into the business.

Entegris reported that two acquisitions completed in fiscal 2003’s second quarter totaled $43.5 million. The Asyst transaction accounted for $38.75 million of that amount. Entegris also recorded approximately $33.8 million in intangible assets in connection with the Asyst deal. That $33.8 million was the accounting value assigned to acquired intangible assets, not the purchase price.

The company said the acquisitions were accounted for using the purchase method, with acquired net assets and results included from their acquisition dates. These figures come from the Form 10-Q signed April 15, 2003.
Why the distinction matters
The deal is best understood as a targeted expansion in semiconductor materials handling and contamination control. Carriers help protect and transport wafers and reticles, so they serve an important supporting role in chip manufacturing without being process tools that pattern or etch chips. The transaction added product lines, associated intellectual property and experienced personnel to Entegris’ portfolio, while Asyst redirected attention toward automation.
Although the headline says Entegris “acquires” Asyst’s lines, that wording does not mean Entegris bought Asyst Technologies. The documented transaction was a purchase of specified business assets and product lines in 2003; the available sources do not establish the later fate of every model or quantify the business’s long-term contribution.
