Microsoft’s Fungible Acquisition: What It Means for Azure Data Centers

Microsoft integrated Fungible’s team into its data-center engineering organization, but disclosed neither deal terms nor a Fungible-branded Azure product.

Microsoft announced on January 9, 2023, that it had acquired Fungible, a company focused on data-processing units (DPUs) and composable data-center infrastructure. Microsoft said Fungible’s team would join its data-center infrastructure engineering organization and work on DPU solutions, networking, and hardware systems. The company did not disclose the purchase price or announce a Fungible-branded Azure product. The deal is best understood as an investment in infrastructure technology and engineering expertise—not a confirmed purchase of a standalone product line.

What Microsoft acquired

Microsoft confirmed that it acquired Fungible Inc. and that Fungible’s team would join Microsoft’s data-center infrastructure engineering organization. The company described Fungible as a provider of composable infrastructure and data-processing units. Its announcement said the team would work on “multiple DPU solutions,” networking innovation, and hardware-systems advancements. Microsoft’s announcement did not itemize the assets transferred or characterize the transaction as an IP-only purchase.

Fungible’s DPU technology, associated software, systems architecture, networking and storage capabilities, and engineering know-how were all potentially relevant to Microsoft. The exact mix of technology, intellectual property, equipment, and other assets was not publicly specified. Microsoft’s acquisition history lists Fungible among its 2023 acquisitions.

What a DPU does—and what it does not do

A data-processing unit is a processor designed to handle selected data-center infrastructure tasks, such as networking, storage data movement, security, or virtualization. A server’s general-purpose CPU can then spend less of its capacity on that infrastructure work and more on applications. A DPU complements the host CPU; it is not a universal CPU, GPU, network-card, or storage-controller replacement.

The terms DPU, SmartNIC, and infrastructure processing unit (IPU) overlap, but vendors use them for different architectures and product capabilities. DPUs are intended to take on infrastructure tasks such as security and routing, reducing some of the work otherwise handled by host processors. Contemporaneous coverage of the deal describes that general role.

Offloading can help with CPU availability, isolation, or infrastructure efficiency, but it does not automatically make an application faster or reduce the energy use of an entire system. The outcome depends on the workload, software and driver support, orchestration, and the added hardware and operational overhead. Network-, storage-, virtualization-, or security-heavy workloads are likelier to benefit than ordinary CPU-bound applications.

Why Fungible’s approach mattered to Azure

Fungible’s broader aim was composable, disaggregated infrastructure: managing resources such as storage and networking more independently from individual servers, while using specialized processors to handle some infrastructure work. Microsoft described the technology as supporting high-performance, scalable, disaggregated infrastructure with reliability and security.

For a cloud provider operating at hyperscale, even modest changes in server density, CPU utilization, latency, storage throughput, power use, or security isolation can matter across a large fleet. Microsoft said the acquisition could help with offloading, latency, data-center server density, energy efficiency, and cost reduction. Those were stated objectives, not published measurements of results after the acquisition. Microsoft did not quantify anticipated savings or performance gains in its announcement.

Control of more of the infrastructure stack can also give a cloud provider room to coordinate hardware, firmware, networking, storage, and cloud services. That can make an internally useful design valuable even if it is not practical to sell as a general-purpose product to other data-center operators.

How the deal fits the DPU market

Microsoft’s move came amid wider investment in infrastructure offload. AWS uses its Nitro system and cards; NVIDIA offers BlueField DPUs; AMD acquired Pensando; and Intel has pursued IPU products. The names and architectures differ, but the broad strategic direction is similar: move selected infrastructure functions away from host CPUs and tailor them to cloud or data-center needs. TechTarget’s acquisition coverage placed Microsoft’s move in that competitive context.

The significance is less about one chip category winning outright than about cloud providers treating hardware below the virtual-machine layer as a source of control and differentiation. An internally optimized platform may improve fleet economics or service characteristics without becoming a product customers can select or buy separately.

Why Fungible may have been more valuable inside Microsoft

Fungible pursued an ambitious architecture, but adoption required customers to make substantial changes to data-center hardware and software. Industry coverage identified hurdles including proprietary processor design, software-development demands, competition from larger vendors, and the challenge of persuading customers to redesign infrastructure. TechCrunch reported that Fungible had raised more than $300 million and had laid off staff and reduced its product portfolio before the acquisition.

Those challenges help explain why a technology and engineering team might be strategically useful to a hyperscaler even if the startup faced difficulty building a broad independent hardware business. Microsoft could evaluate and integrate the work within its own fleet rather than relying on an open-market customer base to adopt a new architecture. That is a strategic interpretation of the deal, not a publicly stated explanation of Microsoft’s valuation or integration plan.

What the deal cost—and what remains unconfirmed

Microsoft did not disclose financial terms. Several outlets reported a price of approximately $190 million, but that figure was not confirmed by Microsoft. Data Center Dynamics and TechTarget reported that terms were undisclosed while referencing the estimate; Blocks & Files also reported the figure.

The public announcement also did not identify a specific list of patents or provide an allocation of the deal’s value among technology, tangible assets, goodwill, or personnel. It did not announce a customer-facing Azure service, SKU, region, price, or general-availability date tied specifically to Fungible.

What customers can—and cannot—conclude

Azure customers could potentially benefit indirectly if Microsoft uses the acquired capabilities to improve infrastructure efficiency, networking, storage, or isolation. The public announcement does not establish that Fungible technology was deployed in a particular Azure service, nor does it quantify customer-visible performance or cost effects.

There is likewise no basis in the announcement for assuming that enterprises can buy a Fungible-branded DPU from Microsoft or select a Fungible-specific Azure option. An internally optimized cloud platform can affect service economics without exposing the underlying hardware choice; it can also make the implementation less portable than customer-managed infrastructure.

What would demonstrate that the acquisition succeeded?

Microsoft did not publish Fungible-specific post-acquisition results in the announcement. If evaluating whether this kind of infrastructure investment delivers, useful measures would include:

  • Lower host CPU use for networking and storage tasks.
  • Improved network or storage latency for relevant workloads.
  • Higher virtual-machine density per server.
  • Lower energy use per workload, measured across the full system rather than the DPU alone.
  • Stronger workload isolation or faster rollout of infrastructure capabilities.
  • Better operating economics without excessive software, monitoring, or troubleshooting complexity.

These are evaluation criteria, not outcomes established for Fungible technology in Azure.

Where Fungible stands publicly

Microsoft’s announcement points to integration into its data-center engineering organization, rather than a promise to keep Fungible operating as an independent product business. SoftBank Vision Fund’s portfolio record for Fungible marks the company as acquired and says the fund’s investment was fully divested. The public information cited here does not establish that Microsoft continued selling a Fungible-branded product line or launched a standalone Azure service under that name. That absence is not proof that every Fungible product was discontinued; it means Microsoft did not publicly document such a commercial roadmap in the cited materials.
