Bain Capital completed its acquisition of PowerSchool on October 1, 2024, taking the K–12 education software company private. The deal was announced on June 7, 2024, at approximately $5.6 billion in enterprise value; eligible shareholders were to receive $22.80 per share in cash. For districts and families, the change in ownership did not by itself alter software, contracts, or access.

What PowerSchool sells
PowerSchool is a software provider to K–12 schools and districts, not a school operator. Its products cover student information systems (SIS), enrollment, learning management, assessment, special education, finance and resource planning, human resources, analytics, communications, and college- and career-readiness tools. Its SIS can support administrative work such as scheduling, attendance, grading, reporting, family communication, and integrations; see the company’s PowerSchool SIS overview.
That breadth matters when assessing the business: the deal concerned a platform spanning administrative and instructional software, not just one student-record system. PowerSchool described the company as serving more than 55 million students and over 17,000 customers in more than 90 countries in its June 2024 announcement. At closing in October 2024, it reported more than 60 million students and over 18,000 customers in more than 90 countries. Those are company-reported figures from different dates, not a single directly comparable count.

What the $5.6 billion figure and 37% premium mean
The approximately $5.6 billion headline figure was the transaction’s enterprise value; it should not be read as $5.6 billion paid in cash to shareholders. The separate shareholder consideration was $22.80 in cash per eligible share, under the merger terms. Some existing holders rolled over equity rather than receiving only cash, and Vista and Onex retained minority interests after closing.
PowerSchool said the $22.80 offer was a 37% premium to its $16.64 closing share price on May 7, 2024. That was the unaffected trading price—the last close before media reports about a possible transaction began affecting the stock—not necessarily the price immediately before the formal announcement. The transaction was structured as a merger and going-private deal; the SEC merger information statement and Schedule 13E-3 materials describe the process.

Why Bain pursued PowerSchool
Bain said the acquisition would support PowerSchool’s next phase as a private company, including continued platform expansion, product investment, and broader global access as demand for education technology grew. Those are the publicly stated aims in the Bain announcement and the closing release.
Private-equity ownership can give a company different flexibility around investment and strategy because it no longer has the same public-market reporting obligations. Operational improvement, acquisitions, and eventual investment returns are common considerations in private-equity deals, but they are general possibilities—not confirmed Bain plans for PowerSchool. PowerSchool reported completing 19 strategic acquisitions from 2015 through June 30, 2024; that history alone does not establish that Bain intends to continue buying companies.

What going private changed—and what it did not
After the October 1, 2024 closing, PowerSchool stopped trading as a public company and became privately owned by Bain-affiliated funds, with Vista and Onex as minority investors. Public shareholders received the consideration specified by the merger, subject to its terms; existing holders who rolled over equity remained invested. PowerSchool no longer had the public-company disclosure obligations associated with its NYSE listing.
The ownership change did not automatically require a district to switch vendors or establish that prices, product quality, staffing, service, or security practices changed. Those outcomes require separate evidence. The acquisition itself also does not determine what happens under any particular school’s contract or data-governance commitments.

What districts should review
For a district that already uses PowerSchool, the practical questions are contractual and operational. Review the district’s own agreements and require written answers where the documents are unclear.
- Change of control and renewal: Check assignment provisions, renewal dates, price-adjustment terms, and the length of any renewal.
- Services and support: Confirm service levels, support channels, implementation commitments, and remedies if obligations are missed.
- Data and security: Verify data ownership, retention and deletion rules, export rights, subprocessor disclosures, security documentation, and breach-notification duties.
- Products and integrations: Ask about product road maps, interoperability, module dependencies, and written notice and transition support if a product is consolidated or retired.
- Costs and alternatives: For a new procurement, request a five-year total-cost estimate that includes implementation, migration, training, and integrations—not only subscription fees. Compare vendors by the specific need, such as SIS, LMS, assessment, or finance software; they are not automatically interchangeable.
PowerSchool does not publish a standard public SIS price on the cited product and contact pages; prospective customers are directed to contact the company. A district should therefore compare a dated, scope-specific quote with its own functional, budget, security, accessibility, state-reporting, and data-portability requirements. The company’s contact page provides a route to request information.

What families should expect
Parents generally use the system selected by their school or district; they do not choose the district’s SIS. The acquisition alone does not establish a change to a family’s login, grades, attendance, or schedule access. PowerSchool advises families to use the portal URL supplied by their school or district; its family support page provides guidance.
How the transaction reached closing
The merger was subject to customary conditions, including required shareholder approval or written consent, expiration or termination of the Hart-Scott-Rodino antitrust waiting period, delivery of information materials, and the absence of specified legal restraints or a continuing material adverse effect. PowerSchool’s quarterly filing states that the HSR waiting period expired at 11:59 p.m. Eastern Time on July 22, 2024. These were steps in a transaction that subsequently closed, not pending requirements today.
