AMD and Meta’s AI Deal: What Six Gigawatts and 160 Million Shares Really Mean

AMD and Meta’s six-gigawatt AI partnership includes a conditional warrant for up to 160 million shares—not an immediate 10% stake or disclosed $100 billion contract.

AMD and Meta announced a multiyear agreement on February 24, 2026, for Meta to deploy up to six gigawatts of AMD-powered AI infrastructure. AMD also issued Meta a warrant to buy up to 160 million AMD shares—but Meta did not receive those shares outright, and the companies did not disclose a $100 billion contract price. The warrant depends on shipment, purchase, share-price, technical and commercial milestones.

What AMD and Meta agreed to

The companies described a multiyear, multigenerational partnership spanning AMD Instinct GPUs, CPUs, rack-scale systems, networking and systems design, software, and roadmap alignment. Meta agreed to purchase at least the initial one-gigawatt equivalent under the amended purchase agreement; the broader plan is for up to six gigawatts. The six-gigawatt maximum is not a statement that all of that capacity has been installed or will necessarily be purchased.

The first-gigawatt shipments were expected to begin in the second half of 2026. AMD and Meta announced a future custom Instinct GPU based on AMD’s MI450 architecture, integrated with AMD Helios rack-scale systems and next-generation EPYC CPUs. AMD’s roadmap references sixth-generation EPYC products codenamed Venice and Verano. These were elements of a planned deployment, not retail products already available when the partnership was announced. AMD’s announcement also describes a broader software strategy involving ROCm. AMD’s announcement and Meta’s announcement provide the companies’ descriptions of the plan.

What six gigawatts means—and what it does not tell you

A gigawatt is a measure of power capacity, not a chip count. Here, “up to six gigawatts” describes the planned scale of AMD-powered AI infrastructure. It should not be translated into a precise number of GPUs: the public announcement does not specify the final configuration or the power attributable to each component.

The announcements do not provide a precise GPU or rack count, data-center locations, price per gigawatt, a complete delivery schedule for all six gigawatts, or a detailed revenue split among GPUs, CPUs, networking and systems. Nor does the maximum commitment establish that the entire deployment will happen. The initial one-gigawatt purchase commitment is a distinct milestone from the broader six-gigawatt plan.

Is the agreement worth $100 billion?

That figure is a media characterization of the potential economic scale, not a contract value disclosed by AMD or Meta. The companies announced the infrastructure scope and warrant terms but did not state a guaranteed $100 billion payment or fixed total purchase price. The Associated Press described the deal as worth up to $100 billion; that estimate may reflect projected hardware and infrastructure sales across multiple years rather than a disclosed cash commitment. How the 160-million-share warrant works

AMD issued Meta a warrant covering the right to purchase up to 160 million AMD common shares at an exercise price of $0.01 per share. A warrant is a contractual right to buy shares if its conditions are met; it is not the same as receiving common stock immediately. Under the terms described in AMD’s SEC filing, vesting occurs in tranches tied to qualifying product shipments and purchases. The first tranche is tied to shipment of the initial one-gigawatt equivalent, and full vesting is contingent on purchases reaching the six-gigawatt equivalent. Vesting also depends on AMD meeting specified stock-price thresholds, while exercise is subject to Meta meeting technical and commercial milestones. The filing sets out the terms at SEC.gov.

  1. Issued: AMD grants Meta the contractual warrant, subject to its terms.
  2. Milestones met: Shipment, purchase, share-price and other applicable conditions determine whether a tranche qualifies.
  3. Vested: Meta earns the right to exercise the portion that has met its vesting conditions.
  4. Exercised: Meta uses the warrant to buy vested shares at $0.01 each. Only then would it hold those shares as common stock.

Issuance does not establish that any tranche has vested, and vesting alone does not establish that Meta exercised it. As of the information available on August 16, 2026, the companies still described initial shipments as expected in the second half of 2026; the sources cited here do not verify that the first gigawatt had shipped or that any warrant shares had vested.

Why “10% of AMD” is not a guaranteed outcome

Some coverage describes the maximum 160 million shares as roughly 10% of AMD. That is an approximate comparison, not a contractual promise that Meta will own 10%. The resulting percentage would depend on AMD’s shares outstanding when measured, dilution from other share issuances, how many warrant shares vest, and how many Meta exercises. Stock splits or other contractual adjustments could also affect the share count. The warrant’s $0.01 exercise price is not its economic value: that depends on the eventual share price and the number of shares that qualify and are exercised.

If the full warrant vested and Meta exercised it, issuing the shares could dilute existing shareholders. The precise effect should be calculated against AMD’s share count at the relevant time, rather than inferred from the rounded “10%” description.

What the partnership could mean for AMD and Meta

For AMD

The agreement could give AMD a major customer, greater demand visibility for future Instinct generations, and a large-scale deployment to support its AI hardware and software ecosystem. Integrating Instinct GPUs, EPYC CPUs, Helios systems and ROCm could deepen the platform offering. AMD said it expects the partnership to support revenue growth and be accretive to non-GAAP earnings per share. Those are company expectations, not reported results or guarantees; delivery, customer deployment and economics will determine what AMD ultimately realizes.

For Meta

Meta gains a path to AMD GPU capacity across multiple generations, with custom hardware and systems aligned to its workloads, plus CPU and rack-scale integration. The warrant gives Meta a potential financial upside if its conditions are met. The partnership can diversify or complement Meta’s infrastructure choices, but it does not establish that Meta is abandoning Nvidia or that the AMD arrangement is exclusive.

What investors should monitor

  • Binding scope: Separate the initial one-gigawatt-equivalent purchase commitment from the broader “up to six gigawatts” plan.
  • Delivery and deployment: Look for confirmation of initial shipments, customer acceptance and operational use; a shipment expectation is not proof of deployment.
  • Warrant progress: Check company filings for tranche vesting, exercise, the applicable stock-price conditions and any dilution disclosures.
  • Financial realization: Watch for AMD’s reported revenue and margins rather than treating a media estimate of total deal value as recognized revenue.
  • Execution and concentration: Assess AMD’s ability to deliver custom systems at scale and how reliant its AI growth becomes on a small number of large customers.
  • Infrastructure economics: The public announcement does not specify who funds data centers, power, cooling, networking and deployment, or how those costs are divided.
