Brex and Zip announced a partnership in May 2025 that brought Brex virtual cards into Zip’s procurement workflows. At the time, Brex framed the collaboration as a way to support enterprise growth while reducing spending pressures; its CEO also discussed a possible future IPO. That IPO framing is now historical: Capital One completed its acquisition of Brex on April 7, 2026, and Brex is a wholly owned subsidiary of Capital One, N.A. (Brex, April 7, 2026).

What Brex and Zip announced

The May 2025 offering, called Brex for Zip, connected two parts of business purchasing. Zip supplies procurement workflows for employees to request purchases and route them through company processes; Brex supplies card payment capabilities. How the companies described the workflow

  • Request and procurement process: Employees submit purchase requests through Zip, where the organization can apply its procurement workflow.
  • Payment: Brex virtual cards can be issued directly within that process. The companies said card controls could be tied to the purchase request and vendor, with transaction limits and policy controls.
  • Payment options and reconciliation: The companies described using Brex cards for some vendor payments otherwise made by ACH, supporting multiple currencies, and reducing manual work in reconciliation.

These are capabilities and intended benefits described by the companies. The available sources do not provide independent measurements showing how much the integration reduced manual work, changed payment costs, or improved reconciliation outcomes.

Why a card-and-procurement partnership made sense

A corporate card can be enough for a small company with straightforward spending. Larger organizations may need purchase requests, approvals, vendor oversight, and controls before a payment is made. Brex CEO Pedro Franceschi told TechCrunch that a card often works for a startup without a complicated procurement process, while a sophisticated enterprise may need a workflow like Zip’s. TechCrunch reported that Brex viewed Zip’s procurement product as more developed for complex enterprise needs than Brex’s own capabilities. Partnering allowed Brex to connect its card offering to that workflow rather than relying only on tools it built itself. The companies presented the combination as a way to serve enterprise customers; the partnership alone should not be treated as proof that Brex’s financial performance improved.

What Brex said about cash burn and an IPO in 2025

The financial and IPO discussion belongs to the May 2025 reporting context, not to Brex’s current standalone corporate plans. TechCrunch reported that Franceschi said Brex’s cash burn in the first quarter of 2025 was down about 90% year over year. That was an attributed statement, not an independently audited measure in the cited report. (TechCrunch, May 20, 2025)

For background, TechCrunch recounted that Brex cut 282 employees in a January 2024 restructuring, described as nearly 20% of its staff, and that reports had put monthly cash burn at $17 million in the fourth quarter of 2023. Those are historical figures, not current performance data. At the time of the 2025 article, Brex was not yet profitable; Franceschi expected profitability by the end of that year.

Franceschi said Brex wanted to become a public company but would go public only when ready, citing governance, its financial profile, and market conditions. That was an expression of intent, not a confirmed IPO timetable. TechCrunch also reported enterprise growth figures attributed to the companies: Brex said enterprise revenue grew 70%, while Zip said its strategic enterprise segment grew 155% in the reported quarter. The article also said the companies’ executives reported serving more than 30,000 businesses jointly. These company-reported figures are dated and should not be read as independently audited or current metrics.

Capital One’s acquisition changed the IPO context

On January 22, 2026, Capital One announced a definitive agreement to acquire Brex in a cash-and-stock transaction valued at $5.15 billion. Capital One said at announcement that the transaction was expected to close in mid-2026, subject to closing conditions. (Capital One, January 22, 2026)

Brex later announced that the acquisition was completed on April 7, 2026. Its announcement identified Brex LLC as a wholly owned subsidiary of Capital One, N.A., and said Franceschi would remain Brex CEO. Capital One founder, chairman, and CEO Richard D. Fairbank called the deal “a gamechanger for business customers.” (Brex, April 7, 2026)

As a result, the 2025 article’s discussion of a potential Brex IPO describes what the company was considering before the acquisition, not a current public-market plan established by the cited sources.
