Fortinet Acquires AccelOps: What the $28 Million Deal Meant for Security Fabric

Fortinet’s 2016 AccelOps acquisition added SIEM and analytics to its Security Fabric plans. Here’s how the $28 million headline compares with later SEC figures.

Fortinet announced and completed its acquisition of AccelOps on June 7, 2016, saying the deal would add security information and event management (SIEM), monitoring and analytics to its Security Fabric strategy. Fortinet’s headline figure was approximately $28 million in cash, subject to adjustments, plus up to $4 million in contingent cash consideration. Later SEC filings reported different cash-consideration figures on an accounting basis, so they should not be treated as replacements for the announcement figure.

What Fortinet bought—and when

Fortinet announced the acquisition on June 7, 2016, and said it was complete and effective immediately. AccelOps provided network security monitoring and analytics software. Fortinet planned to incorporate its capabilities into a product called FortiSIEM and use them to extend the company’s Security Fabric.

SIEM software gathers and correlates security-related information from across an organization’s IT environment. That can help security teams identify patterns and investigate potential incidents, rather than reviewing each device or alert in isolation. AccelOps’s monitoring and analytics capabilities were therefore a fit for Fortinet’s aim of connecting security information across a broader range of systems.

How AccelOps fit Fortinet’s Security Fabric

Fortinet had unveiled the Security Fabric on April 25, 2016, describing it as an architecture for connecting security solutions to support unified, rapid threat response. The AccelOps announcement positioned analytics and visibility across multi-vendor environments as an extension of that strategy.

Fortinet said the planned FortiSIEM integration would bring together visibility into Fortinet and other vendors’ systems, SIEM correlation and analytics, threat intelligence, and automated response. The stated target extended from IoT devices to cloud environments. These were Fortinet’s strategic aims at announcement time, not independently demonstrated results from the combined offering.

What Fortinet said it would do with the technology

Broader visibility and analysis

Fortinet’s rationale was that monitoring and correlating information from multiple security products could give organizations a more complete view of activity across their IT infrastructure. The company described the intended outcome as actionable security intelligence and faster response. Those claims explain the acquisition rationale; the announcement did not provide independent performance tests or evidence of customer outcomes.

Potential services for MSSPs and support customers

Fortinet also said AccelOps’s security operations center (SOC) and network operations center (NOC) capabilities could support managed security service providers (MSSPs) and Fortinet Support Services. That was a potential use described in the announcement, not proof that the services were subsequently delivered or achieved particular results.

What the $28 million headline includes

Fortinet’s June 7, 2016 Form 8-K described the transaction as approximately $28 million in cash, subject to adjustments, plus up to $4 million in additional contingent cash consideration tied to future performance. The contingent amount was a possible additional payment, not part of the stated cash amount already paid.

Fortinet’s later 2016 quarterly filings reported cash-consideration figures on different accounting bases:

These later figures reflect the filings’ accounting descriptions, including adjustments and, for the September figure, cash received. They are not directly interchangeable with the announcement’s approximate cash amount. The available figures do not, by themselves, establish a single like-for-like final purchase-price figure.

How to read the market context in the announcement

Fortinet’s 2016 announcement described the SIEM market as worth $2 billion and cited a Gartner projection of $2.9 billion by 2019. Those are historical figures and a forecast reported by Fortinet at the time; they should not be read as a current market-size estimate.

What the public record establishes

The announcement and Fortinet’s SEC filings establish the acquisition date, stated consideration, and intended strategic fit. They do not independently establish how well FortiSIEM performed after integration, whether the proposed service extensions materialized, or what customers achieved. Fortinet founder, chairman and CEO Ken Xie summarized the company’s rationale as extending the Security Fabric through monitoring and analytics across multi-vendor environments; that statement is an explanation of strategy, not an independent assessment of results.
