BlackBerry announced a deal to sell its Cylance endpoint security assets to Arctic Wolf on December 16, 2024. The sale closed on February 3, 2025. The announced consideration was $160 million in cash, subject to adjustments, plus about 5.5 million Arctic Wolf common shares; BlackBerry later reported receiving $79.8 million net cash at closing and a deferred $38.1 million payment on February 10, 2026.

When did BlackBerry sell Cylance to Arctic Wolf?

The purchase agreement was dated December 15, 2024, and BlackBerry announced the transaction the following day. The asset sale closed on February 3, 2025. BlackBerry later reported that the deferred cash payment was received on February 10, 2026.

Those dates mark different stages: signing, public announcement, closing, and receipt of deferred proceeds. The agreement’s date and description of the transaction appear in the executed purchase agreement; the public announcement and closing were reported in BlackBerry’s December 16, 2024 announcement and February 3, 2025 completion report.

How much did BlackBerry get for Cylance?

The deal’s headline cash amount and BlackBerry’s eventual reported cash receipts are not the same figure. The original terms called for $160 million in cash, subject to adjustments, plus approximately 5.5 million Arctic Wolf common shares. BlackBerry’s later filings provide more detail on adjustments, closing proceeds, and the delayed payment.

The fiscal 2025 filing’s $24.6 million figure is an estimate of the Arctic Wolf shares’ fair value at closing, not a statement of their current value. The sources cited here do not establish a present-day market value for those shares.

What did the Cylance transaction include?

The agreement transferred Cylance endpoint security assets and related liabilities to Arctic Wolf. The executed Equity and Asset Purchase Agreement describes the transfer of Cylance equity interests and assets, along with liabilities assumed by the purchasers. This was an asset transaction; it should not be read as BlackBerry selling all of its cybersecurity activities or the entire company.

What did BlackBerry say about its relationship with Arctic Wolf?

At the February 3, 2025 closing announcement, BlackBerry CEO John Giamatteo said the company expected to continue its relationship with Arctic Wolf as a customer, as a reseller of the portfolio to large government customers, and as an Arctic Wolf shareholder. The statement describes BlackBerry’s position at closing; it does not establish the later status or scope of each part of that relationship. The comment appears in the joint closing announcement filed with the SEC.
