SEC Drops SolarWinds Lawsuit: What the Dismissal Means

The SEC’s SolarWinds enforcement action ended by stipulated dismissal in November 2025, after a 2024 court ruling had narrowed the claims but let Security Statement allegations proceed.

The SEC’s civil enforcement action against SolarWinds and its chief information security officer, Timothy G. Brown, ended on November 20, 2025, when the agency and defendants jointly stipulated to dismissal with prejudice. That ended this case, but it was not a trial verdict or a ruling that resolved the truth of the SEC’s surviving allegations.

What happened in the SolarWinds case?

The SEC filed SEC v. SolarWinds Corp. and Timothy G. Brown in the U.S. District Court for the Southern District of New York on October 30, 2023. The agency alleged that SolarWinds and Brown misled investors about the company’s cybersecurity practices and risks. Those were allegations, not findings of fact.

The case concerned, among other things, public statements about cybersecurity and disclosures after the SUNBURST attack. SolarWinds is a publicly traded software company; the court described its Orion platform as its flagship IT infrastructure management product. The court’s opinion recited that Orion accounted for 45% of company revenue in the first nine months of 2020, a historical figure rather than a current revenue measure.

How the 2024 ruling narrowed the case

On July 18, 2024, Judge Paul A. Engelmayer granted in part and denied in part the defendants’ motion to dismiss. A motion-to-dismiss ruling tests whether pleaded claims may proceed; it is not a decision after trial about whether the allegations are true.

Procedural stage What happened What it did not decide
July 18, 2024: motion to dismiss The court allowed securities-fraud claims based on SolarWinds’ “Security Statement” to proceed at the pleading stage. It dismissed securities-fraud and false-filing claims based on other statements and filings, all claims concerning post-SUNBURST disclosures, and claims about internal accounting and disclosure controls. The surviving Security Statement claims were not proven; the ruling only allowed them to continue. The dismissed claims were resolved at the pleading stage, not by a trial verdict.
November 20, 2025: stipulated dismissal The SEC and defendants jointly stipulated to dismiss the action with prejudice, ending the case. The dismissal was not a trial verdict or a reported merits ruling resolving the surviving allegations.

In explaining its decision on post-SUNBURST disclosures, the court wrote: “These do not plausibly plead actionable deficiencies in the company’s reporting of the cybersecurity hack. They impermissibly rely on hindsight and speculation.” That was the judge’s assessment of those pleaded claims, not a finding about every disclosure or cybersecurity practice at SolarWinds.

Why did the SEC drop the lawsuit?

The SEC’s November 20, 2025 announcement says the agency filed a joint stipulation with SolarWinds and Brown to dismiss the action with prejudice. It describes the choice as discretionary, but does not provide a broader explanation that establishes why the agency chose to end this particular case. The SEC stated that the decision was “in the exercise of its discretion” and “does not necessarily reflect the Commission’s position on any other case.”

Dismissal with prejudice ended this action; it should not be recast as a judicial exoneration, an admission by the defendants, or a finding that the SEC’s allegations were true. The available court and agency materials do not report a trial or a final merits ruling on the Security Statement claims that survived the 2024 order.

What the dismissal means for investors and cybersecurity disclosures

For investors, the key distinction is procedural: some SEC claims were dismissed by the court in 2024, while the remaining Security Statement claims were still unresolved on the merits when the action ended by stipulation in 2025. The case therefore does not establish that the challenged statements were either lawful or unlawful.

The dismissal also does not amount to a blanket end to SEC cybersecurity enforcement or a change to cybersecurity disclosure requirements. The SEC expressly cautioned that its discretionary decision does not necessarily state its position in other cases. Separately, the 2024 court opinion concerned conduct predating the effective date of the SEC’s 2023 cybersecurity disclosure rules and stated that those rules were not implicated. The ruling should not be treated as an interpretation of those rules.
