The company also announced $90 million in upfront private-placement financing. Up to $146 million more could come from warrants if exercised; that additional money was not guaranteed.
What was Athira Pharma’s breast cancer pivot?
The transaction gave Athira rights to develop and commercialize lasofoxifene for treatment-resistant metastatic breast cancer, including disease with ESR1 mutations. The drug is a selective estrogen receptor modulator (SERM). The license covered global rights except Asia and certain countries in the Middle East, according to Athira’s December 18, 2025 announcement.
A license is a deal for development and commercialization rights, not regulatory approval. The announcement does not establish that lasofoxifene is approved for breast cancer or that it has demonstrated clinical benefit in this setting.
What does the $90 million investment mean?
Athira announced $90 million in upfront private-placement financing. The company also described up to $146 million in potential additional proceeds from warrants, if exercised, for a headline total of up to $236 million. The warrant amount is conditional and should not be treated as cash already raised.

The SEC-filed Form 8-K dated December 18, 2025 said the company expected approximately $90 million in gross proceeds, before placement-agent fees and offering expenses; closing was subject to customary conditions. Athira said the upfront financing was expected to fund development through the topline data readout and key regulatory milestones, with cash runway into 2028. Those funding and runway statements were company expectations, not guarantees.
What is the ELAINE-3 trial?
Athira identified ELAINE-3 (NCT05696626) as an ongoing Phase 3 trial evaluating lasofoxifene in the relevant breast cancer program. In its December 18, 2025 announcement, the company said enrollment was more than 50% complete and forecast topline data in mid-2027. Those are dated company-reported figures and a forecast; they do not confirm the trial’s current enrollment or readout timing.

Mark Litton, Ph.D., Athira’s president and CEO at the time, described the goal as generating pivotal data that could support approval and establish lasofoxifene as a standard of care for certain patients. That was management’s aspiration, not an established clinical or regulatory outcome.

Its subsequent quarterly filing identifies LeonaBio and describes programs in treatment-resistant metastatic breast cancer and ALS.

For a finance reader, the distinction is straightforward: the transaction combined an upfront financing with a separate, contingent opportunity for more capital, while the company directed the announced funds toward a clinical-stage drug program.
