The filing says the sales were made under a Rule 10b5-1 trading plan Cook adopted on May 24, 2024—more than ten months before the transactions. In this context, “timely” means planned in advance; the filing does not establish why Cook sold or what he expects Apple stock to do.
How much Apple stock did Tim Cook sell, and when?
Cook’s Form 4 reports four sales totaling 108,136 Apple common shares on April 2, 2025. The filing lists weighted-average prices ranging from $221.77 to $224.76. Multiplying each reported quantity by its corresponding price yields approximately $24.19 million in proceeds. That is a calculation from the filing’s line items, not a total separately stated by the SEC.
The SEC filing index records April 3, 2025 as the filing date and April 1, 2025 as the period of report. Those dates are distinct from the April 2 sale date in the transaction table. The Form 4 filed with the SEC is the primary record for the share counts, prices, codes and plan footnote.
Why the sale was described as planned in advance
The Form 4 states: “This transaction was made pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on May 24, 2024.” Because that adoption date precedes the April 2, 2025 sales by more than ten months, the filing supports describing the transactions as planned in advance. It does not disclose Cook’s motivation, establish whether he viewed Apple as over- or undervalued, or predict the stock’s future performance.

How the April 1 tax withholding differs from the sale
The same Form 4 also reports a separate April 1 disposition of 110,432 shares at $223.19 under transaction code F. Its footnote says Apple withheld those shares to meet tax-withholding requirements when restricted stock units (RSUs) vested. This was not an April 2 market sale: the four sales on April 2 are reported under code S.
A separate Form 4 records the April 1 settlement of 111,329 RSUs from an award granted in 2020, 85,080 from a 2021 award, and 22,159 from a 2022 award. Each RSU represents a right to receive one Apple common share at settlement. The April 1 tax-withholding entry is consistent with the filing’s explanation that shares may be withheld to satisfy taxes on vesting; it should not be combined with the April 2 sale total. The separate SEC Form 4 reports those RSU settlements.

How the sale compares with Cook’s 2025 compensation
Apple’s 2026 proxy statement reports Cook’s 2025 target compensation as $59 million, made up of a $3 million base salary, a $6 million target cash incentive opportunity and a $50 million target equity award. The proxy’s compensation table reports total 2025 compensation of $74,294,811. These are different measures from the approximately $24.19 million calculated from the April 2 stock sales: annual compensation figures are not proceeds from that particular transaction.
Apple says the accounting values in its stock-award compensation table are not the same as realized equity value; readers seeking realized value should consult the proxy’s stock-vested table and related discussion. The proxy also describes the structure of Cook’s 2025 long-term equity award as 75% performance-based and 25% time-based RSUs, with the performance-based units tied to relative total shareholder return. That award structure does not show that the April 2 sale involved exercise of those 2025 units. Apple’s 2026 proxy statement provides the compensation and award details.
