The available contemporaneous reporting does not establish which contractual provision, if any, Alliance relied on.
What Alliance terminated—and when
In a Form 8-K dated April 25, 2025, Alliance Entertainment said it had sent Diamond a Notice of Termination on April 24. The notice terminated an already signed asset purchase agreement to acquire substantially all of Diamond’s assets through a court-supervised bankruptcy process; the filing said termination took effect immediately. The agreement concerned an asset sale overseen by the bankruptcy court, not a purchase of Diamond stock. “Substantially all” also describes the agreement’s broad scope; it should not be read as evidence that every Diamond business or asset was included.
Why did Alliance cancel the deal?
Alliance did not state a reason in its SEC notice. Publishers Weekly’s contemporaneous account likewise reported that the notice gave no explanation. ICv2 outlined conditions under which the agreement could be terminated, including an April 25, 2025 closing deadline, but did not identify which provision Alliance invoked. The reason is undisclosed in these sources; it would be speculation to attribute the decision to financing, a newly discovered issue, strained relations, or a particular contract clause.

How the bankruptcy auction shaped the context
The termination occurred amid a contested sale process. Publishers Weekly reported that Diamond’s owners backed a smaller joint bid from Universal Distribution and Ad Populum, while Alliance challenged the process in court and was later declared the auction winner. That sequence is relevant context, but it does not establish why Alliance then terminated its agreement.
Diamond’s chief restructuring officer, Robert Gorin, said after Alliance’s termination that the company had “pivoted to alternative, exceptionally well-known purchasers who are excited to partner with us.” The statement, reproduced in Publishers Weekly’s April 26 coverage, described Diamond’s response to the termination; it was not an explanation from Alliance.

What happened to Diamond after Alliance withdrew?
A later announcement reproduced in a repost said the court approved a combined Universal Distribution–Ad Populum bid, with the proposed assets divided between the two buyers. According to that reproduced announcement, Universal was to acquire Alliance Game Distributors, while Ad Populum was to acquire Diamond’s comic and related businesses. Diamond UK was described as remaining outside that sale process.
The repost said final closing was still pending when the announcement was reported. That establishes the alternative transaction’s announced scope and procedural status at that time, not that all of the assets ultimately transferred. The two proposals differed in both buyer structure and scope:

What Alliance disclosed about transaction costs
In its Form 10-Q for the quarter ended March 31, 2025, Alliance reported approximately $3.9 million in transaction-related costs included in prepaid assets as of that date. The company said it was evaluating whether the amount was recoverable and would adjust the carrying value in a future period if it determined that any portion was not recoverable. This disclosure does not establish that Alliance ultimately lost $3.9 million.
