CySEC Fines CIF Goldenburg Group Ltd €170,000

CySEC’s €170,000 administrative fine against Goldenburg Group was announced in May 2019 and covered six separate regulatory failures. Here is the penalty breakdown, later enforcement history and the firm’s current CySEC status.

Cyprus’s financial regulator, the Cyprus Securities and Exchange Commission (CySEC), fined Cyprus Investment Firm (CIF) Goldenburg Group Ltd €170,000. The Board decision was made on 2 April 2019 and announced on 2 May 2019—not in 2023 and not as a settlement.

The enforcement action covered several control failures across the firm’s operations in Croatia, Poland, Hungary and Bulgaria. Record-keeping was one issue, but it accounted for only part of the penalty.

What happened in the Goldenburg Group case?

CySEC found a series of shortcomings connected with Goldenburg Group’s authorisation conditions, conduct towards clients, tied agents and outsourced activities. The regulator imposed a total administrative fine of €170,000 under Cyprus’s Investment Services and Activities and Regulated Markets Law of 2007, Law 144(I)/2007, and Directive DI 144-2007-02 on the professional conduct of investment firms and their employees.

CySEC’s decision index records that there was no judicial review. The decision was an administrative penalty rather than a settlement.

Breakdown of the €170,000 penalty

Fine Issue identified by CySEC
€30,000 Goldenburg Group outsourced material operational functions connected with services to clients in Croatia and Poland without taking reasonable steps to prevent an unjustified deterioration in operational risk.
€50,000 The firm did not ensure that telephone communications between clients or prospective clients and its tied agent in Hungary were recorded. It also failed to ensure the recording of communications or other records involving staff and clients whose relationships had been established in 2016 by a Bulgarian company working with the firm. CySEC said this prevented it from checking the firm’s compliance.
€40,000 The firm failed to act fairly, honestly and professionally in clients’ best interests in relation to a Hungarian tied agent, an employee in Croatia and an outsourced third party in Poland.
€40,000 Information provided in Hungary through the tied agent was not accurate, clear and non-misleading. Information supplied to a Croatian client also failed those standards.
€5,000 Goldenburg Group appointed a tied agent in Croatia who was not listed in that country’s public register.
€5,000 The firm did not notify CySEC about a change in the organisational structure of its tied agent in Hungary.

The six components total €170,000. The case therefore involved more than a failure to keep telephone records: record-keeping represented the largest individual component, but CySEC also cited outsourcing, client communications, tied-agent registration and regulatory notification failures.

Why the findings matter to clients

For a retail investor, these findings relate to controls that should operate behind the trading platform. A firm’s obligations do not end when it provides access to an account or passes a client to an agent.

  • Outsourcing controls: A firm remains responsible for managing operational risks when important functions are performed by a third party.
  • Communication records: Recorded calls and other records can help establish what a client was told, what instructions were given and whether the firm followed its conduct obligations.
  • Clear information: Marketing and product information should allow clients to make informed decisions and should not be misleading.
  • Tied-agent oversight: Agents must be properly registered where required, supervised and kept within the firm’s regulatory framework.
  • Regulatory notifications: Material organisational changes involving agents may need to be reported to the regulator.

A regulatory fine does not, by itself, determine whether every customer suffered a loss or guarantee compensation to individual clients. Investors with a specific complaint should preserve account statements, emails, platform messages and call records, then use the firm’s formal complaints process and the relevant investor-protection or dispute-resolution channels.

What did CySEC consider when setting the amounts?

CySEC said it considered the penalty available under the applicable legislation, the importance of full compliance by regulated firms, corrective measures taken by Goldenburg Group and the fact that the company had not previously committed similar violations.

The regulator also stressed the need for effective oversight of outsourced providers, complete client-communication records, fair and professional treatment, accurate information, properly registered tied agents and timely notification of organisational changes.

Was this Goldenburg Group’s only CySEC penalty?

No. The €170,000 action should not be confused with later enforcement measures:

In particular, describing Goldenburg Group as having been fined €170,000 in 2023 is incorrect. The 2023 fine was a separate €400,000 action.

What is Goldenburg Group’s current regulatory status?

CySEC’s current regulated-entities record lists Goldenburg Group Ltd under licence 242/14, granted on 14 July 2014, with company registration number 328474. The entry shows the status as:

“Voluntary Suspension” and “Under examination for voluntary renunciation of the authorisation.”

The record does not say that the licence was withdrawn or that voluntary renunciation had been completed. It would therefore be inaccurate to describe the current entry as a completed licence cancellation.

The registered address shown by CySEC is ERATO BUILDING, 2nd Floor, Ayiou Athanasiou 74, Limassol 4102, Cyprus. Investors should check the regulator’s current register before assuming that a firm is authorised to provide investment services.

FAQ

When did CySEC fine Goldenburg Group €170,000?

CySEC’s Board made the decision on 2 April 2019. The decision was announced on 2 May 2019, with the English Board Decisions index displaying 3 May 2019.

What was the €170,000 fine for?

The fine covered six areas: inadequate controls over outsourced functions, missing telephone and client-communication records, failures to act fairly and professionally, unclear or misleading information, an unregistered Croatian tied agent and failure to notify CySEC about a change involving a Hungarian tied agent.

Was the €170,000 action a settlement?

No. CySEC described it as a total administrative fine. The separate €270,000 action announced on 18 January 2021 was a settlement.

No. The €170,000 penalty dates from 2019. CySEC announced a separate €400,000 administrative fine against Goldenburg Group in July 2023.
