AGCO’s deal with Trimble is complete: it closed on April 1, 2024, creating PTx Trimble. AGCO owns 85% of the joint venture and Trimble retains 15%. The transaction combined Trimble’s OneAg agricultural business with AGCO’s JCA Technologies, but it did not transfer all of Trimble or all of its guidance and GNSS technologies.
Is the AGCO and Trimble deal complete?
Yes. AGCO and Trimble announced the proposed transaction on September 28, 2023, and closed it on April 1, 2024. At closing, they named the joint venture PTx Trimble. AGCO’s closing announcement describes the completed transaction and ownership split in its April 1, 2024 release.
What did AGCO buy from Trimble?
AGCO acquired an 85% interest in Trimble’s OneAg business, which AGCO identifies as Trimble’s agricultural business. AGCO also contributed its interest in JCA Technologies to the joint venture. The combined business focuses on precision agriculture for mixed fleets—equipment from different manufacturers.
AGCO’s 2025 annual report says the contributed OneAg business excluded certain Global Navigation Satellite System (GNSS) and guidance technologies. So the transaction was a contribution of a defined agricultural business and related assets, not a blanket transfer of every technology Trimble uses in agriculture. Did AGCO acquire all of Trimble? Who owns PTx Trimble?
No. AGCO acquired a controlling 85% stake in the joint venture, not Trimble as a whole. Trimble retained the remaining 15% interest. AGCO consolidates PTx Trimble in its financial statements, reflecting its majority ownership and control; Trimble remains an owner and commercial partner.
Why do the announced and reported cash figures differ?
They refer to different stages and accounting measures, rather than one identical final price. AGCO’s September 2023 announcement described $2.0 billion in cash for the planned 85% interest. In its 2025 annual report, AGCO records $1.954 billion of cash consideration for OneAg before customary working-capital and other adjustments. The report’s purchase-consideration table gives total purchase consideration of $1.910 billion after the adjustments and an equity transaction related to JCA.

The $1.910 billion accounting total should not be substituted for the $2.0 billion headline figure without explaining that the values describe different measures.
What happens to Trimble guidance technology?
Some GNSS and guidance technologies were excluded from the assets contributed to PTx Trimble. Trimble continues to supply certain key technologies under a seven-year renewable supply agreement, according to its 2025 annual report. The companies also entered into agreements covering technology transfer and licensing, trademarks, positioning-services distribution, and transition services.

- Technology supply: Trimble’s key GNSS and guidance technology supply agreement has a seven-year term and is renewable.
- Technology and brand use: The parties have technology-transfer and license and trademark-license agreements.
- Positioning services: Under a master sale and distribution agreement, PTx Trimble serves as Trimble’s channel partner for positioning services in agriculture.
- Transition services: Trimble’s transition-services agreement covered contract manufacturing for two years after closing.
These arrangements explain why the deal should not be read as either a complete transfer of every Trimble agriculture technology or a clean break between the companies. Trimble’s 2025 annual report describes its retained interest and the related agreements.

In that launch announcement, AGCO said the portfolio had more than 100 OEM partners integrating products at the factory. That is AGCO’s stated count in its April 2024 announcement, not an independently audited current figure. The company also described retrofit equipment for almost any make or vintage; that portfolio-level description does not establish that every PTx Trimble product fits every machine.
