Reading FC’s Proposed 2025 Takeover: Why a Conflict-of-Interest Concern Was Raised

Reading’s proposed sale to Robert Platek raised questions about a lender’s ties to other clubs, but reporting did not establish a proven conflict or public EFL ruling. The later sale was to Rob Couhig.

The concern over Reading FC’s proposed takeover in February 2025 was that prospective buyer Robert Platek held a senior credit role at a firm that had lent money to other football clubs. That raised questions about potential conflicts and EFL scrutiny; it did not establish that a conflict existed, that a rule had been broken, or that the EFL had issued a public ruling. Platek’s proposal was later superseded: a Guardian topic listing says Dai Yongge sold Reading to Rob Couhig on 14 May 2025.

What was the proposed Reading takeover?

On 24 February 2025, Reading announced that it had entered a period of exclusivity with an unnamed potential purchaser after signing a letter of intent. The proposed transaction was to include Dai Yongge’s stake in The Reading Football Club Limited, the Select Car Leasing Stadium and Bearwood Park Training Facility. The club said due diligence and legal completion remained outstanding and did not guarantee a timetable. Its statement said: “Whilst timelines cannot be guaranteed, the structure of the deal should allow for a quick completion, which would be for the benefit of all concerned.” Reading’s statement, reproduced by PA Media in The Guardian.

On 25 February, The Guardian identified the prospective buyer as Robert Platek, then owner of Portuguese club Casa Pia. The report said Platek was co-head of global credit at BDT & MSD Partners, formerly known as MSD. It also said the firm had lent tens of millions of pounds to Burnley, West Bromwich Albion, Derby County, Sunderland and Southampton. Several of those loans were understood to be secured against clubs’ stadiums if repayments were missed, according to the report. This does not establish that Platek personally controlled the loans.

Why did the proposal raise a conflict-of-interest concern?

The concern was about the overlap between a prospective English club owner’s senior credit position and a lender’s financial relationships with other clubs. If a person in that position acquired Reading, questions could arise about access to sensitive information or how club ownership and lending activity were kept separate. Those questions are not proof that confidential information was accessed, that a conflict actually existed, or that any party acted improperly.

The Guardian reported that the EFL declined to comment, was aware of concerns from other clubs and had spoken with Reading about regulatory compliance. The article said Platek would need to demonstrate a clear separation between his club investments and MSD funding, and might need to show he had no knowledge of other EFL clubs’ financial arrangements with MSD. These were the report’s account of the approval concern, not a published EFL decision or finding. An executive at another club, quoted anonymously by Matt Hughes, told The Guardian: “At best it doesn’t look good, at worst it’s a huge conflict of interest.” The speaker was not named.

What did the EFL decide?

The available contemporaneous account describes scrutiny and questions, but does not establish a formal EFL finding that Platek was ineligible, that a conflict was proven, or that rules were breached. It also does not provide a public decision resolving the concerns. The distinction matters: a reported potential governance risk is not the same as a regulator’s conclusion that misconduct occurred.

The Takeover Panel’s Rule 3.3 offers a limited example of how UK takeover rules address conflicts: it concerns whether an adviser to an offeree company is sufficiently independent to give objective advice, and says an adviser with a significant interest or financial connection to an offeror or offeree creating a conflict is not regarded as appropriate. That rule is about adviser independence. The available sources do not establish that it governed the EFL owners’ test in this case or decided whether Platek could own Reading. What happened to the proposed sale?

The Platek proposal was not the completed sale later identified in the available record. The Guardian’s Reading topic index lists an article dated 14 May 2025 reporting that Dai Yongge sold Reading to Rob Couhig. The index entry is less detailed than a full account of the transaction, so it supports the later outcome but does not establish the final deal’s terms or resolve every detail of the Platek process. The February report placed the proposal against a difficult sale history, describing Platek as the fifth prospective buyer to enter exclusive talks in the preceding 12 months, after proposals involving Rob Couhig, Roger Smee and Paul Taylor. It also said the proposed arrangement would have reunited the club, stadium and training ground under one company. Exclusivity and a letter of intent, however, were stages in a proposed transaction—not confirmation that it had completed.
