Adobe’s $1.9 Billion Semrush Deal Is Complete: What the Acquisition Means

Adobe’s all-cash Semrush acquisition closed April 28, 2026. Here’s what the $12-per-share deal means for shareholders, marketers and Semrush customers.

Adobe completed its acquisition of Semrush on April 28, 2026. The deal was announced in November 2025 as an all-cash offer of $12 per share, worth about $1.9 billion. Adobe’s subsequent filing reported $1.87 billion in acquisition consideration, primarily in cash. Semrush is now a wholly owned Adobe subsidiary, and its shares are no longer publicly outstanding.

What Adobe agreed to pay for Semrush

Adobe announced the acquisition on November 19, 2025, describing Semrush as a brand-visibility and online-marketing software company. The proposed transaction offered Semrush shareholders $12 in cash for each share and was valued at approximately $1.9 billion. The announcement was subject to shareholder approval, regulatory review and customary closing conditions. TechCrunch’s announcement coverage reported that Semrush had closed at $6.89 per share before the news. The offer was therefore substantially higher; the exact premium percentage varies with the reference price and calculation convention.

The transaction closed on April 28, 2026, according to Adobe’s completion announcement. Adobe later reported an acquisition amount of $1.87 billion, primarily in cash, in its SEC filing. The announced $1.9 billion value and the later $1.87 billion accounting figure describe different stages and measures of the transaction, not a change to the $12-per-share merger consideration.

What happened to Semrush shareholders?

Under the merger terms, each eligible outstanding Semrush share converted into the right to receive $12 in cash, without interest and subject to the merger agreement’s terms and exceptions. Semrush’s SEC filing records the merger’s effect on the shares. Semrush became an Adobe subsidiary rather than continuing as a publicly traded company.

The $12 offer was the per-share merger consideration; it is not a forecast of what a shareholder might have received from a later market sale. Treatment of employee equity and restricted stock can differ under the merger terms. This description is not individualized tax or investment advice.

Why Adobe wanted Semrush

The acquisition gives Adobe more than a traditional SEO toolset. Semrush brings software and data for assessing how brands appear in search results, competing websites, content and other online channels. Adobe’s stated strategic rationale is to connect that discoverability intelligence with its own tools for content creation, optimization and customer experience.

That connection matters to marketers because publishing content is only one part of reaching customers. A company also needs to understand what people are searching for, where competitors appear, whether its brand is visible, and how discovery relates to engagement and conversion. Adobe is positioning the combination as a broader workflow from visibility insights to content and customer-experience activity—not simply as an addition of keyword research.

How the AI-search strategy fits

Search and discovery are spreading across conventional search engines, AI-generated answers and interfaces, and tools that help users complete tasks. The acquisition reflects Adobe’s bet that marketers will want to measure brand presence across those environments alongside familiar search performance. It does not establish that AI search has replaced conventional search, or that any vendor can guarantee a brand will be recommended by an AI system.

SEO, GEO and AI visibility

  • SEO concerns improving a site’s visibility in conventional search engines, including through technical site health, relevant content and links.
  • GEO, or generative engine optimization, is a term used for efforts to understand and improve a brand’s presence in generative-AI answers. It overlaps with SEO and does not have one universally settled definition.
  • AI visibility generally means monitoring whether and how a brand appears in AI-driven search or answer experiences. Reports can track mentions, citations and competitors, but results may vary by prompt, location, model, date, personalization and product behavior.
  • Agentic search optimization is language Adobe has used for visibility in settings where AI systems or agents help people pursue tasks. It is a vendor framing for an evolving area, not a guaranteed ranking category.

Semrush had expanded its offering into generative-engine optimization and AI visibility. Adobe’s post-acquisition product language extends that positioning. These tools can help teams observe patterns and identify opportunities; they cannot control what ChatGPT, Google AI Mode, Microsoft Copilot, Perplexity or another system chooses to show a particular user.

What changed after the acquisition

Adobe said it began integrating Semrush after closing. In its second-quarter fiscal 2026 materials, Adobe said Semrush added approximately $480 million in annual recurring revenue to its book of business and described work to combine Semrush’s discoverability intelligence with Adobe’s agentic web applications. The figure is Adobe’s reported business metric, not an independent valuation of Semrush. Adobe’s Q2 FY2026 earnings transcript provides the company’s comments.

On June 17, 2026, Adobe introduced Adobe Brand Visibility, a product intended to combine Semrush AI-visibility intelligence with Adobe content-optimization capabilities. Adobe says it covers AI surfaces including ChatGPT, Google AI Mode, Microsoft Copilot and Perplexity. Those are Adobe’s product claims; product coverage does not guarantee favorable brand placement or consistent results across those services.

What Semrush customers should expect

Semrush’s customer FAQ says existing customers should expect continued support and a stronger product roadmap. That is Adobe and Semrush’s stated position, not a guarantee that every feature, integration, price or plan will remain unchanged indefinitely. The FAQ does not establish all future packaging or pricing details. Customers can review the company’s customer FAQ and monitor direct account communications for changes relevant to their subscriptions.

For agencies and marketers serving clients that compete with Adobe customers, ownership may also raise questions about data governance and perceived platform neutrality. That is a reasonable issue to assess in vendor reviews and contract discussions; it is not evidence that Adobe has misused customer data. Teams evaluating the combined offering should clarify data access, retention, integrations, permissions and any changes to product terms with their account representatives.

The main risks to watch

Integration and product direction

Adobe must fit Semrush’s tools, customer base and product roadmap into a large enterprise software portfolio. Integration can bring product overlap, confusing packaging, altered APIs or integrations, slower development, customer churn or difficulty retaining employees. Adobe’s transaction disclosures identify integration, retention, disruption and failure to realize expected synergies among the risks of the deal.

Measurement limits

AI answers can change with the query, model, location, date, personalization and sources retrieved. A visibility report is a snapshot or measurement of observed outputs, not proof that a brand will appear in every user’s answer. Organizations should assess repeatability and methodology before treating AI-visibility metrics as comparable to conventional search rankings.

Unproven returns

The strategic logic is a tighter link between discovery, content and customer experience, but that rationale does not prove the acquisition will produce a particular financial return. Results depend on integration, customer adoption, retention and whether marketers find the combined products useful enough to keep paying for them.
