How to Evaluate a Private Equity Firm Before Joining or Investing

Deciding whether to join a private equity firm or invest in its fund? Evaluate the job and investment separately, and review the evidence and terms specific to each.

Evaluate the job and the investment separately. A firm may be a strong employer but a poor fit for your investment goals—or the reverse. Before deciding, identify whether you are assessing the adviser, a particular fund, or a specific role: those are different things, and general diligence criteria cannot establish that an unnamed firm is a good place to work or invest.

Start by separating the firm, the fund, and the job

A private equity firm typically manages funds that invest in private companies. Many private equity strategies seek controlling interests and take an active role in portfolio-company management. But the adviser, its funds, and its employment opportunities each have different terms and evidence to review.

In the United States, an adviser may be registered with the SEC while its private equity fund is not. Investor.gov states that “Private equity funds themselves are not registered with the SEC.” Registration status is not SEC approval, a quality rating, or proof of investment merit. Form ADV describes an adviser; it does not substitute for the specific fund’s offering documents and governing agreements.

If you are considering investing in a fund

Understand the fund’s actual strategy

Ask how this specific fund will invest, which sectors or companies it targets, what ownership role it expects to take, and how the strategy differs from the adviser’s other funds. A firm-wide description may not explain the fund you are being offered. Review the strategy alongside the fund’s intended time horizon and risks.

Examine fund-specific performance and what drove it

Request underlying, fund-specific performance information. Ask what contributed to results, including the use of leverage and changes made at portfolio companies. Examine losses and unsuccessful exits as well as successful investments. Performance figures need context: ask what is included, how it is calculated, and which fund and period the figures cover. There is no single performance measure or benchmark established here as right for every private equity fund.

Read the governing documents for terms and costs

Review the offering documents and governing agreements that set the fund’s terms over its life. Identify management and other fees, fund expenses, and expenses charged to portfolio companies. Ask how costs are allocated and disclosed, what investor consent is required, and whether the adviser or its affiliates receive payments or provide services connected with the fund or portfolio companies.

Look for conflicts and how they are handled

Ask about the adviser’s other funds, its allocation of investment opportunities, services provided to portfolio companies, and any affiliate service providers. Find out how conflicts are identified, disclosed, and managed. Investor.gov cautions: “It is important for an investor to be aware and alert about the conflicts that exist, or that may arise, in the course of an investment in a private equity fund.” Consider the explanation together with the fund documents, not just verbal assurances.

Check the adviser and relevant people

Review available registration and disciplinary information for the firm and relevant individuals. Read the adviser’s latest Form ADV, including its brochure and any applicable brochure supplement, and ask about experience, services, compensation, and conflicts. Investor.gov suggests asking:

  • “Are you registered with the SEC, a state, or the Financial Industry Regulatory Authority (FINRA)?”
  • “May I have a copy of your firm’s latest Form ADV, including the brochure and the brochure supplement?”
  • “Have you or your firm ever been disciplined by any regulator? If yes, for what reasons and how was the matter resolved?”
  • “How are you paid for your services?”

These questions help establish background and incentives; registration alone does not settle whether an investment is suitable or attractive.

Assess risks, controls, and reporting

Review investment risks as well as leverage, credit, operational, and legal risks. Ask how the fund values investments that do not have readily observable market prices, how valuation decisions are overseen, and what information investors receive and how often. For a significant or complex commitment, independent outside due diligence is one option to consider.

Decide whether the liquidity terms fit

Private equity interests are often illiquid, and withdrawal rights may be limited. Investor.gov notes that investors may have to wait several years before realizing a return. Confirm the fund’s life, any withdrawal or transfer limits, and the expected timing of distributions. Decide whether you can leave the committed capital invested for an extended period without relying on ready access to it.

Use specific questions before committing

In addition to the questions Investor.gov recommends, ask the adviser:

  • How are fund and portfolio-company expenses allocated?
  • What happens if I need liquidity before the fund ends?
  • What drove returns in prior funds, including losses and the use of leverage?
  • How are conflicts involving other funds, portfolio companies, or affiliates managed?

Compare the answers with the written fund terms. If a material term or explanation is unclear, seek clarification before making a commitment.

If you are considering joining the firm

Find out what the role actually owns

Do not infer day-to-day work from the firm’s reputation or investment strategy. Ask what you would be responsible for, how much work is analytical versus executional or portfolio-facing, and how responsibilities change as people progress. CFA Institute describes private equity responsibilities and skills as including analytical work and increasing responsibility over time; that general career description cannot verify what a particular team’s role entails.

Evaluate the manager, team, and development path

Ask who will give feedback, how often it is given, what development looks like, and what performance and promotion decisions depend on. Ask how the team handles demanding periods and, where practical, speak with current or former employees who have held the role. Treat broad assurances about culture, workload, or promotion as claims to verify rather than guarantees.

Review compensation and written terms

Examine base compensation, bonus criteria, any carried interest or other incentives, and the complete employment terms in writing. For carry or similar incentives, ask how allocation is determined and when it can vest or be forfeited. Do not assume that a verbal description captures the controlling terms; review the relevant documents and seek qualified advice if the terms are unclear.

Ask role-specific questions

  • What would I own in my first year?
  • How are performance and promotion decisions made?
  • Can I speak with people who have held this role?
  • Who will give me feedback, and what does the development path look like?

These are practical interview prompts, not evidence of a universal compensation range or prediction of any firm’s culture.

Compare the right things for your decision

Weight the criteria according to your own aims. Firm size or reputation alone is not a sound basis for ranking an investment or an employer.

For an investment For a job
Strategy and sector focus; fund-specific performance evidence; leverage and other risks; fees and expenses; conflicts and governance; liquidity and duration; adviser history; valuation; reporting Role scope; manager and team; learning and promotion prospects; working arrangements; location; cash compensation; incentive terms

For a fund, compare the specific offer and its documents with your financial circumstances and ability to keep capital invested. For a job, compare the actual responsibilities and written terms with your career priorities. If either decision depends on an unanswered material question, resolve it before proceeding.
