Choose carve-out readiness software that connects the separation perimeter and dependency inventory to named owners, workstreams, milestones, readiness evidence, and TSA obligations. In a live demo, test whether changes to a dependency reveal risks to Day 1 operations and TSA exit—not just whether the system can collect status updates.
What carve-out readiness software needs to track
A carve-out plan is only useful when it connects what is being separated to the work needed to make the business operate independently. Start with a governed inventory of the perimeter and the things that depend on the parent: applications, services, data, contracts, licenses, and consents. For each dependency, look for fields or linked records that make it actionable: accountable owner, receiving workstream, predecessor, target date, risk, and completion evidence. A list of dependencies without ownership or date logic is an inventory, not a reliable control for execution.
Separate Day 1 readiness from TSA exit
Day 1 and TSA exit are different checkpoints. Day 1 planning concerns the minimum services and capabilities needed for the business to operate at close. TSA exit planning concerns moving each shared service to a standalone or replacement capability, with a migration plan and a termination milestone. Ask whether the software can show these phases in one connected plan without treating them as one deadline. It should expose what must be true at close, what can be stabilized afterward, and what evidence is required before a service can leave the TSA.
Evaluate readiness by outcomes and evidence
A green workstream status is not proof that the business can operate. Readiness criteria should describe observable outcomes, identify who approves them, and link to evidence. For technology, that can mean testing migrated systems, processes, and interfaces; for the business, it means testing whether core processes work in practice. In the demo, ask the vendor to trace one important dependency from its inventory record through its owner, predecessor tasks, milestone, risk, and evidence. Then change its date or status and watch whether the system updates the critical path and flags downstream milestones that could threaten close, continuity, or TSA termination.
Use a live scenario to compare candidates
Give each vendor the same separation scenario and ask it to demonstrate the following. These are evaluation criteria derived from the operational controls described by advisory and platform sources, not independently tested product results.

- Scope and approach: Can the system represent the intended perimeter and the chosen degree of standalone operation?
- Dependency coverage: Can it map cross-functional and technical dependencies, including shared services, contracts, licenses, and consents?
- Milestone logic: Can it connect work to Sign, Close, Day 1, stabilization, and TSA exit, and expose date conflicts?
- Readiness evidence: Can teams define outcomes, evidence, owners, and approvals rather than relying only on status colors?
- TSA governance: Can it show service obligations, charges, issues, migration plans, exit criteria, and termination milestones?
- Shared governance: Can seller and buyer teams collaborate while keeping accountability, approvals, and an auditable history clear?
BCG advises examining TSA scope, price, duration, and terms, and says buyers should monitor seller performance on separation and Day 1 readiness tasks. A useful tracker therefore needs to make service commitments and unresolved issues visible enough to manage and escalate. Match the tool to the separation approach
Not every carve-out has the same target state. KPMG’s 2026 report describes materially different degrees of functional separation, ranging from partial dependence on the seller to fuller separation of data, technology, people, processes, and contracts. Before comparing products, define what the business must own or operate at close and what may remain temporarily shared. Then test whether each candidate can model that specific perimeter and distinguish accepted transitional dependencies from unowned or overdue ones.
