How to Evaluate a Refinery Investment: Ownership, Valuation, Risks, and Returns

A refinery investment depends on more than capacity or a benchmark margin. Assess the ownership rights, operating economics, capital obligations, and downside scenarios before estimating value or returns.

Evaluate a refinery investment by identifying exactly what you would own, how the refinery earns cash, what capital and liabilities it needs, and how the investment performs under adverse as well as favorable conditions. Capacity, a strong year of refining margins, or a benchmark crack spread cannot establish value on its own. Without the specific asset, transaction price, financing terms, and ownership documents, no purchase price or target return can be responsibly determined.

What does the investment actually give you?

Start with the legal and economic perimeter, not the refinery’s name or advertised capacity. Determine which entity owns the land, processing units, storage, pipelines, terminals, and other relevant assets; which entity operates them; and which security or contractual interest you would acquire. The rights and obligations attached to that interest can differ substantially from the economics of the physical plant.

Investment route What to establish Key valuation implication
Direct asset purchase Assets and contracts included, permits, easements, feedstock and product agreements, operating arrangements, and responsibility for environmental, closure, and remediation obligations. Value the acquired operating assets and obligations. Do not assume that ownership of the plant automatically conveys dependable feedstock, logistics, or product access.
Private-company equity or partnership interest Voting and control rights, distribution priorities, future funding commitments, transfer restrictions, guarantees, debt, and how liabilities are allocated among owners. Estimate the cash available to this particular class of investor after company obligations and financing, not just the refinery’s operating cash flow.
Public shares in a refinery operator Whether refining is one segment of an integrated or diversified company; corporate debt, other businesses, capital allocation, and competing claims on cash. Analyze the whole company and the market price of its shares. Consolidated company value is not the standalone value of its refinery assets.

Public filings reviewed for this analysis include integrated and multi-segment operators, illustrating why a listed company’s refining results cannot be treated as if investors owned a single refinery outright. For a private transaction, have qualified legal and environmental advisers review the governing documents, title, permits, contracts, and allocation of existing and future liabilities before relying on a financial model.

What drives a refinery’s cash flow?

A refinery buys crude oil and other feedstocks, processes them into a mix of products, and tries to sell those products at prices that cover feedstock, operating, logistics, capital, tax, and financing costs. Its realized result depends on the interaction of the plant’s configuration and location with markets and operating performance. A market benchmark is only a reference point; it is not the cash margin the asset necessarily earns.

  • Feedstock capability and delivered cost: Establish which crude grades and other inputs the plant can process, what they cost at the refinery, and whether port, pipeline, storage, or other access is reliable. A historical discount to a benchmark crude is not guaranteed to persist. CVR Energy’s 2025 Annual Report identifies changes in crude differentials and the conditions supporting historical discounts as factors affecting its margins, earnings, and cash flow.
  • Product yields and value: Estimate the saleable products generated from the refinery’s actual feedstock slate and the prices those products can realize in its markets. Phillips 66 identifies yield and market capture as return drivers; neither should be inferred from nameplate capacity alone.
  • Throughput, utilization, and reliability: Review historical operating rates, planned turnarounds, unexpected downtime, asset condition, and the throughput that can realistically be sustained. A high utilization figure is not proof of superior profitability if margins are weak, costs are high, or maintenance needs are substantial.
  • Operating costs and logistics: Separate fixed and variable costs and assess the cost and security of getting feedstock in and products out. Pipeline constraints, supply interruptions, product-offtake disruptions, and tariffs can affect realized economics.
  • Working capital and timing: Model the cash tied up in inventories and receivables, as well as turnaround timing and other periods when cash spending may occur before the expected operating benefit.

Marathon Petroleum’s 2025 Annual Report explains that its reported refining and marketing margin differs from market indicators because of factors including crude mix, market structure, renewable identification number (RIN) prices, yields, inventory valuation, costs, and other variances. That is why comparing two companies’ stated “margin” figures without reconciling their definitions can give a misleading impression.

How should reported operating figures be compared?

Use the same period and definitions for each candidate, then read the operator’s explanation of its metrics. Check whether reported margin is a market indicator or a realized company measure; how inventory accounting and intersegment sales are treated; what crude mix, yields, operating expenses, and other items are included; and how utilization or throughput is calculated. HF Sinclair’s 2025 Annual Report provides another example of why operating and margin measures need definition-by-definition reconciliation.

Company disclosure Reported figure How to interpret it
Marathon Petroleum, 2026 annual report, reporting 2025 results 94% refinery crude oil capacity utilization in 2025; refining and marketing margin of $16.87 per barrel in 2025, versus $16.01 per barrel in 2024. These are Marathon Petroleum’s operator-specific measures. The company says its reported margin differs from market indicators for reasons including crude mix, costs, market structure, RIN prices, yields, and inventory valuation.
Petrobras, 2026 Form 20-F, reporting 2025 results 91% total utilization rate across its refineries in 2025. This reflects Petrobras’s portfolio and definition. It is not directly comparable with another operator’s utilization measure without checking scope and calculation.

These figures show what two companies reported; they are not sector averages, forecasts, or evidence of a typical investment return. A utilization rate says how much capacity was used under the company’s measurement, not whether the resulting cash flow justified the capital invested.

How do you build a valuation and estimate returns?

First construct an asset-specific operating model; only then apply a valuation method such as discounted cash flow. Forecast sustainable cash generation rather than extending a favorable year. At a high level, the model should move from expected sales and feedstock costs through operating expenses, maintenance and turnaround spending, working capital, taxes, financing, and required environmental or regulatory investment to the cash flow available to the relevant investor.

  1. Set a defensible operating baseline. Use realistic throughput, yields, availability, product markets, feedstock costs, and operating expenses. Reconcile the forecast to the actual asset’s configuration and its history rather than assuming the nameplate figure is achievable continuously.
  2. Separate the capital budget. Identify sustaining and reliability spending needed to keep the plant safe and operable; compliance spending required by applicable rules; and discretionary growth projects. Include turnaround timing and the risk that deferring necessary work reduces future availability or raises costs.
  3. Model working capital, taxes, and financing. Reflect inventory and receivables needs, tax assumptions, debt service, covenants, and any guarantees or additional funding obligations. Keep asset-level cash flow distinct from equity cash flow after financing.
  4. Use scenario ranges, not a single forecast. Vary crude and product prices, crack spreads, crude differentials, utilization, costs, turnaround timing, and market access. Shell describes using short-, medium-, and long-term uncertainty ranges in project and portfolio evaluation; BP describes comparing investment cases under alternative commodity assumptions.
  5. Test the price and investor’s actual rights. Compare forecast cash distributions and exit proceeds with the proposed purchase price, distribution terms, financing structure, and liquidity needed to withstand a downturn. State whether a return is nominal or inflation-adjusted, pre-tax or after-tax, and levered or unlevered.

Do not apply a generic refinery multiple or quote a sector-wide “usual” return as a substitute for this work. The company disclosures considered here do not establish a universal refinery valuation multiple or a typical sector return. A quoted price is attractive only relative to the cash flows, obligations, rights, and risks of the specific interest being acquired.

Which capital projects improve the investment case?

Separate a project’s stated purpose from evidence that it will earn its forecast return. Ask what measurable change it is expected to deliver—such as improved reliability, lower operating cost, higher-value yields, residue upgrading, or better export access—and whether the estimated benefit remains adequate if costs rise or market conditions change.

Phillips 66 describes prioritizing low-capital, higher-return projects intended to improve reliability and market capture. Marathon Petroleum describes projects involving optimization, higher-value products, residue upgrading, and export capacity. These are examples of company investment rationales, not proof that an individual project will achieve its forecast economics. Evaluate the cost, schedule, operational constraints, and expected cash benefit of the actual project.

What risks should you stress-test?

Build adverse cases around the ways a refinery’s operating advantage or ability to fund itself could weaken. Relevant company filings identify the following exposures; their severity depends on the asset, jurisdiction, financing, and market.

  • Commodity and margin volatility: Product prices, feedstock costs, regional supply and demand, inventories, refinery operations, and utilization can move in ways that compress margins.
  • Crude differential and supply risk: A narrower discount, loss of a quality advantage, or interruption to feedstock access can erode the cost position underpinning the forecast.
  • Outages and maintenance: Turnarounds, unplanned failures, weather, fires, or shortages of labor and materials may cut throughput or raise repair costs. Stress both the lost operating time and the cash needed to restore reliable operation.
  • Capital and liquidity pressure: Weak margins combined with mandatory maintenance or deferred investment can strain cash generation. CVR Energy reported suspending its cash dividend and deferring growth spending amid adverse conditions; that is a company-specific example of how market weakness can affect capital choices, not a forecast for another refinery.
  • Policy, emissions, and transition: Identify applicable emissions requirements, carbon costs, compliance spending, and possible changes to demand or market access. BP describes carbon-cost treatment for certain investment cases and identifies policy and transition shifts as risks to hydrocarbon business value. Rules and exposures vary by jurisdiction and project.
  • Trade and geopolitical exposure: Imports, exports, sanctions, trade policy, economic conditions, and regional oversupply may change available markets and realized prices. Consider whether the refinery can redirect products if a route or buyer becomes unavailable.

Shell’s use of uncertainty ranges and BP’s comparison of alternative commodity assumptions support evaluating more than one market path; neither approach removes the operating, policy, or financing risks of a particular investment.

How should two refinery investments be compared?

Put candidates on a common basis before ranking them. Use matching periods, definitions, and assumptions, and compare the rights and obligations of the investment rather than only the plants’ operating statistics.

  • Ownership, control, distribution rights, and liabilities included in the transaction.
  • Feedstock access, delivered cost, crude differentials, product slate, and realized yield.
  • Utilization, reliability, turnaround schedule, and maintenance condition.
  • Normalized margin definition, operating cost, logistics, and access to buyers or export routes.
  • Sustaining, compliance, and growth capital, alongside leverage, liquidity, and funding commitments.
  • Regulatory, emissions, transition, trade, and regional market exposure.

For public shares, also compare the rest of each company’s businesses, corporate debt, and capital-allocation priorities. For private interests, compare governance and contractual protections as carefully as projected operating performance. If key metrics cannot be made comparable, show the difference rather than presenting a ranking that implies precision the underlying information does not support.

What can—and cannot—be concluded without a specific deal?

The framework can identify the information needed to assess ownership, sustainable cash flow, valuation, and downside risk. It cannot establish whether a particular refinery is fairly priced or likely to meet an investor’s return target without asset details, transaction terms, and financing assumptions. Treat company-reported figures as evidence about those companies under their own definitions, not as a substitute for transaction-level diligence.
