What MiCA’s Reserve Rules Require of Stablecoin Issuers

MiCA does not have one reserve rule for all stablecoins. ART issuers must maintain matching, segregated reserves and support redemption, while EMTs follow a distinct framework.

MiCA does not impose one reserve rule on every stablecoin. An issuer’s obligations depend first on whether its token is an asset-referenced token (ART) or an e-money token (EMT). For ARTs, the issuer must maintain a reserve whose value at least matches the ARTs in circulation, manage it for the risks of the referenced assets and holders’ redemption needs, and keep it legally and operationally separate from its other assets.

Why the token’s classification comes first

“Stablecoin” is a broad description, not the MiCA category that determines an issuer’s duties. An ART refers to assets or rights; an EMT refers to one official currency. MiCA sets distinct reserve and redemption frameworks for these categories, so ART reserve requirements should not automatically be applied to an EMT. This distinction matters to holders as well as issuers: the reserve backing and the basis on which a holder can seek redemption depend on the token category. The ART requirements below concern asset-referenced tokens specifically.

What an ART reserve must cover

Matching the tokens in circulation

An ART issuer must constitute and maintain a reserve at all times. Its value must be at least equal to the corresponding value of ARTs in circulation, and issuance and redemption must correspond to changes in the reserve. This is a legal coverage requirement, not a third-party performance statistic. The reserve must also be composed and managed to cover risks associated with the referenced assets and to address the liquidity risks created by holders’ continuing redemption rights. Keeping reserve assets separate

The reserve must be legally segregated from the issuer’s estate and from the reserves backing its other ARTs, as well as operationally segregated. MiCA’s custody rules provide safeguards intended to preserve that separation and enable prompt access to reserve assets. Segregation is a protection mechanism; it is not a promise that every holder will recover every amount in every insolvency scenario. MiCA.

What issuers may do with reserve assets

MiCA does not reduce ART backing to cash only. If an issuer invests part of the reserve, it may use only highly liquid financial instruments that present minimal market, credit and concentration risk and can be liquidated rapidly with minimal adverse effect on price. The issuer bears the profits and losses, including changes in instrument values and specified counterparty or operational risks arising from investment. MiCA’s reserve and investment provisions.

These conditions constrain how the reserve can be managed; they do not make an investment risk-free. The issuer remains responsible for the consequences of investment decisions and for maintaining the required reserve coverage.

How ART redemption works

ART holders have a right to redemption at all times. On request, the issuer must redeem either by paying funds other than electronic money equivalent to the market value of the referenced assets held, or by delivering those referenced assets. The issuer’s redemption policy must explain how holders exercise the right, how valuation and settlement work, and how redemption is handled in stressed circumstances. Under Article 39(3), redemption is not subject to a fee, without prejudice to Article 46. MiCA, Article 39.

What the 2025 liquidity rules add

Commission Delegated Regulation (EU) 2025/1264 sets minimum contents for liquidity-management policies and procedures applying to both ART and EMT issuers. It addresses the aim of having reserves able to meet redemptions in normal and stress scenarios while maintaining business continuity. It supplements MiCA; it does not turn the two token categories into one framework or mean that a short summary captures every liquidity calibration or supervisory expectation. What this means for EMTs

EMTs are governed by a separate MiCA reserve and redemption framework because they reference one official currency. The 2025 liquidity-management requirements apply to EMT issuers as well as ART issuers. The ART rules described above—including redemption at the market value of referenced assets or delivery of those assets—are not a complete description of EMT obligations. The regulation distinguishes EMT redemption on a par basis, but an issuer-specific assessment requires checking the provisions that apply to that EMT rather than assuming the ART rules carry over. Practical questions to ask about an issuer

  • What is the token’s MiCA category? Establish whether it is an ART or EMT before comparing reserve or redemption claims.
  • For an ART, does the reserve cover the tokens in circulation? The legal requirement is at least corresponding value, maintained at all times.
  • How are reserve assets held and separated? Look for the issuer’s explanation of legal and operational segregation and custody.
  • Are any reserve assets invested? If so, the permitted instruments must satisfy MiCA’s liquidity and minimal-risk conditions, and the issuer bears investment gains and losses.
  • How can holders redeem? For an ART, review the policy’s valuation, settlement, exercise conditions and stressed-situation procedures.
