Before SpaceX’s 2026 IPO, its private valuation was inferred from negotiated share sales and financial estimates—not from a continuously quoted public share price. Analysts could compare an implied company value with reported revenue or EBITDA and model future growth, but every result depended on the transaction, share rights, financial period and assumptions used. SpaceX’s IPO closed on June 15, 2026, so the historical caveat matters: its prospectus now provides audited financial statements for 2023–2025 and unaudited first-quarter 2026 statements.
What “private valuation” meant for SpaceX
Before the offering, there was no public market price for SpaceX’s Class A common stock. That did not prevent investors or analysts from estimating a value. It meant the estimate was an implied figure drawn from limited transactions and modeling rather than a live quote that anyone could observe and trade against.
SpaceX’s prospectus, approved June 5, 2026, describes the pre-offering absence of a public market and includes the company’s audited consolidated financial statements for 2023, 2024 and 2025, plus unaudited statements for the first quarter of 2026: SpaceX EU Prospectus. The company announced that its IPO closed on June 15, 2026, issuing 638,888,888 Class A shares and receiving approximately $85.7 billion in gross proceeds: SpaceX IPO closing announcement.
How analysts built a private-company estimate
1. Start with a negotiated share transaction
A tender offer or secondary sale gives a price agreed for a particular transaction and security. Analysts can multiply that price by the share count assumed in the transaction to calculate an implied equity valuation. The result is a point-in-time signal, not a continuously available market price; transaction terms and eligible sellers matter.

2. Check which shares were sold
Share classes can carry different economic rights. TechCrunch reported in January 2025, drawing in part on internal documents, that employees were selling common shares while investors held preferred shares with liquidation preferences. Those preferences can change what a holder receives in certain outcomes, so a common-share transaction price should not automatically be treated as the value of preferred stock—or as a price every shareholder could obtain. 3. Compare the implied value with operating measures
Analysts may divide an estimated company value by revenue or EBITDA to compare it with other companies. Such multiples are only meaningful alongside the chosen valuation, the period and definition of the financial measure, the comparison companies, and any growth assumptions. A multiple calculated from a private transaction is not independent proof that the transaction’s valuation is correct.

4. Make forecasts explicit
Forecasts can materially change a valuation. Reuters’ April 8, 2026 analysis used a reported $1.75 trillion valuation and assumed revenue and cash flow would double in 2026; Reuters characterized that growth assumption as aggressive and said there were no consensus growth projections. Its illustrative calculations therefore describe one scenario, not a market consensus or an established value: Reuters analysis republished by Investing.com.
What the reported $1.75 trillion analysis did—and did not—show
Reuters used reported 2025 revenue of about $15–16 billion and EBITDA of about $8 billion in its 2026 analysis. These are reported figures cited in that analysis, not audited earnings published in the article. SpaceX’s prospectus now provides audited statements for 2023–2025, which are the appropriate primary source for filed historical financials.

Under Reuters’ stated assumptions, a hypothetical $1.75 trillion market capitalization implied price-to-revenue of 56 times and price-to-EBITDA of 109 times. Those were conditional calculations based on the assumed doubling of 2026 revenue and cash flow, not observed trading multiples. Reuters also quoted Shay Boloor, chief market strategist at Futurum Equities, saying, “Starlink is the only reason this valuation is defensible.” That is one attributed opinion about the case for the valuation, not an established fact or consensus.

- Evidence: Is it a completed tender or secondary transaction, an analyst estimate, or a company-filed financial statement?
- Security: Does it refer to common or preferred shares, and do liquidation preferences or other rights affect the economics?
- Financial denominator: Is the comparison based on revenue, EBITDA or another named measure, and for what period?
- Forecast: What growth assumptions are built in, and are they an individual scenario or a consensus estimate?
- Date and market context: Was the figure associated with a private transaction, the IPO, or a later public-market price?
Private transaction terms and investors’ confidential models are not all publicly available. A defensible explanation should therefore name the transaction or estimate, the financial measure and period, and the forecast assumptions; a headline valuation alone cannot establish a single definitive “true value.”
