How to Read Auditor Appointment and Financial Filings on Indian Exchanges

A practical guide to finding Indian exchange filings, checking what financial results cover, and understanding what an auditor appointment or resignation disclosure can establish.

To understand an Indian listed company’s financial results or auditor change, start with the exchange filing record—not just the attachment. Confirm the company, reporting period, submission and revision status, audit status, and whether the figures are standalone or consolidated. Then read the full announcement and supporting documents. An NSE or BSE posting makes a disclosure available; it does not mean the exchange verified its accuracy.

How to find a company’s filings on NSE or BSE

Search using the issuer’s listed name or symbol. SEBI’s corporate-filings directory points to NSE and BSE pages for common categories such as financial results, corporate governance, and shareholding patterns.

For results, NSE’s financial-results page accepts a company name or symbol and provides period filters and data-download and XBRL tools. NSE also maintains dedicated integrated-filing and annual-report routes. Use the exchange’s filing-category labels to narrow the search, then open the filing record and its attachments.

What to check in a financial-results filing

Read the record before relying on a preview or downloaded table. Capture the details that determine what the figures mean:

  • Issuer and period: Check the company name, symbol, and period ended.
  • Submission timing and status: Note the broadcast or submission date and time, and whether the filing is original or revised. If there is a revision, inspect the later filing and its attachment rather than treating the first version as final.
  • Audit status: Confirm whether the results are marked audited or unaudited.
  • Reporting basis: Establish whether the statements are standalone or consolidated. These are different reporting scopes, so figures from one should not be compared with the other as if they were equivalent.
  • Supporting records: Open the detailed filing, complete attachment, and any linked XBRL record. A short table preview may not contain the statements, notes, or qualifications needed to interpret the results.

NSE’s integrated-filing interface shows period end, submission type, audit status, reporting basis, broadcast time, revision information, and links to details or XBRL. Its sample filing also labels the reporting period, audit status, and basis. Use those fields as a checklist when reviewing a record (NSE integrated filings; sample filing and annual-report route).

How to trace an auditor appointment or change

Appointment or reappointment

  1. Search the company’s corporate announcements for an auditor-related event and open the announcement and attached document.
  2. Check the annual report for the auditor’s identity and appointment details, and read the AGM notice if shareholders are being asked to approve an appointment or reappointment.
  3. Compare the proposed terms in those materials. SEBI says the audit committee recommends the auditor’s appointment, remuneration, and terms, and monitors independence and performance. AGM notices should disclose the terms of a proposed appointment or reappointment (SEBI circular on auditor resignation and related disclosures).

Resignation

For a statutory auditor’s resignation from a listed entity, SEBI says the company must disclose the detailed reasons supplied by the auditor to the exchanges as soon as possible, and no later than 24 hours after receiving those reasons (SEBI circular). Read the actual resignation communication and the company’s announcement together: the filing establishes what the company disclosed, while the attached auditor statement provides the reasons attributed to the auditor.

SEBI circulars and the later master circular also describe additional quarter-specific limited-review or audit-report conditions for resignations by statutory auditors of listed entities and material subsidiaries. The applicable requirements depend on the event and current rules; consult the current consolidated regulation and circular text before drawing a compliance conclusion (SEBI regulation; SEBI master circular).

What an exchange filing does—and does not—establish

An exchange page is a discovery and dissemination channel, not an independent audit of the disclosure. NSE states that information uploaded by companies is displayed without the exchange verifying its adequacy, accuracy, or veracity; the company is responsible for omissions, errors, or misrepresentations in its submission (NSE filing disclaimer).

Accordingly, a filing’s presence on an exchange establishes that the information was submitted and published through that channel. It does not, by itself, prove that the contents are correct, that an auditor’s work was adequate, or that a company acted improperly. For a fuller view, check the signed auditor report, any revision history, the complete statements, and related company documents. SEBI’s October 18, 2019 circular says listed companies must make timely disclosures to help investors make informed decisions (SEBI circular).

How to compare filings or investigate an auditor change

Compare like with like and treat differences as questions to investigate, not conclusions:

  • Compare filing dates and revision states to identify whether later information superseded an earlier submission.
  • Match standalone statements with standalone statements, and consolidated with consolidated.
  • Distinguish audited results from unaudited results.
  • For an auditor change, compare the auditor’s identity and stated appointment terms across the announcement, AGM notice, and annual report.
  • Read the auditor’s opinion and note any qualification. If an attached statement explains the impact of an audit qualification, read that as well.

These checks can reveal inconsistencies or changes worth examining. They do not, on their own, establish fraud, negligence, or legal noncompliance. Assessing a specific event requires the issuer’s actual disclosures and the rules applicable at the time.
