Before buying a tokenized stock, find out exactly what legal claim the token gives you, who issued it, where the ownership record sits, and what redemption actually delivers. The label alone does not establish that you own shares in the referenced company. Rights and remedies depend on the product documents and governing law.
First identify what the token represents
Tokenized stocks can use different legal and operational structures. The same company name or ticker in a token’s marketing does not tell you which one applies. Investor.gov distinguishes three broad models in its overview of tokenized securities.
Issuer-sponsored shares
The company, or its agent, issues a security directly on a blockchain. The token may carry the rights of a traditional share of the same class, but it could instead represent a different share class with different rights.
Custodial interests
A token may represent an indirect interest in shares held by a custodian or through another intermediary. The token holder’s claim may be a security entitlement or a similar intermediary relationship, rather than direct registration as a shareholder.

Synthetic or linked products
A third party may issue its own security or derivative that tracks a referenced stock. In that case, the token generally represents a claim against that third party, not a claim against the company whose stock it references. Rights can differ substantially from those of a traditional shareholder.
Check who issues the token and which record controls ownership
Identify the legal issuer, whether it is the referenced company or an unaffiliated provider, and the record that establishes ownership. An on-chain transfer does not by itself prove that the legally authoritative shareholder record changed.
- Does the blockchain form part of the company’s master securityholder file, or is the official ownership record maintained off-chain?
- If the token is used to notify an issuer or agent of a transfer, who updates the official record and how quickly?
- Who reconciles discrepancies between on-chain balances and off-chain records?
The SEC staff describes both blockchain-integrated records and arrangements in which securities are recorded off-chain while tokens signal transfers. Its Jan. 28, 2026 statement on tokenized securities is a staff statement, not a rule or Commission-approved statement, and says it has no legal force or effect.

Find out who holds any underlying shares—and what happens if an intermediary fails
For a custodial product, identify the custodian, the entity in whose name shares are held, and the legal nature of your interest. Read the documents for what happens if the token issuer, custodian, or another intermediary becomes insolvent. A token holder may face bankruptcy exposure to a third party that a directly registered shareholder would not face in the same way.

- Are assets segregated, and what evidence or contractual terms establish that?
- Who has a claim to the shares if the issuer or custodian fails, and how are competing claims resolved?
- What process applies to recover or transfer assets, and which law and dispute forum govern?
Do not assume that “backed by shares” means you have direct ownership, priority in insolvency, or an assured recovery. Those conclusions require product-specific documents and applicable law.
Read the redemption terms as an operational promise
“Redeemable” is not a complete description of what you can receive or how quickly. Check the operative documents rather than relying on a product label or a general statement that tokens are backed by stock.

- What you receive: shares, cash, or another form of payment.
- Who must deliver it: the token issuer, a custodian, an agent, or another party.
- Who can redeem: eligibility rules, identity or account requirements, and any minimum amount.
- What it costs and how long it takes: fees, settlement timing, and required steps.
- When it can be restricted: suspension, limitation, refusal, or other conditions that may interrupt redemption.
- What happens after a failure to perform: the remedy available, governing law, and forum for a dispute.
These terms cannot be inferred from the phrase “tokenized stock.” The SEC’s investor guidance and staff statement describe structures that differ in ownership and obligations; neither establishes the redemption rights of a particular product.
Verify which shareholder rights pass through
Compare the token’s class and documents with the rights of the referenced company’s ordinary shares. Check each right directly rather than assuming that exposure to a stock includes shareholder status.
- Voting and how voting instructions are collected or passed through.
- Dividends and other distributions, including who receives them and how they reach token holders.
- Stock splits, mergers, tender offers, and other corporate actions.
- Any limits or differences tied to the share class or intermediary arrangement.
Assess how you can exit and whether the price is usable
Liquidity is separate from legal ownership and redemption. A token may be transferable or display a quoted price without having enough buyers, reliable execution, or a dependable route to cash or shares when you need to exit.

- Where it trades, during which hours, and whether trading is restricted.
- Trading volume, bid-ask spreads, and whether market-making depends on a particular provider.
- How the quoted price is referenced to the underlying share and what happens if that reference is unavailable.
- Whether selling on a venue is distinct from redemption, or whether an exit ultimately depends on redemption being available.
The IMF’s April 2026 note, “Tokenized Finance”, discusses how continuous settlement can shift liquidity demands and how automation may accelerate outflows under stress. It describes system-level risks, not the liquidity of any particular token.

A token’s transfer and redemption may rely on several connected systems. Identify what must work, who controls it, and who responds when it does not.
- Blockchain network, wallet, and any intermediaries needed to transfer or redeem.
- Smart contracts and data feeds that support balances, pricing, or corporate actions.
- Administrative or governance controls, including who can pause or change a process.
- Incident response: the responsible party, notification process, and steps for restoring access or correcting records.
The IMF notes that failures in code, data feeds, or governance can spread across integrated workflows, while shared infrastructure can become a critical point of failure. A token’s on-chain visibility does not remove these dependencies.

Check the applicable regulatory and disclosure framework
Blockchain format does not, by itself, tell you whether a product is a share, security entitlement, derivative, or another contractual claim. The SEC’s materials stress that structures vary and that analysis can depend on the instrument’s economic reality and details. Commissioner Hester M. Peirce wrote in a July 9, 2025 statement, “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” That is a commissioner statement, not a Commission rule. The SEC staff’s Jan. 28, 2026 statement and Investor.gov’s tokenized-securities page also state that their content represents staff views and has no legal force or effect.
Confirm which jurisdiction’s law and disclosure documents apply to the offer, the issuer, custody, and disputes. A general regulatory statement cannot establish your rights under a particular product’s terms.
Compare products on the same questions
If you are evaluating more than one token, use identical criteria for each rather than comparing marketing claims. Record the answers from the offering documents and governing terms; mark a missing answer as unknown rather than assuming the more favorable outcome.

| Redemption | What asset is delivered, who is obligated, who qualifies, what are the fees and timing, and when can redemption be suspended or refused? |
| Trading and liquidity | Where and when can you trade, what are the spreads and restrictions, and does an exit depend on redemption? |
| Technical dependencies | Which blockchain, contracts, data feeds, intermediaries, and governance controls are required? |
Make the decision product by product
Do not buy until you can explain, in plain language, what claim the token gives you, who owes you performance, where ownership is recorded, and how you would get out. If the documents do not clearly answer the custody, insolvency, redemption, or rights questions, treat that uncertainty as a material risk—not as a detail supplied by the token’s name.
