The exact steps depend on your business structure, states, workforce, and tax situation.
How do I close my business?
Use this sequence as a planning checklist, not a universal filing list: state and local requirements vary, and the right steps depend on whether you are dissolving the business, selling it, or liquidating its assets. The U.S. Small Business Administration recommends getting qualified help with exit planning and checking the relevant state offices for dissolution requirements.
- Decide and document who has authority to close. A sole proprietor can make the decision individually. A partnership generally needs agreement among its co-owners. For an LLC, corporation, or nonprofit, follow the governing documents and applicable approval procedures, and keep a record of the decision.
- Identify where the business is registered and operates. List every state where the entity is registered, along with the cities and other jurisdictions where it holds registrations, permits, licenses, or trade names. These locations determine which agencies to contact.
- File state dissolution documents. Contact the Secretary of State, Business Bureau, or Business Agency in each state where the entity is registered and follow its dissolution process. Stopping operations does not by itself dissolve an LLC or corporation. The SBA warns that failure to legally dissolve one can leave taxes and filing requirements in place.
- Cancel registrations and operating permissions. Ask each issuing agency how to cancel business registrations, permits, licenses, and trade names that are no longer needed. State and local procedures differ, so confirm the steps with each agency rather than assuming one cancellation ends all obligations.
- Plan the wind-down of employees, debts, leases, and assets. Address payroll and notice obligations while deciding how to handle property, creditors, contracts, and leases. If you are liquidating, inventory and secure assets, estimate their liquidation value, choose a sale method, and coordinate with creditors.
- File final federal tax returns and pay what is due. The forms depend on the business structure and activity. Complete the applicable final-year filings and pay outstanding taxes; closing does not erase a tax balance or remove a filing obligation that remains due.
- Close the IRS business account when eligible. The EIN is not canceled; after required returns are filed and taxes are paid, you can ask the IRS to close the business account or deactivate the EIN.
- Keep required records. Retention periods vary by document type. Identify who will retain payroll and other business records, and check the applicable federal, state, and other rules.
Before terminating a lease, selling equipment, or disconnecting utilities, the SBA advises consulting a lawyer and accountant. Those decisions can affect contractual obligations, taxes, and the orderly handling of assets and creditors.
What do I need to do to close an LLC?
Follow the LLC’s operating agreement and applicable state law for approval and dissolution. Then file the required dissolution documents in every state where the LLC is registered. A single state filing may not address registrations elsewhere, and continued state filing or tax obligations can remain if the LLC is not formally dissolved.

Also review the LLC’s licenses, permits, trade names, employees, debts, leases, assets, and tax filings. The specific agency, forms, deadlines, and fees depend on the LLC’s circumstances and jurisdiction; check each relevant state and local authority.
What final tax and payroll filings may be required?
Federal business returns
File the final federal returns required for the business’s structure and activity, and pay any tax owed. The IRS’s closing-business guidance covers different situations, including partnership and self-employment income and reporting related to asset sales. The correct return set and deadlines depend on the business; stopping operations does not automatically end tax filing duties.

Employees and payroll
If you had employees, pay final wages and other compensation as required and complete final federal tax deposits and employment returns. Where applicable, IRS instructions call for Form 941 or Form 944 for the quarter in which final wages were paid, Form 940 for the calendar year, and employee Forms W-2. Keep payroll records and identify who will retain them on the applicable final return.
Notice requirements may also apply. The SBA flags the federal Worker Adjustment and Retraining Notification (WARN) Act and other federal and state employment laws; whether a requirement applies depends on the employer and the closure circumstances.

Contractor payments
For the calendar year the business closes, the IRS says payments of at least $600 to contractors for services, including parts and materials, must be reported on Form 1099-NEC. Check the current IRS threshold and filing instructions for the relevant tax year before filing.
Can I cancel my EIN?
No. The IRS says an EIN is the entity’s permanent taxpayer number and cannot be canceled. Once you have filed all required returns and paid taxes due, you can ask the IRS to close the business account or deactivate the EIN. This is separate from dissolving the entity with a state.

How long should I keep business records after closing?
Keep records according to their type and the rules that apply to them. IRS guidance says to retain employment-tax records for at least four years. For property records, the IRS generally advises keeping them until the limitations period expires for the tax year in which the property is disposed of. Other tax, corporate, employment, and state records may have different retention rules, so check the requirements for each set of records.
What should I do with business debts and assets?
Make an inventory of the business’s assets, secure them, estimate liquidation value, decide how they will be sold, and coordinate with creditors. Review debts, leases, and other contracts before committing to a sale or ending services. A lawyer and accountant can help you assess the consequences of particular decisions, including terminating a lease, selling equipment, or disconnecting utilities.

The appropriate process depends on the business’s structure, registrations, employees, tax status, and whether it is being sold or liquidated.
