Carvana announced on April 17, 2018, that it had acquired Car360, a Mark Cuban-backed vehicle-imaging technology company. The deal had closed five days earlier. The often-cited $22 million figure is an approximate headline characterization: Carvana’s SEC filing describes the purchase-agreement consideration as about $6.7 million in cash plus units valued at about $15.2 million, while its later annual report records an acquisition cost of about $16.7 million net of cash acquired. Car360’s app-based photography and computer-vision and augmented-reality capabilities were intended to help customers inspect vehicles online.
What Carvana acquired and when
Carvana Group, LLC, a Carvana subsidiary, signed a definitive purchase and sale agreement with Car360’s stockholders on April 12, 2018, to acquire all of Car360’s stock and other ownership interests. The acquisition closed that day; Carvana announced it on April 17. The SEC filing said Carvana’s subsidiary would retain Car360’s 16 employees.

Why the headline says $22 million—and what the filings report
The approximate $22 million headline figure reflects a contemporary characterization of the deal, not a single number that should be treated as interchangeable with Carvana’s later accounting. The two primary disclosures use different bases:

The figures answer different questions: the 8-K describes the purchase-agreement terms, while the annual report presents the company’s purchase accounting. They should not be added together or substituted for one another. Carvana’s 2018 annual report also reports approximately $9.9 million of acquired intangible assets and $9.4 million of goodwill.
What Car360’s technology was meant to do
Carvana described Car360’s app-based photo capture as a way to bring its existing 360-degree vehicle-tour concept to mobile phones and offer a more immersive view of cars. It identified 3D computer vision and augmented reality (AR) as additional areas of expertise. In practical terms, the technology was intended to improve how customers could examine used vehicles online, where a buyer cannot walk around a car in person before deciding whether to pursue it.

Carvana’s announcement said the acquisition would strengthen its vehicle-imaging capabilities and online shopping experience. Its 2018 annual report later described Car360 as a provider of app-based photo-capture technology and included it among companies from which Carvana acquired purpose-built technology and hired employees. Those records establish the acquisition and integration intent, but not whether any particular Car360 feature remains in use today.

In its acquisition announcement, Carvana traced Car360’s origins to Cycloramic, an early version launched in 2012 as a 360-degree panoramic video app. Carvana said Cycloramic had been the top downloaded app on Apple’s App Store at one point and had more than 20 million downloads. These are historical figures reported by Carvana, not independently established totals in the cited filings.

Carvana also said Mark Cuban took an interest after Cycloramic appeared on Shark Tank in 2013. His investment later increased as part of Car360’s 2017 Series A financing, which Carvana reported as $3.55 million. These details describe the company’s history as presented by Carvana in 2018; they do not independently measure the technology’s commercial performance.
What the deal does—and does not—tell car shoppers
The acquisition is a historical example of Carvana investing in technology intended to make online vehicle inspection more useful. It does not establish that Car360 remains a separately available app, that specific Car360 features are still in Carvana’s shopping experience, or that the acquisition improved buyer outcomes. The company’s announcement described its rationale at the time; the available filings document the transaction and accounting rather than later product performance.
