Gujarat High Court Sets Aside GST RFD-03 Memos in Pranav Overseas Refund Case

The Gujarat High Court quashed RFD-03 deficiency memos for Pranav Overseas’ FY 2017–18 and 2018–19 claims and ordered processing under amended Rule 89(5), not an immediate quantified refund.

The Gujarat High Court set aside GST RFD-03 deficiency memos relating to Pranav Overseas LLP’s refund claims for financial years 2017–18 and 2018–19, and directed tax authorities to process the claims under the amended Rule 89(5) framework. The order requires processing within 12 weeks after the authorities receive it; it does not itself quantify or grant a particular refund.

What the Gujarat High Court ordered

In Pranav Overseas LLP v. Union of India, the petitioner sought a refund of unutilised input tax credit (ITC) attributed to input services for FY 2017–18 and FY 2018–19. It challenged deficiency memos issued in Form GST RFD-03 and sought refund relief.

The Court set aside the challenged deficiency memos and directed the respondents to process the refund claim in light of the Supreme Court decision in VKC Footsteps, the Gujarat High Court’s decision in Ascent Meditech, and Notification No. 14/2022-Central Tax. The deadline is 12 weeks from receipt of the order. That is a direction to process the claims, not an order specifying an amount payable or requiring an immediate refund.

The order also recorded: “The aforesaid proposition of law is not controverted by learned Senior Standing Counsel Mr. Utkarsh Sharma.” This was the Court’s observation about the legal proposition it considered.

Why amended Rule 89(5) matters

Rule 89(5) sets out the formula for refunds of unutilised ITC in cases involving an inverted duty structure, where the tax rate on inputs is higher than the tax rate on output supplies. Notification No. 14/2022-Central Tax, dated 5 July 2022, amended the formula so that Net ITC includes ITC availed on both inputs and input services. The notification is available from CBIC.

The input-service element was material to Pranav Overseas: its claims concerned unutilised ITC attributable to input services. The Court directed the authorities to assess the claims under the amended framework, relying on Ascent Meditech for the amendment’s application to earlier periods.

Retrospective application and the CBIC’s different administrative position

There are two positions to keep distinct:

CBIC Circular No. 181/13/2022-GST, dated 10 November 2022 States that the amended formula applies prospectively from 5 July 2022 and is not clarificatory. This is the CBIC’s administrative position. The circular is available from CBIC.
Gujarat High Court in Ascent Meditech, applied in Pranav Overseas Treats the amendment as curative and clarificatory, with retrospective application subject to the limitation qualification described in Ascent Meditech. The Pranav Overseas order applied that High Court approach to the claims before it; it did not establish that every historic claim succeeds.

The reported Pranav Overseas judgment states that the Union of India’s special leave petition against Ascent Meditech was dismissed on 28 March 2025 and its review petition was dismissed on 2 December 2025. Those procedural outcomes form part of the context recited in the order.

The order places the dispute after the Supreme Court’s ruling in Union of India v. VKC Footsteps India Pvt. Ltd. and the subsequent rule amendment. The proposition that the 2022 amendment applies retrospectively comes from the Gujarat High Court’s treatment of Ascent Meditech; it should not be attributed to the Supreme Court’s VKC Footsteps decision.

What this means for other GST refund claims

Pranav Overseas is a case-specific order. It supports processing the petitioner’s earlier-period claims under the amended Rule 89(5) approach, but it does not automatically revive every historic inverted-duty refund claim or remove applicable limitation requirements. The limitation qualification attributed to Ascent Meditech remains important.

  • For the petitioner: the deficiency memos were set aside, and the authorities must process the claim within the order’s 12-week period after receiving it.
  • For other taxpayers: the case may be relevant where a claim involves unutilised ITC on input services and the amended Rule 89(5) formula, but eligibility and limitation remain matters to assess under the applicable law and circumstances.
  • For the administrative position: CBIC Circular 181 states a prospective effective date, while the Gujarat High Court in this case relied on Ascent Meditech’s retrospective approach for the claims before it.
