Why did RXO stock soar?
The immediate catalyst was C.H. Robinson’s October 5 announcement that it had signed a definitive agreement to acquire RXO. The Associated Press reported that RXO shares rose 22.5% that day. That dated move is distinct from the transaction’s stated premium to earlier reference prices.
What did C.H. Robinson offer for RXO?
The companies described the transaction’s implied value as $5.8 billion and the combined company’s enterprise value as more than $25 billion. Under the standard election, RXO shareholders would receive $17.25 in cash plus 0.0856 shares of C.H. Robinson common stock for each RXO share. The agreement also allows all-cash or all-stock elections, subject to proration and adjustment mechanics.
The companies cited an implied consideration value of $30.25 per RXO share. They said that represented a 29% premium to RXO’s October 2 closing price and a 27% premium to its 90-day volume-weighted average price. These are announcement-date comparisons, not the same measure as the 22.5% one-day share-price jump reported by the Associated Press. Because the standard consideration includes C.H. Robinson stock, its implied value can change with that stock’s price; $30.25 is not a fixed cash payout promised to every holder.

Has the acquisition closed?
No. The announcement described a proposed acquisition, not a completed transaction. The companies expected it to close in the first half of 2027, subject to customary conditions including regulatory approval and approval by RXO shareholders. Until closing, the deal remains conditional and could fail to close or change under the agreement’s terms.
Why do the companies say the combination makes sense?
The companies said the combination would bring together C.H. Robinson’s global forwarding and multi-modal operations with RXO’s North American brokerage, expedited, and last-mile capabilities. C.H. Robinson forecast approximately $300 million in net run-rate cost synergies within two years after closing. That is a forward-looking management estimate, contingent on completion and execution—not savings already realized.

RXO’s August 6 second-quarter release reported revenue of $1.8 billion, up from $1.4 billion in the year-earlier quarter. It also reported a $9 million GAAP net loss, $10 million in adjusted net income, and $40 million in adjusted EBITDA. Brokerage truckload volume grew 2% year over year, and truckload spot mix was 42%.

In a September 9 update, RXO said truckload gross profit per load rose more than 10% in August compared with July. About 50% of full-truckload volume through the first two months of the quarter was spot. RXO said its third-quarter results were incomplete and subject to quarter-end closing procedures, so these were preliminary operating indicators rather than finalized quarterly results. The contemporaneous market report identified the acquisition announcement—not these operating updates—as the immediate catalyst for the October 5 jump.
