Oura said it postponed its planned U.S. IPO because of uncertainty in the IPO market. The decision came on September 29, 2026, after a roadshow and shortly before the offering was expected to price. Investors and analysts have also raised questions about Oura’s proposed valuation, the large share of the deal reserved for existing shareholders, and competition from Apple and other wearable companies. Those are plausible contributing concerns—not reasons Oura has confirmed.
Why did Oura postpone its IPO?
Oura’s stated reason was uncertainty in the IPO market. CEO Tom Hale said the company had “the luxury of choosing our moment” and would continue pursuing opportunities while it waited. Reuters quoted him on September 29, 2026: “We aim to deliver an extraordinary IPO for our employees and investors and we have the luxury of choosing our moment. In the meantime, we will execute against the opportunities ahead.”
The timing attracted scrutiny: Oura had already completed a roadshow, and pricing was expected shortly. The Associated Press also reported the market-uncertainty explanation. Neither outlet’s account establishes that Oura publicly identified valuation, shareholder sales or Apple as the cause. The precise internal reason remains unknown.
There is a distinction between what the company said and what outside observers inferred. Market conditions can make an offering harder to price or less attractive to investors, but a company’s stated rationale does not, by itself, settle whether company-specific concerns also mattered.

What were the proposed IPO terms?
Reuters reported that Oura and existing shareholders planned to offer 50 million shares at $40 to $44 each. At the top of that range, Reuters put Oura’s fully diluted valuation at $15.62 billion. That is a fully diluted valuation, not the same measure as market capitalization or the cash proceeds from selling shares.

Was Oura’s IPO too expensive?
Some prospective buyers reportedly questioned the target valuation. Fortune, relaying Bloomberg’s reporting, said some investors did not participate because of valuation concerns. That is evidence of investor hesitation reported by the outlets, not confirmation that the valuation caused the postponement.

The debate partly depends on what kind of business investors think Oura is. Kat Liu, vice president of IPOX, described the distinction to Fortune: investors might value Oura as an AI-enabled digital-health platform or as a consumer hardware company. A platform framing may emphasize ongoing services and health-data use; a hardware framing puts more weight on selling devices in a competitive market. Those are different ways to assess the business, not settled conclusions about its future value.
Oura’s growth figures made the offering’s pricing question more complex, rather than resolving it. Reuters reported 5.7 million paid members and an Oura forecast of 90% revenue growth for fiscal 2026. Those figures support a growth narrative, but neither indicates what investors would ultimately have been willing to pay for the shares.

Were insiders cashing out in Oura’s IPO?
Most of the proposed shares were to come from existing shareholders, not from Oura issuing new stock. Fortune reported that 36.5 million shares—73% of the offering—were being sold by existing holders, while Oura planned to issue 13.5 million new shares, or 27%. At the $42 midpoint, Fortune estimated about $1.53 billion in gross proceeds for selling holders and about $567 million for Oura.
That makes shareholder liquidity a major feature of the proposed deal. It does not establish misconduct, nor does the share mix prove why Oura postponed the IPO. TechCrunch reported that Forerunner Ventures was slated to sell its 9.3% stake. It also reported that Oura intended to use most of its own IPO proceeds for employee-related tax obligations arising from share grants that would vest at listing.

TechCrunch reported that Oura held about $372 million in cash at the end of June 2026. That figure and the planned use of proceeds complicate any simple claim that the IPO was chiefly needed to fund operations or growth. They do not, on their own, reveal the company’s full financing needs or the private reasoning behind the postponement.

The more dramatic question—whether Apple might enter the smart-ring category—is hypothetical in the reporting covered here. The sources do not establish that Apple has announced or is preparing an Oura-like ring. D.A. Davidson analyst Gil Luria argued to Fortune that the possibility matters to Oura’s business outlook; that is an analyst’s competitive-risk opinion, not a prediction or confirmation of an Apple product.
The underlying investment question is whether Oura can defend a distinct position and attract enough buyers as larger technology and fitness ecosystems expand their health features. Oura’s specialized ring experience may appeal to some customers, while competitors can draw on existing devices and broader product ecosystems. The available reporting raises this question but does not settle the size of Oura’s market or the durability of its advantage.
What does the postponement tell investors—and what doesn’t it?
Reports of strong demand did not eliminate uncertainty about the offering. Fortune cited a source familiar with the matter who said the IPO was around five times oversubscribed. Reuters separately quoted an IPOX research associate referring to reports of around four times oversubscribed. These are differing attributed estimates, not a single confirmed figure; reported demand at a proposed price range also does not prove that the deal would have priced successfully on the planned terms.
Outside observers were skeptical of taking market conditions as the entire explanation. Fortune quoted University of Florida IPO Initiative director Jay Ritter saying, “They always blame it on market conditions.” Liu likewise told Fortune, “What else are you gonna say? ‘We aren’t meeting our expectations.’ I mean, that’s just not a thing to say to the public.” These comments express skepticism about the usual public explanation for a delayed offering. They do not provide evidence of Oura’s undisclosed internal reasoning.
The supported conclusion is narrower: Oura postponed shortly before pricing and publicly cited IPO-market uncertainty. Valuation, the large secondary-sale component and competitive pressure are relevant questions raised by reporting and analysts, but none is established as the company’s confirmed reason. No new IPO timetable is established in the reporting cited here.
