Not exactly. On March 18, 2026, the Securities and Exchange Commission’s Division of Enforcement told Faraday Future Intelligent Electric that it did not intend to recommend an enforcement action, based on information available to the Division at that time. Faraday Future disclosed the letter in a Form 8-K filed March 23. The Division’s letter cautioned that the notice “must in no way be construed as indicating that the party has been exonerated or that no action may ultimately result from the staff’s investigation.”
What did the SEC actually decide?
The notice is a statement of the Enforcement Division’s intent not to recommend an enforcement action on the information it had as of March 18, 2026. It is not a public finding that Faraday Future or any individual was innocent, and it does not establish that the allegations examined by investigators were false. That distinction matters because headlines may describe the development as the SEC “dropping” its investigation. The filed notice describes a narrower procedural outcome: the Division did not intend to recommend enforcement based on information then available. The public filing does not disclose the Division’s complete reasoning or resolve the underlying allegations.
What was Faraday Future investigated for?
Faraday Future’s March 22, 2026 press release described the matter as involving “certain matters involving its 2021 PIPE and SPAC-related transactions.” The company also said it and certain executives had received Wells Notices, which it described as not being formal charges. TechCrunch reported that the SEC examined statements surrounding Faraday Future’s 2021 merger with a special-purpose acquisition company, including disclosures about related-party transactions and founder YT Jia’s role. It also reported that investigators examined allegations by former employees that the company had faked sales of early vehicles in 2023. TechCrunch also reported that the matter was unusual because staff had reportedly recommended action the year before the eventual no-recommendation notice. Can the SEC still take action?
The notice itself says that later action may ultimately result from the staff’s investigation. It therefore does not legally or procedurally promise that the SEC will take no further step. The public information cited here does not establish whether the agency will act later or why the Division chose not to recommend enforcement at this point.
