Akamai Acquired Linode for About $900 Million: What the 2022 Deal Included

Akamai announced its Linode acquisition at about $900 million and completed it in March 2022. Its SEC filings later reported $898.5 million in cash consideration.

Akamai completed its acquisition of Linode in March 2022. The deal was announced at approximately $900 million; Akamai later reported $898.5 million in cash consideration in an SEC filing. Linode was a cloud-computing and infrastructure-as-a-service (IaaS) provider, not a physical-product company.

When did Akamai buy Linode?

Akamai announced an agreement to acquire all outstanding equity of Linode LLC on February 15, 2022. The agreement was subject to customary closing conditions. Akamai announced that the acquisition was complete on March 21, 2022. Akamai’s February 15 announcement and March 21 completion announcement document those milestones.

How much did Akamai pay for Linode?

The February announcement described the transaction value as approximately $900 million, after customary purchase price adjustments. In its Form 10-Q for the quarter ended September 30, 2022, Akamai reported that it acquired all outstanding Linode equity in March for $898.5 million in cash. The two figures reflect different reporting: the first was the announced approximate value, while the second was the cash consideration later reported in the filing. Why did Akamai acquire Linode?

Akamai said it intended to combine Linode’s developer-friendly cloud-computing capabilities with Akamai’s edge platform and security services. The company’s stated aim was to offer businesses a distributed platform to build, run and secure applications. What did Linode add to Akamai?

In its SEC filing, Akamai described Linode as an infrastructure-as-a-service platform provider. In practical terms, the acquisition brought a cloud-computing business focused on developer-oriented services into Akamai’s broader portfolio. The sources establishing this deal do not verify Linode’s current branding, service plans or present-day product features.

What revenue did Linode contribute after the acquisition?

Akamai’s Form 10-Q reported $68.9 million of Linode revenue attributable since the acquisition through September 30, 2022. Its Form 10-K for the fiscal year ended December 31, 2022, reported $103.5 million attributable since acquisition for that year. What did Akamai forecast for the deal?

When it announced the agreement in February 2022, Akamai forecast that the acquisition would add approximately $100 million in fiscal 2022 revenue and be slightly accretive to non-GAAP earnings per share by approximately $0.05–$0.06. Those were forward-looking estimates, not final results. The later $103.5 million revenue figure is close to the announced revenue forecast, but revenue alone does not establish whether the EPS forecast was met. Akamai’s original announcement.
