PTCL’s acquisition of Telenor Pakistan is subject to a set of competition and telecom safeguards, but the approvals do not show that customers have already received lower prices, better service or wider coverage. The Competition Commission of Pakistan (CCP) conditionally approved the acquisition on 1 October 2025. The Pakistan Telecommunication Authority (PTA) later issued a separate change-of-control decision and no-objection certificate (NOC), and continued regulatory steps on licence transfers and amalgamation into 2026.
What was acquired—and what “approval” means
PTCL agreed on 14 December 2023 to buy the entire issued share capital of Telenor Pakistan and Orion Towers, subject to regulatory approvals and completion formalities. The CCP announced conditional approval for PTCL to acquire both companies on 1 October 2025. Its stated aims included preserving competition, ensuring non-discriminatory access and passing efficiencies through to consumers.
That competition decision was not the same as PTA approval of a telecom change of control, nor did it by itself complete the later transfer of licences or amalgamation. The two regulators addressed different parts of the transaction: the CCP set competition-related conditions, while PTA addressed control and telecom-sector requirements.
What safeguards did the CCP impose?
The CCP’s 1 October 2025 announcement describes conditions intended to constrain how PTCL and the acquired businesses are governed and how they treat rivals and customers.

- Separate governance: PTCL and the merged entity must have separate boards and independent management. Senior leaders must meet competency and integrity requirements.
- Independent compliance monitoring: A third-party reviewer is to monitor compliance, audit transactions and report quarterly to the CCP for five years.
- Limits on affiliate advantages: Conditions restrict related-party dealings and cross-subsidization, and require non-discriminatory interconnection and infrastructure access.
- Pricing and service protections: PTA is to review PTCL wholesale pricing for specified services; the conditions also restrict predatory retail pricing and require compliance with service-quality and consumer-protection requirements.
- Consumer benefit and enforcement: PTCL must provide evidence that claimed efficiencies reach consumers. The CCP said it could direct divestiture if future violations occur.
CCP Chairman Dr. Kabir Ahmed Sidhu said the decision “ensures a level playing field for all telecom operators and safeguards consumer interests”. That is the Commission’s stated purpose, not evidence that the intended effects have already occurred.
What does PTA’s separate decision add?
PTCL disclosed that PTA made a conditional change-of-control decision on 30 November 2025. After PTCL unconditionally accepted the conditions, PTA issued an NOC on 6 December for the substantial ownership interest. PTCL’s 8 December disclosure said other corporate approvals and completion formalities were still required at that point.

Dawn and Business Recorder reported further conditions from the PTA order. Those reports describe requirements for separate detailed accounts; restrictions on exclusive bandwidth arrangements, discriminatory interconnection and affiliate preference; limits on cross-subsidization and predatory pricing; and PTA approval for tariffs and brand changes. They also report restrictions on merging networks, sharing spectrum or decommissioning sites without prior approval. The Pakistan Economic Survey 2025–26 independently summarizes separate-entity treatment, separate accounts and restrictions on discriminatory or preferential practices. It also says PTCL is liable for obligations of Telenor Pakistan, Telenor LDI Company and Orion Towers.
The reported order-level details should be understood as media reporting on PTA’s conditions; the full order is not reproduced in the cited official summary. PTA’s conditions and the CCP’s conditions overlap in areas such as fair access and pricing, but they are distinct regulatory requirements.

What is complete, and what continued into 2026?
PTCL’s Q1 2026 directors’ review says change of control of Telenor Pakistan was completed on 31 December 2025, bringing the company and its infrastructure under PTCL ownership. PTCL says Telenor Pakistan’s financial results began to be consolidated into the PTCL Group on 1 January 2026.
Those ownership and accounting milestones are separate from the later legal and regulatory implementation steps. The Pakistan Economic Survey 2025–26 says PTA conditionally approved transfer of Telenor licences to PTML and the subsequent amalgamation on 18 March 2026, followed by an NOC on 2 April. PTCL’s Q1 report describes the proposed PTML–Telenor amalgamation as to be implemented through a scheme of arrangement under applicable law. These sources do not establish that every operational integration step was complete.

Will Telenor become Ufone, and will customers benefit?
The later approvals point to a proposed amalgamation involving PTML, the entity associated with Ufone, and Telenor Pakistan. They do not, by themselves, establish when or how customers’ brands, SIMs, plans, numbers, coverage or network experience might change. PTA approval for licence transfer and amalgamation is not proof that all customer-facing integration has happened.
For customers, the practical question is whether safeguards are enforced and translate into outcomes. The approvals state protections and intended consumer benefits; they do not establish that tariffs fell, service quality improved, coverage expanded or competition was preserved in practice. Those outcomes require later evidence. Until then, customers should rely on official notices from their operator and PTA for any specific change to service, billing, plans or account terms.
