C&S Wholesale Grocers completed its acquisition of SpartanNash on September 22, 2025. The deal was announced in June 2025 as a cash acquisition worth $1.77 billion in total consideration, including assumed net debt. The original “to acquire” headline describes the announcement, not the transaction’s current status.
Did C&S buy SpartanNash?
Yes. C&S Wholesale Grocers announced that the acquisition closed on September 22, 2025. The deal combines two businesses with overlapping roles in grocery distribution and retail: C&S is a food wholesaler and grocery operator, while SpartanNash operated both a food-wholesale business and grocery stores.
The companies described the combination as adding scale and capabilities across wholesale distribution, grocery stores and pharmacies. Their announcement presented improved efficiency and lower grocery prices as expected benefits, not as outcomes already demonstrated after closing.
How much did C&S pay for SpartanNash?
The announced offer was $26.90 in cash for each SpartanNash share. The companies stated total consideration of $1.77 billion, including assumed net debt; that total is not the same as cash paid directly to shareholders. The announcement said the offer represented a 52.5% premium to SpartanNash’s closing share price on June 20, 2025. C&S and SpartanNash’s merger announcement

What are C&S Wholesale Grocers and SpartanNash?
C&S Wholesale Grocers
C&S is a food wholesaler and grocery operator. In its September 2025 closing announcement, it described a retail estate of more than 200 corporate-run stores, including D&W Fresh Market, Grand Union, Family Fare, Martin’s and Piggly Wiggly. This is C&S’s own description of its footprint at the time of closing. C&S’s closing announcement
SpartanNash
Before the acquisition closed, SpartanNash described its business as having two segments: food wholesale and grocery retail. Its August 2025 filing reported nearly 200 brick-and-mortar grocery stores, primarily under the Family Fare, Martin’s Super Markets and D&W Fresh Market banners, as well as pharmacies and fuel centers with convenience stores. These are pre-close figures, not a verified current count. SpartanNash’s August 2025 filing
The companies’ store figures refer to different reporting points and footprints. They should not be added together to produce a precise combined store count.

Will the acquisition lower grocery prices?
The companies said the combination was expected to support lower grocery prices and linked its community-service rationale to grocery access and pharmacy services. The cited announcements establish that this was the companies’ expectation; they do not show that prices actually fell after closing.
The available transaction information also does not establish post-close changes in store closures, jobs, supplier terms, market concentration or consumer choice. Assessing those effects would require independent evidence tied to a defined period and geography.

How does the deal relate to the FTC’s Kroger–Albertsons case?
The FTC’s challenge to Kroger’s proposed acquisition of Albertsons was a separate transaction. In that case, the FTC described the proposal as worth $24.6 billion and said the combined company would have more than 5,000 stores and approximately 4,000 retail pharmacies across 48 states. The FTC also noted that C&S had been proposed as a buyer of divested stores. Those figures and the FTC’s competition concerns concern Kroger–Albertsons, not the C&S–SpartanNash deal; they do not establish that the FTC found C&S’s acquisition of SpartanNash anticompetitive.
