HPE argued that blocking its proposed Juniper Networks acquisition could leave Cisco with a stronger position in networking. The Justice Department saw the deal differently, alleging it would reduce competition in enterprise Wi-Fi. The companies settled with DOJ in June 2025, HPE completed the acquisition on July 2, 2025, and a court approved the settlement remedies on August 12, 2026.
Why HPE said blocking the deal could benefit Cisco
HPE’s argument was that the Justice Department focused too narrowly on enterprise wireless local area networking (WLAN)—the Wi-Fi systems used by businesses—rather than considering the companies’ broader networking portfolios. HPE and Juniper said their combination would strengthen their ability to compete with Cisco and give customers another credible option.
HPE’s court response, as reported by ITPro on February 14, 2025, described the combined company as “a credible alternative to Cisco.” That was HPE’s prediction about the merger’s effect, not a finding by a court or an agreed conclusion between the companies and the government.
HPE also argued that the WLAN products at issue represented 11% of Juniper’s revenue. ITPro reported this as a figure HPE put forward in its filing; it should be understood as part of the company’s case, not as an independently audited or adjudicated finding.

How DOJ and HPE framed the competitive question
The disagreement was about both the market to examine and what the merger would do to competition. DOJ’s January 2025 lawsuit alleged that the acquisition would substantially lessen competition in enterprise-grade WLAN solutions. That was the government’s allegation, not a court finding that the deal was anticompetitive.

On January 31, 2025, HPE and Juniper said they “strongly oppose[d]” DOJ’s effort to block the acquisition and considered its analysis “fundamentally flawed.” Those words were the companies’ response to the lawsuit, not an independent assessment of the case.

What happened to the proposed acquisition
The dispute did not end with DOJ blocking the deal. HPE and Juniper reached a settlement with the Justice Department in June 2025, and HPE completed the acquisition on July 2, 2025. The settlement required HPE to divest its Instant On campus and branch business and provide for licensing Juniper Mist AI Ops source code used in WLAN products. The court approved the settlement remedies on August 12, 2026.
The reported deal figures describe different things. ITPro reported an approximate $14 billion deal value in 2025; HPE’s 2026 SEC filing described approximately $13.4 billion in cash consideration for the completed merger. The cash figure is not a substitute for, or a correction to, the reported deal-value figure.
