Yes—Pakistan’s Competition Commission (CCP) conditionally approved PTCL’s proposed acquisition of all shares in Telenor Pakistan and Orion Towers on 1 October 2025. That is a regulatory approval, not confirmation that the transaction has since closed or that the companies’ operations have been integrated. The CCP attached conditions covering management independence, infrastructure access, pricing, monitoring and consumer safeguards.
What was PTCL seeking to acquire?
PTCL’s transaction covered 100% of the shares in Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited, from Telenor Pakistan BV. The 100% figure refers to the shareholding PTCL sought to acquire; it is not PTCL’s share of Pakistan’s telecom market. The CCP’s account of its Phase II review describes the proposed transaction and its initial dominance finding.
Why did the CCP review the deal?
In its Phase I analysis, the CCP found that the transaction met the presumption of dominance under Pakistan’s Competition Act, 2010, and referred it for a detailed Phase II review. The Commission said on 7 May 2024 that it would examine five relevant product markets:
- Retail LDI fixed-line telecommunications
- Retail mobile telecommunications
- Wholesale domestic leased lines
- Wholesale IP bandwidth
- Individual mobile/fixed interconnect
Those categories show why the review was broader than whether a combined company could improve its network: the regulator also considered how the transaction might affect competing operators’ access to essential services and infrastructure.

Competition risks and claimed efficiencies
In an update dated 24 October 2024, the CCP said it had heard concerns from Wateen, Jazz and CM Pak (Zong). PTCL, in turn, raised risks such as input and customer foreclosure and argued the deal could bring cost savings, additional network capacity, faster technology advancement and a 5G rollout. Those were PTCL’s submissions during the review, not findings that the efficiencies had been delivered. The CCP’s review update records the parties’ positions and concerns.
What conditions did the CCP impose?
The CCP announced conditional approval on 1 October 2025. Its public summary lists safeguards intended to address governance, access, pricing and the risk that benefits or costs could be shifted in ways that harm competition. The summary is not a substitute for the underlying order when interpreting a specific legal obligation.

These measures make approval conditional rather than an unconditional endorsement of the merger’s competitive effects. The CCP’s 1 October 2025 announcement describes the decision and its key safeguards.
Does approval mean the deal closed?
No. The CCP announcement establishes that it conditionally approved the acquisition. The available dated announcements do not establish that the transaction later closed, when control may have transferred, or whether Telenor Pakistan and Orion Towers were integrated into PTCL’s operations. Treat those as separate milestones from regulatory approval.

Will customers get better service or coverage?
That remains unproven in the available evidence. PTCL said after the decision that it would advance the acquisition in line with regulatory directions and described expected gains in customer experience, network quality, coverage, digital services and sector efficiency. These are the company’s projections, not measured results. The CCP’s conditions require the companies to demonstrate how claimed efficiencies reach consumers, but that requirement by itself does not show that prices, coverage or service quality have improved. The Associated Press of Pakistan report on PTCL’s statement attributes those expectations to the company.
CCP Chairman Dr. Kabir Ahmed Sidhu said the decision “ensures a level playing field for all telecom operators and safeguards consumer interests.” That is the Commission’s characterization of its decision; it is not independent evidence that competition or consumer welfare has improved.

What the decision means for consumers and the market
The decision settles the regulatory approval question, subject to the listed conditions. It does not, on its own, establish what customers will pay, whether network quality or coverage will change, or how effectively competing operators will be able to access wholesale services and infrastructure. Those outcomes depend on compliance and on what happens after approval; the dated public material cited here does not quantify them.
