ASML’s 2000 acquisition of Silicon Valley Group (SVG) was intended to pair SVG’s advanced-technology development with ASML’s capacity to bring lithography tools into high-volume production. The deal closed in May 2001 after U.S. review that imposed conditions related to SVG’s Tinsley Laboratories subsidiary. Those were the companies’ stated aims and the transaction’s documented outcome—not proof that every expected benefit was later achieved.
What did Silicon Valley Group make?
Silicon Valley Group, Inc. was a U.S.-based semiconductor-equipment supplier headquartered in San Jose, with operations in Wilton, Connecticut. Its products included step-and-scan lithography exposure tools, photoresist processing equipment, thermal-processing systems and precision optics. The merger announcements identify the acquired company as SVG; “SVGL” is commonly associated with its lithography business.
SVG therefore offered more than a single lithography product line. Its exposure equipment and optics complemented ASML’s existing lithography business, while its wafer-processing products broadened the range of manufacturing equipment in the combined company.
Why did ASML acquire SVG?
ASML announced an all-stock merger agreement on October 2, 2000. The company put the deal’s value at approximately EUR 1.8 billion (US$1.6 billion) and set an exchange ratio of 1.286 ASML shares for each SVG share. SVG stockholders were expected to own approximately 10% of the combined company after the transaction. These are figures ASML reported at announcement, not current valuations or ownership figures. ASML CEO Doug Dunn described the strategic logic as combining SVG’s “speed to market of new advanced technologies” with ASML’s ability to introduce and ramp tools for volume production. ASML said that combination could strengthen its technology potential and future research and development. In practical terms, the companies presented SVG as contributing development capabilities and optics, and ASML as contributing production ramp capability. Those were expectations articulated by the acquirer, not independently verified results.
SVG CEO Papken Der Torossian offered a positive assessment at announcement: “This is a great deal for our customers, employees, suppliers and shareholders.” That statement records SVG’s leadership view at the time; it does not by itself establish what happened to each group after the merger.

What changed during U.S. review?
The transaction received U.S. foreign-investment review. An agreement announced on May 3, 2001 addressed Tinsley Laboratories, an SVG subsidiary specializing in optical polishing. ASML agreed to spend six months exploring strategic alternatives, including a good-faith effort to sell Tinsley. If it remained within ASML, the subsidiary would operate subject to restrictions. ASML reported that Tinsley had approximately US$17 million in fiscal 2000 revenue, about 2% of SVG’s total revenue. The companies’ May 2001 release describes the agreement and ASML’s stated commitments.
In that release, Dunn said: “We are committed to investing in the U.S. in order to maintain, develop and expand our technological edge and capabilities for the benefit of our present and future customer base.” ASML also said approximately 28% of its revenue at the time came from the United States. Both figures are contemporaneous company statements from 2001, not measures of ASML’s present U.S. business or proof of later investment outcomes.

What can—and cannot—be concluded about U.S. lithography?
The acquisition joined a U.S.-based equipment supplier to ASML and included a specific U.S. commitment from ASML’s CEO during the regulatory process. That supports describing the deal as an effort to combine capabilities and maintain or develop technology in the United States. It does not establish, on its own, that U.S. lithography leadership expanded or that the promised benefits were realized. The primary announcements document what the companies said and the conditions under which the acquisition proceeded; they are not independent assessments of post-merger performance.
For context only, a 2000 EDN report cited VLSI Research estimates for 1999 lithography shipments and tool-sales share: ASML 36%, Nikon 34%, Canon 17% and SVG Lithography 9%. Those are historical estimates attributed to VLSI Research, not current market shares. EDN’s contemporaneous report is the source for that historical comparison.

The exact wording “SVGL president hopes” is not established by the merger announcements. The announcement directly quotes SVG CEO Papken Der Torossian praising the deal, and separately quotes ASML CEO Doug Dunn on U.S. investment. The available primary statements do not support attributing the title’s specific “president hopes” formulation to either executive.
