AMD’s July 2008 filing estimated substantial impairment, restructuring and investment charges, but the figures do not support the $758 million stated in the headline “AMD takes $758 million hit amid layoffs.” The contemporaneous article’s body instead says $948 million, and AMD’s later earnings release presented the quarter’s results using different categories and finalized amounts. The key distinction: most of the estimated impairment was noncash, while the restructuring charge was mostly related to employee severance.
What did AMD disclose in July 2008?
On July 10, 2008, AMD filed a Form 8-K describing estimates for its fiscal second quarter, which ended June 28. These were estimates ahead of the company’s earnings release, not the finalized second-quarter figures. In the filing, AMD estimated three main categories of charges:
- Goodwill and intangible-asset impairment: approximately $880 million. AMD said this impairment required no current or future cash expenditure.
- Restructuring: approximately $32 million. Most of this estimate related to employee severance. AMD said terminations had started during the quarter and were expected to conclude by fiscal year end.
- Investment impairments: approximately $36 million. This comprised $24 million related to AMD’s investment in Spansion and $12 million related to auction-rate securities.
The July 10 Form 8-K is the source for these estimates and AMD’s description of their nature.
Why do the headline and article body give different totals?
EE Times published the headline “AMD takes $758 million hit amid layoffs” on July 11, 2008, but its article body describes total charges of $948 million. The headline and body therefore conflict. Neither figure should be silently treated as AMD’s definitive total: the company’s July 10 filing gives separate estimates by category, and its July 17 earnings release reports finalized results with different labels and amounts.

The filing’s estimates—$880 million for goodwill and intangible-asset impairment, $32 million for restructuring, and $36 million for investment impairment—add to approximately $948 million. That arithmetic helps explain the article body’s number, but the categories and timing matter: they were estimates disclosed before earnings, not one finalized charge reported by AMD. The $758 million headline figure is not reconciled by the cited filing or the earnings release.
Was the impairment charge a cash expense?
Not the goodwill and intangible-asset impairment described in AMD’s July 10 filing. AMD explicitly said that the estimated approximately $880 million charge would require no current or future cash expenditure. An impairment reduces the recorded value of assets; it is not the same as paying that amount in cash.

The estimated restructuring charge had a different character: AMD said most of its approximately $32 million estimate related to employee severance. The filing does not say that all of this estimate had already been paid in the quarter. The $36 million investment impairment was also a valuation charge, described as write-downs on the Spansion investment and auction-rate securities.
What did AMD’s finalized second-quarter results report?
AMD’s July 17, 2008 earnings release presented the quarter differently from the July 10 estimates. It reported a $920 million loss from discontinued operations, including $876 million of asset impairment charges. In a reconciliation, the release separately listed $36 million in marketable-securities impairment and $30 million in restructuring charges.

Those finalized figures should not be added to, or substituted for, the earlier estimates as though the two documents used identical scopes. “Goodwill and intangible-asset impairment” in the pre-results filing and “asset impairment” within discontinued operations in the earnings release are differently labeled presentations. The release’s reconciliation also lists marketable-securities impairment and restructuring separately. AMD’s July 17 second-quarter earnings release is the source for the finalized amounts and their presentation.
How did the equipment sale affect the quarter?
Alongside the charges, AMD expected the sale of certain 200mm wafer fabrication tools to have an approximately $190 million favorable impact on gross margin, according to the July 10 filing. The July 17 earnings release later reported a $193 million gain from the equipment sale.
This gain is a separate item, not a reason to rewrite the impairment or restructuring figures as a single net “hit.” Charges, gains and their accounting classifications describe different parts of the quarter’s results.

EE Times reported that AMD planned to reduce its workforce by 10 percent by the end of 2008. AMD’s filing separately estimated a restructuring charge, most of it related to employee severance, and said terminations had begun during the second quarter. The percentage is the contemporaneous report’s description of the planned workforce reduction; the filing itself supports the severance-related charge and timing, not a broader claim that every job reduction or charge was captured in that estimate.

What AMD said about its business
Despite the weak financial results, AMD CFO Robert J. Rivet said in the July 17 earnings release: “While we had a disappointing quarter financially, customer adoption of our recently introduced microprocessor and graphics products and platform offerings is strong, and we see increasing momentum across our businesses,”
The statement reflects AMD’s account of customer adoption and business momentum; it does not change how the company classified the quarter’s impairments, restructuring costs or equipment-sale gain.
