Truth Social is a social media platform operated by Trump Media & Technology Group Corp. It did not have a conventional IPO: its parent company became publicly traded when it completed a merger with the SPAC Digital World Acquisition Corp. (DWAC) on March 25, 2024. Lawsuits and regulatory matters have involved DWAC and Trump Media, but those are distinct entities from the Truth Social platform.
What is Truth Social?
Truth Social is Trump Media & Technology Group’s social media platform. The company describes it as a “safe harbor for free expression”; that is the company’s characterization, not an independent assessment of the platform’s moderation or speech outcomes. Truth Social is one of several distinct Trump Media businesses. Truth+ is its streaming product, while Truth.Fi is a financial-services brand. Neither is the Truth Social platform.
Did Truth Social have an IPO?
No. Truth Social itself did not hold a traditional initial public offering. Its parent, Trump Media, entered the public market through a merger with DWAC, a special purpose acquisition company (SPAC). A SPAC is formed to merge with a private company, with the merger offering a route for that company to become public.

What did the SEC say about DWAC?
In a July 2023 administrative order, the SEC made findings about DWAC’s disclosures. The order said DWAC’s IPO filings stated that it had not discussed a potential merger with targets before the IPO, while later merger filings mischaracterized or omitted the history of its interactions with Trump Media. It also addressed a potential conflict tied to an earlier letter of intent and a break-up fee. These are findings concerning DWAC’s disclosure process; they do not mean Truth Social held an IPO. What lawsuits or settlements are involved?
Trump Media listed a July 19, 2026 announcement titled “Trump Media Settles Legal Disputes.” Its second-quarter 2026 filing also refers to recently concluded pre-merger legal matters and records litigation settlement expense. The accessible announcement and filing do not identify the parties, claims, settlement amounts, releases, or confidentiality terms for the announced settlements. The quarterly filing reported $49.6787 million in general and administrative legal fees related to recently concluded pre-merger matters for the six months ended June 30, 2026, compared with $25.8467 million for the same period in 2025. What do the company’s financial figures show?
For the three months ended June 30, 2026, Trump Media reported consolidated revenue of $1.6697 million and a net loss of $238.111 million. Those are parent-company results, not standalone Truth Social figures. The filing attributes substantial costs and losses to multiple areas, including digital-asset valuations and consolidated operations, so the total net loss should not be attributed to the social platform alone. Trump Media’s 2025 annual report said Donald Trump’s revocable trust beneficially owned approximately 41.1% of the company’s voting power as of the report date. What is separate from the completed 2024 merger?
Trump Media’s second-quarter 2026 filing said a proposed merger with TAE Technologies was pending and a Form S-4 registration statement had been filed. It also said discussions about moving Truth Social into a separate publicly traded company were discontinued in June 2026.
