Exchange operator stocks carry ordinary equity-investment risk as well as business risks tied to trading and clearing activity, competition, regulation, technology and each company’s revenue mix. Owning shares in an exchange operator is not the same as owning a diversified portfolio of financial-market infrastructure: an individual company may depend heavily on particular products, customers or markets.
How exchange operators make money—and why activity matters
Exchange groups can earn revenue from trading and clearing fees, listings, market data, access and technology services. The balance differs by company. Transaction-based income can rise or fall with activity, while subscription or access revenue may have different drivers but is not necessarily insulated from market share, customer or regulatory changes.
CME Group said in its FY2025 Form 10-K, for the year ended December 31, 2025, that a majority of its revenue came from clearing and transaction fees. Cboe Global Markets reported that approximately 73% of its revenue less cost of revenues came from transaction- and clearing-based business in fiscal 2024. The filing says that business was heavily oriented toward U.S. index and equity options. This is a company- and year-specific measure, not a current sector-wide figure. What business risks can affect an exchange operator?
Trading volumes, volatility and product mix
Lower trading or clearing volumes can reduce fee revenue, while a shift toward products that generate less revenue per transaction can weaken results even if activity remains robust. Volatility may prompt some customers to trade or hedge more, but it does not guarantee higher revenue: activity, product mix, market share and fee economics all matter. CME describes volume sensitivity in its FY2025 filing; Cboe describes volume and product-mix risks in its FY2024 filing.
Competition, fees and liquidity
Operators compete for order flow, listings, clearing, data subscriptions and technology customers. Rivals can include established exchanges, new venues, alternative trading systems, off-exchange activity and other ways to gain exposure to an asset. Competing through lower fees or incentives may attract activity but reduce revenue per transaction. Conversely, losing liquidity can make a venue less useful to participants and put further pressure on its ability to attract activity. CME characterized its industry as highly competitive and said it expected competition to intensify and become more global in its FY2025 Form 10-K.

Regulation and changes to market structure
Regulatory changes can require new compliance work and technology investment, affect fee schedules or incentives, and change where or how trading takes place and market data is distributed. These changes can raise costs or alter revenue opportunities. A company’s filing may discuss proposed rules as possible risks; a proposal in a risk disclosure is not proof that it was adopted or implemented. Market-data and access revenue
Data, access and capacity fees can broaden an operator’s sources of income, but they bring their own exposures. Subscriber numbers, customer consolidation, market share, trading activity and regulatory scrutiny of fees may affect them. Cboe identifies these potential pressures in its FY2024 Form 10-K. Data revenue should not be treated as guaranteed or wholly independent of trading conditions.
Technology, cybersecurity and continuity
Trading, market-data delivery, connectivity, clearing and settlement depend on reliable systems and operational partners. Disruption can reduce activity and damage customer confidence; maintaining reliable, functional and secure infrastructure also takes ongoing investment. These are business exposures, not claims that a particular operator has suffered an undisclosed incident. CME and Cboe discuss operational and technology-related risks in their respective FY2025 and FY2024 filings.
Concentration and execution
A company with several business lines may still rely heavily on one asset class, benchmark, customer group, region or product. Cboe’s stated concentration in U.S. index and equity options illustrates why investors should examine each issuer separately rather than assume one company’s profile represents the sector. Planned investment, dependence on distribution or clearing relationships, and management’s execution can also influence results.

What risks remain for shareholders even if the business performs well?
An exchange operator’s filings describe operating risks; they do not establish whether its shares are fairly valued or forecast future returns. Shareholders also face market-wide repricing, changes in interest rates and valuation multiples, company execution and capital-allocation decisions, and the possibility of losing principal. A sound business can still be a poor investment at an unsuitable price.

- Revenue mix: distinguish transaction- and clearing-based income from data, listings, access and technology revenue, and assess how sensitive each source may be to activity.
- Volume and product exposure: identify which asset classes and products drive activity and whether shifts in mix could change revenue per transaction.
- Competition and pricing: review market share, liquidity, alternative venues, fee changes and incentive or rebate costs.
- Data and customer exposure: consider subscriber trends, customer concentration, market-data pricing and regulatory scrutiny.
- Geography and regulation: map the company’s markets and relevant regulatory exposure; distinguish adopted requirements from proposals.
- Operational resilience: assess technology investment, continuity planning, cybersecurity disclosures and dependence on counterparties or service providers.
- Investment and execution: examine planned spending, capital allocation and management’s delivery against stated priorities.
Start with each issuer’s latest annual report and its risks section, then compare reported segment and volume trends against the company’s own discussion of competition, fees, regulation and infrastructure. Those disclosures help identify exposures; they are not a stock valuation or a prediction of returns.
