How to Evaluate an Exchange Stock: Revenue Mix, Regulation, and Key Risks

A practical framework for analyzing exchange-company revenue, regulation, clearing exposure, technology risks and the valuation questions to check next.

To evaluate an exchange stock, first work out how the company earns money, how sensitive those earnings are to trading activity, and which regulatory, clearing and technology risks could disrupt them. Then compare those operating risks with the company’s margins, cash generation, debt, capital allocation and share-price valuation. There is no universal “good” revenue mix: exchange groups differ in their businesses and reporting, so use each company’s filings rather than a sector-wide rule.

Start with the revenue mix

Read the company’s segment and revenue disclosures, then separate transaction and clearing fees from listings, market data, connectivity, technology and other services. Companies may group or name these activities differently. For example, Intercontinental Exchange (ICE) describes futures and options trading and clearing, cash-equity execution, listing services, and data and connectivity in its 2025 Form 10-K. Transaction and clearing fees

Look at trading or contract volumes, the products traded, fee rates, volume discounts, rebates and pass-through costs. CME Group says a majority of its revenue comes from clearing and transaction fees, including volume-related charges, and that revenue and profitability fluctuate with contract volume. That is CME’s description of its own business, not a rule for every exchange operator. Read CME Group’s 2024 Form 10-K.

Listings

Check new listings, renewals, delistings and fee terms, as well as when listing revenue is recognized. ICE describes original and annual listing fees and says listing-related obligations are allocated and recognized over time. A headline revenue increase may therefore reflect service timing as well as changes in underlying activity.

Data, connectivity and other services

Find out what the company sells, how it prices the service, and whether renewal, usage or customer concentration affects growth. ICE describes data and connectivity as primarily subscription-based, with subscription revenue recognized over the service period. Recurring subscription revenue may behave differently from transaction fees, but it is not automatically insulated from competition, customer churn or changing demand.

Read reported revenue with its accounting context

Compare like with like: note whether fees are reported gross or net of rebates, and whether revenue is recognized at a point in time or over a service period. ICE reports futures and options fees net of rebates. Its disclosed rebates were $1.6 billion in 2025, $1.3 billion in 2024 and $928 million in 2023, according to its 2025 Form 10-K. These are ICE-specific figures, not a benchmark for the exchange sector.

Also check how the issuer describes performance obligations and revenue recognition. ICE recognizes data subscriptions over the service period and allocates listing fees to multiple obligations recognized over time. Those presentation and timing details can affect comparisons across periods or between companies; consult the relevant filing’s accounting disclosures before interpreting growth.

Map the regulatory footprint

An exchange group can operate several legal entities across different products and jurisdictions. Identify which subsidiaries operate securities exchanges, derivatives venues or clearinghouses, then determine which authorities supervise each activity. Do not assume that one company’s regulatory obligations apply to every operator.

CME’s 2024 Form 10-K describes CFTC regulation of its U.S. futures exchanges and derivatives clearing business, as well as additional CFTC and Federal Reserve oversight associated with specified systemically important designations. It also identifies non-U.S. regulators relevant to its global businesses. CME Group’s filing is a company-specific illustration, not a complete map of rules for other exchange groups.

For each relevant entity and activity, consider what registration, surveillance, reporting, capital, clearing or other obligations apply, and how rulemaking or tax changes could affect costs, permitted products or customer behavior. Use the company’s regulatory disclosures and risk factors as the starting point.

Assess the main risks

Trading volume and product mix

Lower activity can reduce transaction-linked revenue, while a shift between products can change the economics even if overall volume holds up. Compare reported volume and revenue trends with the company’s explanations of product mix, pricing and rebates rather than relying on a single headline growth figure.

Regulatory and policy changes

Changes to rules or taxes can alter the products a company may offer, its compliance obligations and costs, or customer behavior. CME and Cboe both discuss regulatory risks in their filings. The relevant exposures depend on each operator’s activities and jurisdictions.

Technology, cybersecurity and continuity

Exchange operations depend on systems that must function through ordinary and peak demand. Review disclosed capacity, resilience and recovery arrangements, incident history and cybersecurity controls. Cboe identifies system capacity and security vulnerabilities among its risks; its 2024 Form 10-K also discusses competition, third-party dependence and clearinghouse exposures. Clearing and counterparty exposure

If the group operates a clearinghouse, examine how it manages member exposures, liquidity and defaults, and what arrangements apply if a participant fails. Clearing and settlement oversight is part of CME’s disclosed regulatory footprint, while Cboe identifies clearinghouse exposures as a risk. The nature and scale of this exposure vary by operator.

Competition and dependence

Consider competing venues and services, possible substitutes for market data or technology offerings, reliance on particular customers, and dependence on third parties. These factors can affect pricing power, continuity and the stability of revenue streams; assess them in light of the issuer’s own disclosures.

Compare exchange operators on the same basis

When comparing companies, use the same questions for each rather than treating unlike segment labels as equivalent.

  • What share of disclosed revenue comes from transaction and clearing fees versus subscriptions, listings and other services?
  • How do volumes and product mix affect revenue and profitability?
  • Are fees shown net of rebates or other offsets, and when is revenue recognized?
  • What clearing activities does the group operate, and what member or counterparty exposures follow?
  • Which regulators and jurisdictions are relevant to its businesses?
  • What do filings disclose about system resilience, cyber risk, competition and reliance on customers or third parties?

After comparing those operating factors, connect them to margins, cash generation, debt and capital allocation. The final step is to assess whether those prospects justify the current share price; that requires current, company-specific financial and market data. A general framework cannot establish fair value or identify a suitable security without those inputs.
