When did Fairchild acquire QT Optoelectronics?
Fairchild’s 2000 annual report and Form 10-K state that the acquisition was completed on May 28, 2000. A trade report published by EE Times on May 31 described Fairchild as having announced the completion on May 30. The completion date and the announcement date are distinct.
How much did Fairchild pay?
The published figures conflict. Fairchild’s 2000 annual report and Form 10-K, published in 2001, report consideration of approximately $92.0 million. EE Times reported approximately $97.8 million in 2000. No cited source reconciles the difference, so these figures should be treated as separate accounts rather than combined or treated as interchangeable.

Fairchild’s filing also says it assumed and immediately repaid $14.0 million of QT’s long-term debt. That detail is reported separately from the approximately $92.0 million consideration figure.

What did QT Optoelectronics make?
QT designed, manufactured, and marketed optoelectronic components, including optocouplers, LED lamps and displays, infrared components, and custom optoelectronics. In its 2000 report, EE Times said the company produced more than 750 components across three product lines.
Why did Fairchild buy QT?
Fairchild described the acquisition as a way to establish a position in optoelectronics and offer products to customers who were then buying those products from competitors. It also broadened Fairchild’s reach across markets. In a statement quoted by EE Times, Fairchild president, chairman, and CEO Kirk Pond said: “QTO strengthens our communications and computer markets, while creating new opportunities in the automotive and consumer segments.”

EE Times reported that Fairchild projected QT would generate nearly $90 million in revenue in 2000. This was a projection at the time, not a reported realized result. Fairchild’s filings characterized the optoelectronics market then as approximately $5.8 billion in the Form 10-K and six billion dollars in its annual-report overview; both are historical company estimates, not current market measurements.

At the time of the 2000 announcement, EE Times described QT as based in Sunnyvale, California, with primary engineering and manufacturing operations in Kuala Lumpur, Malaysia, and Wuxi, China, as well as a wafer fabrication and die-preparation facility in Singapore. Fairchild said QT would retain its identity as “QT Optoelectronics, a Fairchild company.” These details describe the company around the acquisition announcement, not its present-day operations or product availability.
