IBM Announced an Orderly Wind-Down of Its Russian Operations in 2022

IBM announced an orderly wind-down of its Russian business in June 2022, after suspending business there in March. The announcement described a planned exit, not verified completion of every aspect.

IBM announced in June 2022 that it would wind down its business in Russia, following a suspension of business there in March. The announcement described a planned process—not proof that every Russian-facing activity or administrative matter was ultimately completed.

What IBM announced

On March 7, 2022, IBM CEO Arvind Krishna said the company had suspended all business in Russia. IBM also described support for its employees and their families in impacted regions in its March 7 statement.

In a message shared with IBM employees on May 30 and published publicly on June 7, Krishna said the company had decided to carry out an orderly wind-down of its Russian business. IBM described this as the next step after the suspension, rather than as a decision made on the day the statement appeared.

“As the consequences of the war continue to mount and uncertainty about its long-term ramifications grows, we have now made the decision to carry out an orderly wind-down of IBM’s business in Russia.”

That was IBM’s stated rationale and characterization of its decision. It should not be read as an independent assessment of the causes or effects of the war.

Suspension and wind-down: the timeline

IBM’s 2022 annual report places the decision in the second quarter of 2022. Its Form 10-Q for the quarter ended June 30, 2022, says the decision was made in May as uncertainty about the war’s long-term ramifications grew.

What IBM said would happen to employees

IBM said the wind-down process would result in the separation of its local workforce and that it would take reasonable steps to support employees’ transition. The announcement did not describe the eventual outcome for every employee, so the stated plan should not be mistaken for a documented account of each person’s circumstances.

What the financial disclosures show

IBM’s 2022 annual report said Russia, Ukraine and Belarus together accounted for less than 1% of IBM’s full-year revenue. That figure is for the three countries combined; it does not establish Russia’s share on its own.

The same report characterized the Russian business as historically high margin. As a result, IBM said the business represented a more significant headwind to profit and cash flows than its revenue contribution alone might suggest. The filing does not provide a Russia-only revenue percentage in the cited disclosure.

Does “wind down completely” mean the exit was completed?

No conclusion about complete execution follows from the announcement alone. IBM’s March and June statements and its 2022 filings establish that it suspended business, decided on an orderly wind-down, and announced a workforce consequence. They do not establish the final status of every Russian-facing activity, customer relationship, or legal and administrative matter.

Accordingly, the precise description supported by these sources is that IBM announced an orderly wind-down in 2022. Saying that every aspect of its exit was completed would require evidence beyond these announcements and filings.
