Did Khaby Lame Sell His Company for $975 Million? What the Deal Really Says

The $975 million figure refers to a reported stock-based deal, not a confirmed cash payout to Khaby Lame. The January completion announcement also conflicts with later reporting that closing remained conditional.

Not as a $975 million cash payout, based on the available reporting. A secondary account of a January 2026 filing describes Rich Sparkle Holdings’ proposed acquisition of Step Distinctive Limited as a $975 million all-stock transaction involving 75 million newly issued shares. Rich Sparkle said the acquisition was completed in January, but an April report said a March filing left closing subject to conditions. The definitive status has not been established by the sources available here.

What does the $975 million figure mean?

Celebrity Net Worth, describing its reading of Rich Sparkle Holdings’ January 9, 2026 Form 6-K, reported a $975 million transaction value and 75 million newly issued shares as consideration. That is a reported valuation for the transaction—not evidence that Lame received $975 million in cash. Celebrity Net Worth’s account of the filing describes stock consideration.

Stock consideration is different from cash proceeds. Newly issued shares may have a stated value when a transaction is announced, but that figure does not by itself show what a seller received in cash, what the shares are worth later, or whether they can be sold. The available reporting does not establish Lame’s personal proceeds from the transaction.

How much of the company did Lame reportedly own?

Celebrity Net Worth’s account of the filing says Lame controlled 49% of Step Distinctive. That reported ownership figure should not be multiplied by the $975 million headline to claim a personal payout: the transaction was described as stock-based, and the sources do not establish the distribution of consideration among owners or Lame’s eventual proceeds. Celebrity Net Worth’s ownership account is a secondary description, not an independently inspected filing.

What did the buyer say it was acquiring and planning?

Rich Sparkle Holdings’ January 11, 2026 announcement said it had completed its acquisition of Step Distinctive Limited. The company described a 36-month cooperation period and said Anhui Xiaoheiyang Network Technology would receive exclusive global, full-chain operating rights, covering commerce, fulfillment, endorsements, and commercialization of an AI digital twin. Rich Sparkle’s announcement is the buyer’s own account of the deal and its plans.

The release also said Lame authorized use of his face, voice, and behavioral models to develop an AI digital twin. Authorization and operating rights do not establish that a commercial digital twin has launched, generated sales, or produced income for Lame.

Is the $4 billion sales figure real revenue?

No. Rich Sparkle presented annual sales exceeding $4 billion as potential or an expectation tied to fan-based commercialization. It is a company projection, not reported or audited revenue. TheWrap reported that experts questioned the assumptions behind the figure and noted a lack of tangible existing revenue streams supporting it. TheWrap’s April 22, 2026 report discusses those concerns.

A projected sales figure also is not the same as profit, cash flow, or money paid to Lame. The sources do not establish realized sales or audited performance for the proposed venture.

Was the acquisition actually completed?

The public accounts conflict. Rich Sparkle’s January 11 release used completed-deal language. But TheWrap reported that a March 31 filing made closing contingent on due diligence and exchange approval, and described uncertainty about whether the transaction would proceed. Without a later definitive primary filing in the available sources, the final closing status cannot be stated as settled.

For readers assessing the headline, the key distinction is between an announcement and evidence that all closing conditions were met. This matters especially for an all-stock transaction, where the issuance and value of shares depend on the transaction’s actual status and terms.

What this means for Lame’s personal finances

The headline alone does not establish a windfall, a change in net worth, or liquid money available to Lame. To make those claims, readers would need reliable evidence of final closing, the shares actually issued to him, any restrictions on those shares, and their value at the relevant time. The cited accounts do not supply that complete picture.
