These are broad descriptions, not fixed designs. A token’s purpose or name does not tell you everything a holder can do, whether they have an enforceable right, or how the token will be treated under local law.
What does a fan token do?
In the Socios example, Fan Tokens are associated with access to fan-engagement activities on Socios.com. The specific activities and their terms matter: a platform feature should not be treated as a permanent entitlement unless the token’s terms establish that. Socios also warns that utility may not be redeemable if a project fails or is discontinued.
Socios describes its Fan Tokens as digital assets created on Chiliz Chain. That describes the platform’s product; it does not establish that every token with a sports or entertainment association works the same way. Before buying, check the relevant token and platform terms for the activities available, any conditions or limits, and what happens if the service changes.

Are meme coins just for speculation?
Not necessarily: they can also serve cultural, social, entertainment, or community purposes. But the SEC Division of Corporation Finance staff said on February 27, 2025, that meme coins are typically purchased for those purposes and that their value is driven primarily by market demand and speculation. A cultural purpose does not remove the risk of sharp price changes, and community attention does not promise lasting demand.
The statement described a typical category; it does not settle the facts for every token that is called a meme coin. A token’s actual design, promotion, and economic realities still matter.

Are fan tokens an investment?
A fan token may be traded and its price may rise or fall, but its engagement purpose does not make it a dependable investment or guarantee a return. Socios identifies volatility, supply and demand, and wider crypto-market factors as risks. It also warns that liquidity depends on trading activity on centralized and decentralized exchanges, so a displayed market price does not guarantee that you can sell your amount at that price.
Socios says its Fan Tokens are not intended to be securities, investment contracts, financial instruments, or other regulated financial products. That is the platform’s characterization, not a determination that applies everywhere: Socios itself says regulatory treatment varies by jurisdiction. Its UK risk summary identifies Socios Europe Services Limited as authorized by the Malta Financial Services Authority for listed crypto-asset services under MiCA and Maltese law. That company-specific authorization does not establish the legal status of every Fan Token in every country.

What the SEC’s 2025 statement does—and does not—say
On February 27, 2025, SEC Division of Corporation Finance staff stated that the described meme coins generally do not involve securities under the staff’s view. The staff expressly said its statement is not a rule, regulation, or Commission guidance. It should not be summarized as a binding SEC ruling that all meme coins are not securities.
Commissioner Caroline Crenshaw issued a response the same day, stressing that the Howey analysis requires a facts-and-circumstances examination of economic realities. Her response challenged assumptions about purchaser expectations and promoter activity. It is a commissioner’s view, not a separate Commission rule. Together, the documents show why a category label alone cannot resolve a token’s legal status. Readers should consult current rules applicable where they live rather than extrapolate from a U.S. staff statement or a company’s characterization.

What to check before comparing specific tokens
- Actual rights and utility: Identify what the token terms promise, what is merely a platform feature, and whether access can change or end.
- Supply and control: Look for information about total supply, distribution, and any supply held or controlled by creators, promoters, or affiliated organizations.
- Promoter incentives: Consider how people promoting the token may benefit from sales or retained supply. This is a diligence question, not proof of misconduct.
- Liquidity and trading access: Check whether there is active trading and whether the venues and terms are available in your region. Trading at a quoted price may not be possible for every amount.
- Platform dependence: For a fan token, consider whether its practical utility depends on a particular club, platform, or service continuing to operate.
- Local legal and tax rules: Treatment varies by jurisdiction, and taxes may apply to profits. Do not assume a U.S. staff view or a Malta authorization settles your local position.
Both categories can fluctuate in value. The meaningful comparison is not simply “culture versus sports”; it is what a particular token actually offers, what drives demand, what risks attach to its promoter and platform, and what rules apply to you.
