Everest Completes Sale of Canadian Retail Insurance Operations to Wawanesa

Everest completed the sale of Everest Insurance Company of Canada to Wawanesa for agreed consideration of C$410 million, subject to adjustment. The transaction is separate from Everest’s 2025 sale of renewal rights to AIG.

Everest Group completed the sale of its Canadian Retail Insurance operations to The Wawanesa Mutual Insurance Company on October 1, 2026. The deal transferred Everest Insurance Company of Canada to Wawanesa for agreed consideration of C$410 million, subject to adjustment, according to Everest’s SEC-filed transaction disclosure. Everest says the sale supports its plan to focus on reinsurance and global wholesale and specialty insurance.

What did Everest sell to Wawanesa?

The transaction was a sale of all outstanding shares of Everest Insurance Company of Canada, the entity representing Everest’s Canadian Commercial Retail Insurance operations. Wawanesa was the buyer. Everest announced the completed sale after the required regulatory approvals had been received and customary closing conditions satisfied.

Everest’s SEC-filed disclosure gives agreed consideration of C$410 million, subject to adjustment. The October 1 completion announcement does not state a final adjusted amount, so C$410 million should not be treated as confirmed final proceeds.

What else was included in the transaction?

  • Coverage for certain prior liabilities: The agreement includes a loss portfolio transfer reinsurance arrangement under which Everest Reinsurance Company’s Canadian branch would reinsure certain liabilities relating to insurance business written before closing.
  • Transition support: The transaction also includes a transition services agreement. The cited disclosure does not specify the services or their duration.

Why did Everest sell the Canadian business?

Everest described the sale as another step in its previously announced plan to exit Commercial Retail Insurance and concentrate capital and capabilities on Reinsurance and Global Wholesale and Specialty Insurance. CEO Jim Williamson said completion “further sharpens Everest’s portfolio” and positions the company to focus on those businesses. This is Everest’s stated strategic rationale, not evidence that the sale has already improved financial performance.

Wawanesa said the acquisition would add specialty commercial insurance products, talent and expertise to its business. That is the buyer’s stated view of the transaction.

How is this different from Everest’s 2025 sale to AIG?

The Canadian transaction is distinct from Everest’s earlier sale to AIG. The two deals involved different assets, buyers and dates:

The 2025 deal transferred renewal rights, not the shares of Everest Canada. The transactions should not be combined or treated as the same divestiture.

What the announcement does not establish

The completion announcement confirms that the sale closed and gives Everest’s explanation for its strategy. The cited materials do not establish the post-close effect on Everest’s earnings, premiums, customers, employees or capital position. Nor do they confirm a final adjusted amount paid for the Canadian shares.
